Please be advised that as of January 3, 2005, eiStream Identitech, Inc. was merged into Global
360 BGS, Inc. Enclosed is a Certificate of Merger issued by the Secretary of State of the State of
Texas, certifying the completion of the merger. Also enclosed is a Certificate of Qualification
issued by the Secretary of State of the State of Florida, certifying that Global 360 BGS, Inc. is
qualified to conduct and transact business in the State of Florida.
Under Article 5.06 of the Texas Business Corporation Act, all liabilities and obligations of
eiStream Identitech, Inc. under its contracts automatically become the liabilities and obligations
of Global 360 BGS, Inc. as the surviving corporation in the merger, and Global 360 BGS, Inc.
becomes the primary obligor thereon.
By this letter, Global 360 BGS, Inc. hereby confirms that, by virtue of the merger, it has accepted
and assumed, as the primary obligor, all of the liabilities and obligations of eiStream Identitech,
Inc. under its contracts. This merger has not resulted in a change of control of the business or
assets of eiStream Identitech, Inc.

Pursuant to tho provisions of Section 5.04 of tho Texas Business Corporation Act (the "TBCA"),
eiSTREAM IDENTITECH, INC., a Texas corporation ("Identitech''), and GLOBAL 360 BOS, INC.
(formerly Global 360 Information Application Services, Inc.), a Texas corporation ("Global 360 BOSj,
adopt the following Articles of Merger:
I. An Agreement and Plan of Merger, dated as of January 2, 2005 (the "Asreementj, has
been approved and adopted in accordance witll the provisions of Art:icle 5.03 of tile TBCA providing for
merger of Identitecb with and into Global 360 BOS, with Global 360 BOS being the surviving
corporation (the "Merger").

4. An originally executed copy of the Agreement is on file at the principal place of busiocss
ofGloba1360 BOS located at 2911 TmtIe Creek Blvd., Suite 1100,DaUas, Texas 75219.
S. A copy of the Agreement will be provided. upon request and without cost, to any
stockholder of any of the corporations participatina in tho Merger.
6. Pursuant to Article 5.03 of the TBCA, slunholder approval is not required with respect
to the holders of shares of capital stock of Global 360 BOS.

7. As to ldentitech, Inc., the nwnber of shares outstanding are:

8. The sole bolder of all the issued and outstanding shares of capital stock ofldentitcch has
signed a written consent approving and adopting the Merger and the Agreement.
9. As to each foreign corporation or other entity that is a party to the Agreement, the
approval of the Agreement was duly authorized by all action required by the laws under which such
companies were incorporated or organized and by such companies' COnstituOllt documents.
10. Global 360 BOS, as the smviving corpondion after the Merger, will be responsible for
the payment of all fees and franchise taxes of Identitech and will be obligated to pay such fees and
franchise taxes if the same are not timely paid.
11. The Merger is to become effective at 12:01 a.m. on 1anuary 3, 2005.
