Dear Mr. Millisor:
The City of Clearwater ("City") has reviewed the Agreement between
Pinellas County and General Telephone Company of Florida ("General")
and the City desires to use the ATI data base as supplemented by
Pinellas County for the purpose of matching the calling number with
the service address in order to provide "911" emergency service
to the public.
In consideration of the City being allowed to access General's ATI
and other information added to the data base by Pine11as County, the
City agrees to be bound by the Agreement between Pinellas County and
General and will only use this information for the purposes set forth
in Paragraph 2 of said Agreement, and no other. Furthermore, the City
agrees to the terms of Paragraph 5 of said Agreement, and finally,
the City expressly indemnifies both General and Pinellas County
regarding the City's use of the information in accordance with the
terms of Paragraph 6 of said Agreement. This letter Agreement shall
supersede the Agreement entered into between the City and General
dated January 23, 1979.

AGREEMENT REGARDING ADDRESS TELEPHONE INDEX IN FORMA TION
THIS AGREEMENT is made and entered into by and between General
Telephone Company of Florida, a Florida corporation ("General") and the
County of Pinellas, a body corporate and'politic ("Pinellas County") in
,
contemplation of the following:
A. In March of 1978, ,Pinellas County implemented "911" service,
and in connection therewith, General provides to Pinellas County
an Address Telephone Index ("A TI"). Said Address Telephone Index
is essentially a computerized cross-reference between telephone
numbers in service and the addresses where such service is rendered.
B. The purpose of A TI is to facilitate the provision of emergency service
to the general public.
C. Heretofore on or about March 17, 1978, Pinellas County and General
executed an Agreement regarding A TI, its updating and the use of the
information therein by Pinellas County.

D. Since March of 1978 both Pinellas County and General have received from
public agencies requests for use of the A TI, as well as other information
placed by Pinellas County in the A TI data base.
E. Pinellas County and General have no objection to allowing other public
agencies to use the A TI data base provided: (1) It is used solely for
dispatching or the provision of other emergency service to the general
public; and (2) such agencies indemnify Pinellas County and General against
any claims, demands and actions resulting from such agencies' use of
the information.

F. It is the intent of the parties that any government agency (other than
Pinellas County) desiring to access the A TI data base execute an
agreement expressly incorporating the recitals and provisions of this
Agreement concerning the use of the information by the government
agency and that such government agency indemnify Pinellas County and
General from any claims, actions or proceedings arising out of or related
to such government agencies I use of the information.
THEREFORE IT IS AGREED:
1. The recitals hereinabove set forth are hereby incorporated by reference.
2. General shall furnish to Pinellas County its Address Tel~phone Index for
its subscribers in Pinellas County at the rates specified on Exhibit A
attached hereto and incorporated by reference herewith. Pine lla s
County agrees that the information furnished by General in the A TI
shall only be used for the purpose of matching the calling number with
the service address in order for Pinellas County to provide emergency
service to the public in conjunction with the "911" system. The County
shall use this information for this purpose and no other.
3. It is understood that General may discontinue use of the ATI and that it
may change or adapt new methods of billing its customers which will
affect the costs associated with General's production of the A TL In
either event, if Pinellas County desires to continue to receive the
information presently contained in the A TI, such information will be
provided at the rates set forth on Exhibit A.

4. General shall furnish to Pinellas County the A TI in the form of
a magnetic tape. The initial magnetic tape will be furnished by
Pinellas County and thereafter the tapes will be exchanged.
5. It is understood that the information provided to Pinellas County
is the same as contained in General's A TI used for its own purposes,
and although every effort is made to be accurate, General cannot
and does not warrant the information to be free from errors or
omissions nor does General warrant the information to be suitable
for any particular purpose.
6. Pinellas County agrees to indemnify and hold General harmless from
and against any and all claims, demands, actions or damages (without
limiting the generality of the foregoing) arising out of or related to
PinellasCounty's use of the A TI furnished by General.
7.
This Agreement shall supersede the Agreement previously executed by

the parties on or about March 18, 1978.
