PROGRAM OF AGENCY
The Gateway Children's She1ter/ Inc. is an agency operating under the umbrella
of the Junior ~eague of Clearwater - Dunedin, Inc. a non-profit corporation,
established to provide child care services to children of homeless families.
These child care services will be provide at the 211 South Missouri Avenue,
Clearwater, Florida, which is property that is owned and operated by the
Community Pride Child Care Centers of Clearwater, Inc. another non-profit
corporation.
SPBCIFIC SERVICES TO BB PROVIDED UNDER THIS AGREEMENT
To operate a child care center to serve the babies and preschool children living
in emergency shelters and transitional housing programs. Specifically, the center
will be for those ages 8 weeks through kindergarten age whose families are
staying at Everybody's Tabernacle, Isaiah's Inn and two programs run by Religious
Community Services - Stepping Stone and Emergency. The maximum number of
children to be served at anyone time is 34. The site of the operations will be
at the Community Pride South Child Care Center located at 211 South Missouri
Avenue, Clearwater, Florida.

APPENOIX C
METHOD OF PAYMENT
All payments shall be on a reimbursement basis only.
All requests for reimbursement for salaries shall be supported by a copy of the
checks paid to employees and other documentation as requested. Payroll and other
support documentation must be kept by the agency in an appropriate file.
All requests for reimbursement for purchases shall be supported by a copy of the
invoices and a copy of the check paid to the supplier. Other support
documentati6n shall be kept by agency in an appropriate file.
All requests for reimbursement for construction projects shall be supported by
a copy of the check paid to the contractor and a copy of a progress or final
payment affidavit, whichever is appropriate. Payroll data for Davis Bacon related
projects and other source documentat ion sha 11 be kept by the agency in an
appropriate file.
All requests for reimbursement shall be certified by the agency's designee that
they are accurate and within ~he guidelines of the agreement.
All requests for reimbursement shall be forwarded to the City of Clearwater
Planning and D~velopment Department, P.O. Box 4748, Clearwater, Florida 34618.
Any program income shall be submitted to the CITY through the DEPARTMENT at least
Quarterly. Fees collected, if any, shall be reported b~t are not to be construed
as pr.ogram income.
Requests for reimbursement shall not be reduced by any program income received.

MEMORANDUM OF UNDERSTANDING
CIlY OF CLEARWATER
PINELLAS COUNTY
GATEWAY CHILDREN'S SHELTER, INC.
AND
COMMUNIlY PRIDE CHILD CARE CENTERS OF CLEARWATER, INC.
In order to meet the regulations established in the Section 570.503 of the Housing and Community Development
Act of 1970, as amended, which states that "Before disbursing any CDBG funds to a recipient, the recipient shall
sign a written agreement with the subrecipient" and to create the optimum atmosphere of cooperation and
efficiency in executing the Community Development Block Grant Program (CDBG), the following memorandum
of understanding is entered into by the City of Clearwater (hereinafter referred to as "City"), Pinellas County
(hereinafter referred to as "County"), Gateway Children's Shelter, Inc. (hereinafter referred to as "Subrecipient"),
and Comm unity Pride Child Care Centers of Clearwater, Inc. (hereinafter referred to as Community Pride).
The Subrecipient has proposed to construct an addition to the building at 211 South Missouri Avenue,
Clearwater, Florida, owned by Community Pride, for use as a homeless child care center for families in recovery,
(hereinafter referred to as the "Project").
The purpose of this agreement is to identify and establish the roles of the above four parties in this Project.
Parties funding the Project are as follows - the City will be providing up to $22,000 of CDBG funds; the County
will be providing up to $50,000 of CDBG funds; the Subrecipient will be providing $41,100; Conn Memorial
Foundation will be providing up to $10,000 and an additional $3,150 will be provided by another unnamed
source.
ORGANIZATIONAL STRUCTURE
CITY OF CLEARWATER COMMUNITY DEVELOPMENT OFFICE
The Community Development Office of the Planning and Development Department shall administer
the U. S. Dept. of Housing and Urban Development funded Community Development Block grant
program for the City. The City of Clearwater City Commission has elected to provide Community
Development Block Grant funding of up to $22,000 to the Subrecipient for construction related
expenses in performing the Project. The City of Clearwater Community Development Office will be
responsible for disbursing the City CDBG funds pursuant to this agreement.
The City Community Development Office will process requests from the County for Subrecipient
Project costs eligible for reimbursement to the Subrecipient pursuant to the City/Subrecipient Grant
agreement dated as of October 1, 1990. The City Community Development Office will monitor the
Subrecipient and County in accordance with the applicable uniform administrative requirements as

described in 24 CFR 570.502 and all other federal laws and regulations.
PINELLAS COUNTY COMMUNITY DEVELOPMENT DEPARTMENT
The Pinellas County Community Development Office will have the responsibility for administering the
Pinellas County Community Development Block Grant funding of up to $50,000 to the Sub recipient for
construction related expenses in performing the Project pursuant to their agreement dated April 1,1991.
In addition, the County will act as the lead Agency in the four way relationship between the City,
County, Subrecipient and Community Pride. Pinellas County Community Development Department will
be responsible for monitoring for the Davis-Bacon Act regulations and implementing all other
applicable Federal regulations as it relates to this construction project.
The County will be responsible for processing payment requests for Project costs eligible for grant
reimbursement to the Subrecipient pursuant to the above referenced CDBG grant agreements for both
the City and the County. Subrecipient requests for Project payments will be submitted to the County
on the Sub-Grantee Request Form with full supporting original documentation, which shall include but
not be limited to - original invoices and the architect's certificate showing percentage of construction
completed. The County will prepare a project summary form worksheet from the Subrecipient's fully
documented request for reimbursement, showing reimbursement of Project costs allocated between the
City and County in proportion to their joint funding ratio, the City ratio being 22/72nds and the County
ratio being 50/nnds. The County will initiate payment of the total requested eligible Project costs
reflected in the summary project worksheet and supporting Subrecipient's documentation. The County
will then forward a request to the City for reimbursement of the City share of eligible Project costs to
the County. The County request for reimbursement from the City will include a copy of the check
payment; a copy of the County project summary form worksheet; copies of all supporting documentation
submitted with the Subrecipient's payment request, along with the transmittal letter certifying the
County's receipt of original invoices and related documentation.
GATEWAY CHILDREN'S SHELTER, INC.
The Subrecipient shall comply with all applicable federal regulations referenced in its CDBG grant
agreements with the City and County. The Subrecipient and Community Pride have entered into an
agreement to allow Subrecipient to construct the Project and describe services to be performed by both
parties. The Subrecipient shall provide the services described in the City and County Community
Development Offices CDBG subrecipient agreements. The Subrecipient shall adhere to any reasonable
requests of the City and County Community Development Offices.
The Subrecipient shall submit all requests for Project construction payments pursuant to the grant
agreements with the City and the County directly to the Pinellas County Community Development
Department along with the supporting documentation, as specified above. Project construction costs
eligible for reimbursement by the City and County will be incurred and reimbursement shall be
requested before any funds of the Subrecipient shall be utilized for construction cost payment. The
intention of the parties is that CDBG funds shall be used for construction costs before funds of the
Subrecipient are used.
All other Project payments in which the City or the County are not responsible shall be paid by
Subrecipient. Subrecipient shall forward to the City and County copies of these payments and
supporting documentation, such as Certificate of Completion form and lien waivers, etc.
COMMUNITY PRIDE CHILD CARE CENTERS OF CLEARWATER, INC.
Community Pride has entered into an agreement with Subrecipient to allow the Project construction of

an addition to the Community Pride owned building located at 211 South Missouri Avenue, Clearwater.
In addition, Community Pride will agree to provide space for up to 34 children from homeless shelters
and the working poor, facilitating the implementation of Subrecipient's program as described within
Subrecipient's grant agreements with the City and County. Community Pride shall adhere to any
reasonable requests of the City and County Community Development Offices.
The Subrecipient and Community Pride agree the Project real property will be used in conformance with the
purpose described in the grant agreements between the Subrecipient and the City and County during a period
of five (5) years from the date of issuance of the Certificate of Occupancy by the City. In the event that during
the stated five (5) year period, Community Pride disposes of the Project real property or the use of property
is altered to be inconsistent with overall community development objectives, as determined by the County,
Community Pride and the Subrecipient will repay the City and County the pro-rata share of improvements to
the facility, in accordance with 24 CFR 570.503.
