FOR VALUE RECEIVED, the undersigned Lessor/Assignor of that certain Commercial Lease
Contract dated the 26th day of June, 2007 and amended September 30, 2008, by and between COTEL, INC.,
Lessor and CITY OF CLEARWATER, Lessee, with said Lease governing parking spaces located at 400 East
Short Drive, Clearwater, Florida 33767, does by virtue of this instrument, assign all of his right, title and
interest in and to said Lease to C.L.E.M. HOSPITALITY, LLC, A Florida limited liability company, Purchaser.
We further agree to make all lease payments from this date forward to the purchaser.

IN CONSIDERATION of the above Assignment and written consent thereto, the undersigned hereby
agrees to make all payments provided for in said Lease from and after the date hereinabove stated, at such
location as provided in writing by C.L.E.M. HOSPITALITY, LLC, and to perform and abide by all of the
covenants and conditions of the within Lease, therein to be made and performed.

to the City for parking, to C.L.E.M. Hospitality, LLC effective April 30, 2009.
Please make future lease payments directly to the new buyer at 2958 Kenilwick Drive, North,
Clearwater, FL 33761.
Enclosed with the letter to the City Attorney is the original letter from Cotel, Inc. advising
the City of the transfer as well as the on inal Assignment document for execution by the
appropriate official. When the document is executed, please send the copy to Buyer's
attorney, Emil Pratesi. If there is any comment or revision is needed for the City's purposes,
