BUSINESS ASSISTANCE PARTNERSHIP AGREEMENT " -! m i I , " ST. P[T[RSBURG Cl[ARWAT[R WHERE BUSINESS COMES TO LIFE BUSINESS ASSISTANCE PARTNERSIDP AGREEMENT THIS BUSINESS ASSISTANCE PROGRAM AGREEMENT is made and entered into by and between GREATER CLEARWATER CHAMBER OF COMMERCE, INC. (herein, the "Chamber"), CITY OF CLEARWATER, a Florida municipality (herein, the "City"), and the BOARD OF COUNTY COMMISSIONERS OF PINELLAS COUNTY, FLORIDA (herein, the "County"). In consideration of the mutual promises and benefits promised by each party to the other parties to this agreement, the sufficiency of which is acknowledged, the parties hereto agree as follows: 1. Effective Date - Tenn. This Agreement shall take effect when executed by all of the parties hereto. The term of this agreement shall end on September 30, 2000, and may be extended by mutual agreement of all of the parties hereto for ten (10) successive one-year terms. The additional successive one-year terms will be agreed to by all parties in writing no later than September 1, of each year. 2. PUqK>se. The purpose of this Agreement is to accomplish the Strategic Goals of a Business Assistance Program in and for the city of Clearwater. The goals of the Business Assistance Program are: (a) to identify businesses "at risk" due to threatened failure or relocation out of the Clearwater area business community, and to identify growth-postured businesses within the Clearwater area business community, (b) to isolate the needs of such businesses and assist in their efforts to prosper and grow, and (c) to identify problems common to the business community as a whole and lead to efforts to solve them. 3. Oblillations of the Chamber. In order to accomplish the Strategic Goals, the Chamber agrees that it shall, in coordination with the City and the Economic Development Department PINHLAS (OUNTY- of the County: . (a) Implement each of the components of the Business Assistance Program which include: i) the Business Assistance Monitoring Survey; ii) Leadership Initiative Visits; iii) Pro-Active Nurturing; iv) Creation of an Early Warning System; and v) the development of a Business Resource Center. Suitr 104 (1Z1) 464-1331 (b) Provide to the City and to the County a detailed report identifying the businesses which have been identified as part of the program; and a summary and brief analysis of the responses to the business monitoring interview/survey questionnaire, and any interview/in-field visits to businesses in connection therewith. The report shall be provided not less often than monthly to the City Manager of the City and to the Business Assistance Manager of the County, or to such other officer or employee as the City or County may direct. The report shall be due not later than September 1, 1999, and shall be provided to the City Manager of the City and to the Business Assistance Manager of the County, or to such other officer or employee as the City or County may direct. 4. Comoensation. The obligation to fund this program is a legislative function. The County's and the City's obligations for funding are dependent upon ftmds being approved in their respective budgets for this purpose. During the fiscal year, the City and the County shall each pay to the Chamber the total sum of $20,000.00 in equal quarterly payments as their one-third share of the estimated cost of the program. 5. Audit. The Chamber shall retain all financial records relating to this contract for a period of at least three (3) years after final payment is made. All records shall be kept in such a way as will pennit their inspection pursuant to Chapter 119, Florida Statutes. In addition, the County and City reserve the right to audit such records. 6. Indemnification. The Chamber shall indemnify, pay the cost of defense, including attorneys' fees, and hold hannless the County and the City from all suits, actions or claims of any character brought on account of any injuries or damages received or sustained by any person, persons or property by or from the said Chamber; or on account of, any act or omission, neglect or misconduct of the said Chamber; or by, or on account of, any claim or amounts recovered under the "Workers Compensation Law" or of any other laws, by-laws, ordinance, order or decree, except only such injury or damage as shall have been occasioned by the sole negligence of the County. 7. Relationship. The Chamber is an independent contractor performing a service for the County and the City; the Chamber is not an agent of the County or the City; and this Agreement does not constitute a joint venture between the parties. It is further understood that the individual hired to conduct the program will devote 100% of his or her work day to this program. No other city or chamber assignments are to be permitted.
