AMENDMENT TO BUSINESS ASSISTANCE PARTNERSHIP AGREEMENT AMENDMENT TO BUSINESS ASSISTANCE PARTNERSHIP AGREEMENT THIS Amendment to Busi ess Assistance Partnership Agreement made and entered into as of thi~M.day of , 2004, by and between Pinellas County, a political subdivision of the State 0 Florida ("County"), the Greater Clearwater Chamber of Commerce, Inc., d/b/a the Clearwater Regional Chamber of Commerce, a Florida nonprofit corporation ("Chamber"), the Chamber Business Assistance Corporation, a Florida nonprofit corporation ("CBAC") and the City of Clearwater, a municipal corporation of the State of Florida ("City"). WITNESSETH: WHEREAS, the County, City and Chamber previously entered into a Business Assistance Partnership Agreement dated February 6, 2003 ("BAPA"); and WHEREAS, the CBAC is sponsored by and affiliated with the Chamber, in that capacity provides the business assistance services as set out in the BAP A, and the parties desire to amend the BAP A to add the CBAC as a party bound by the terms, covenants and provisions of the BAP A as provided herein; and WHEREAS, in accordance with paragraph 1 of the BAP A, the parties desire to extend the term ofthe.BAPA for the compensation as provided herein. NOW, THEREFORE, in consideration of the above and the mutual promises provided herein, the parties agree as follows: 1. Addition of Party. CBAC is hereby added as a party to the BAP A and agrees to be bound by all terms, covenants and provisions thereof, as amended herein. 2. Term. The term of the BAP A is extended for one year, commencing on October 1, 2004, and terminating on September 30, 2005, unless earlier terminated as provided in the BAPA. J. Compensation. Paragraph 4 of the BAP A is amended to provide that during the term provided herein, the City and County shall each pay to the CBAC the total sum of $20,000.00 in equal quarterly payments as their respective one-third share of the cost of the program. 4. Effect of Amendment. Except for the extension of the term, addition of the CBAC as a party, and amendment to the compensation as provided herein, all covenants, terms and provisions of the BAP A shall remain in full force and effect. <SIGNATURE PAGE FOLLOWS> Page 1 of2 IN WITNESS WHEREOF, the parties have executed this Amendment to Agreement as of the date set out above.
