~DR21~ THIS AMENDMENT TO SEVILLE BOULEVARD AGREEMENT is made and

~F ~-cLEARWA TER, FLORIDA. a municipal corporation, organized and existing under the_
1181 ':::::::::::Iaws of the State of Florida (the "City1 and lOM BA YSIDE ARBORS, LTD., a Florida
rOIAL I ~ limited partnership ("lOM"), and for the good and valuable consideration, the sufficiency
~ and receipt of which is hereby acknowledged and agreed, the parties do hereby mutually
agree as follows:
1. Attached hereto as Exhibit "A" is a true, correct and complete copy of the
Seville Boulevard Agreement recorded on December 27,1993 (the "Agreemenr) in Book
8515, Page 947, Public Records of Pinellas County, Florida, by and among the City, lBA,
Inc., a Florida corporation ("ZBAj and lOM Bayside Arbors, Ltd., a Florida limited
partnership ("lOMj. The Agreement is in full force and effect and has not been
repealed, modified, supplemented or amended in any way, other than by this
Amendment.
2. There are no defaults under the Agreement by the City, lBA and ZOM, and
no event has occurred that, with the passage of time or with the giving of notice or both
would constitute a default.
3. lSA conveyed all of its right, title and interest in and to Seville Boulevard to
lOM pursuant to that certain Quit Claim Deed, dated December 26, 1998, and recorded
at Official Records Book 9210, Page 1983, Public Records of Pinellas County, Florida, a
copy of which is attached hereto as Exhibit liB" and by this reference made a part hereof.
Thereafter ZSA was dissolved, and lOM is lBA's legal successor in interest under the
Agreement. Section 5 to the Agreement entitled "Guaranty of lOM" is and shall be
deleted from the Agreement and is of no further force or effect, since lOM, as the
successor to ZBA, has become the primary obligor under the Agreement. Notices to lBA
are no longer required under the Agreement.
4. No amounts are currently outstanding or due to the City pursuant to the
Agreement.

5. The Initial Repairs required under the Agreement have been satisfactorily
completed and the Continuing Repairs are being properly maintained as required by the
Agreement.
6. From and after the date this Amendment is recorded in the Public Records
of Pinellas County, Florida, all notices to lOM shall be sent to lOM at the following
address:
