CONTRACT FOR EXCHANGE OF REAL PROPERTY
THIS AGREEMENT between the CITY OF CLEAR WATER, a municipal
corporation of the State of Florida, hereinafter referred to as first party;
and WILLIAM G. BLACKBURN and MYLDRED L. BLACKBURN, his wife,
and WALLACE W. BLACKBURN and ELIZABETH A. BLACKBURN, his
wife; hereinafter referred to as second party;
WITNESSETH:
IN CONS IDE RA TION of their mutual promis es set out below, said
parties agree:
1. First party agrees to sell and convey to second party that
certain property described as Lots 34 and 45 of Court Square Subdivision
as per Plat Book 5, page 53, of the Public Records of Pinellas County,
Florida, by Warranty Deed, free and clear of all encumbrances.
2. Second party agrees to sell and convey to first party that certain
tract of real property described as follows:
That property, the description of which is attached hereto and
marked 'Exhibit A". Said property is further shown on an
attached drawing marked as "Exhibit B"; and in addition, Lot
96, Morningside Estates Unit :/f1, according to map or plat
recorded in Plat Book 59, pages 58 and 59 of the Public Records
of Pinellas County, Florida, together with the water well equip-
ment which is presently located on said Lot 96.
3. It is understood that the description in "Exhibit A" 'shall govern
and control as to the exact property to be conveyed by second party to first
party, and in addition, Lot 96 as described above.
4. Second party further agrees to convey said property to first party
by Warranty Deed, free and clear of all encumbrances, excepting only
easements and restrictions of record, including any existing Governmental
zoning.
5. For the purpose of this contract, the property of the first party
is valued at Ninety-Five Thousand Dollars ($95,000. 00) and the property of
the second party is valued at Ninety-Five Thousand Dollars ($95,000.00).

6. Each party is to furnish the other with a title insurance company
standard form owner's title policy insuring the title to the property he is
to receive with liability the same as the above agreed value thereof, free
from encumbrances, except those above mentioned. Easements and restrictions
of record and zoning and building laws and ordinances shall not be regarded
as encumbrances.
7. Each party represents unto the other that neither party has
utilized the services of any real estate broker with regard to this transaction
and, accordingly, each absolves the other from any claims for real estate
c ommis s ions.
8. Risk of damage to the respective properties prior to the closing
and/or actual delivery of possession of the respective properties is assumed
by the seller of each of the properties, respectively.
9. The property of each party has been carefully inspected by the
other and no agreements or representations pertaining thereto or to this
transaction have been made save such as are stated herein.
10. Should errors appear in the titles to either of said properties,
such errors shall be corrected by and at the expense of the owners thereof,
and should any error be uncorrectable within a reasonable time after
notification of any such defect, then this Agreement shall terminate.
11. Second party shall be responsible for all real property taxes
against the property of second party up to and including the date of the closing
of this transaction. This transaction shall be closed on or before November
15, 1965, with possession being delivered simultaneously with date of closing,
to accomodate the City of Clearwater's moving to the new City Hall, provided
possession by City may be delayed longer if the City is delayed in moving to
the new City Hall for reasons beyond its control.

12. Both parties further agree each with the other that first party
will be financially responsible for its share of any improvements made as to
streets abutting the property conveyed by second party to first party, provided
both parties agree in writing as to the responsibilities of each before
commencement of work. Taxes and insurance premiums shall be prorated
as of date of closing and each party to this agreement shall pay the cost
of any stamps to be attached to the deed conveying said party's property in
accordance with the requirements of any lawful authority.
13. Time is of the essence of this Agreement unless otherwise
extended on account of the need for perfecting title as hereinbefore recited.
14. It is further agreed that this contract shall be binding on the heirs,
executors, administrators, successors and assigns of the parties hereto.
IN WITNESS WHEREOF, the said parties do set their hands and
seals this 3// day of August, A. D. 1965.
