AGREEMENT
THIS AGREEMENT made and entered into this

November, A. D. 1978, by and between WILLIAM S. ADLER and ELIZABETH
S. ADLER, his wife, hereinafter called "Donors", and CITY OF CLEARWATER,
FLORIDA, a municipal corporation, hereinafter called "Donee", wherein it
is agreed as follows:
1. Donors desire to contribute substantially to the redevelopment,
renovation, reconstruction and expansion of the Main Library of the library
system of Donee, subject to the terms and conditions hereinafter set forth
and Donee agrees to accept said gift subject to the conditions hereinafter
set forth.
2. Donors hereby agree to give Donee the SUIll of Five Hundred
Thousand Dollars ($500,000.00) for the reconstruction, redevelopment,
renovation, and expansion of the Donee's existing library facility located on
North Osceola Avenue, Clearwater, Florida, which will henceforth be
designated as the Main Library for the foreseeable future in which will be
located the central offices of the Donee's library system. Each party hereto
understands and agrees that while the library facility located on North
Osceola Avenue will be the Main Library of Donee, Donee will henceforth have
free right at such time or times as Donee chooses to establish additional branch
libraries in such locations and of such size and condition as Donee in its
sole discretion may determine necessary or proper.
3. Donors hereby agree to deliver to Donee the SUIll of One Hundred
Thousand Dollars ($100,000.00) cash, or property having fair market value
of such amount on or before thirty (30) days from the date of execution of
this Agreement. Thereafter Donors agree to deliver to Donee the SUIll of
One Hundred Thousand Dollars ($100,000.00) cash or property having a fair
market value of One Hundred Thousand Dollars ($100,000.00) at such time
as Donee advises Donors that Donee is ready to begin such reconstruction,
redevelopment, renovation and expansion of its Main Library facility and a
similar SUIll or amount of property thirty (30), sixty (60), and ninety (90)
days after commencement of construction.

4. Donee agrees to accept the gift made by Donors subject to the
aforesaid conditions and furthermore agrees Donee will forthwith by appropriate
ordinance or resolution irrevoca,bly commit the sum of Five Hundred Twenty
Thousand Dollars ($520, 000.00) plus a State of Florida library grant in the
amount of approximately One Hundred Eighty Thousand Dollars ($180,000.00),
totalling Seven Hundred Thousand Dollars ($700,000.00), which the Donee
presently has available for such purpose to the renovation, construction,
redevelopment and expansion of its Main Library facility on North Osceola
Avenue and in addition will approriate by ordinance or resolution an additional
sum of Two Hundred Thousand Dollars ($200,000.00), which shall be used if
necessary as a contl11gency fund for the purpose of completing the project as
contemplated by this agreement.
5. Being mindful of the uncertainties of life, Donors specifically agree
that by execution of this agreement they are not merely making a gift to Donee,
but have entered into a binding contract with Donee, and that Donee, by
accepting such gift subj ect to the terms and conditions as provided in this
agreement is changing its position to its detriment. It is the specific purpose
and intent of the Donors by this agreement not only to bind themselves and the
survivor of them, but to bind their respective estates for payment of the sums
hereinbefore set forth so long as Donee complies with the conditions of this
agreement.
IN WITNESS WHEREOF, Donors have hereunto affixed their hands
and seals and Donee has caused these presents to be signed in its name by
its City Manager, countersigned by its Mayor-Commissioner, attested to
