The three firms include Carlisle Fields, Nichols Insurance, and Baldwin Connelly Group. Carlisle Fields has served Pinellas County for over three decades and specializes in automobile, homeowners and business insurance. Nichols Insurance is a nationally ranked health insurance agency that specializes in all types of employee benefits for individuals and businesses with 1 to 50 employees. Baldwin Connelly Group serves both individuals and businesses and focuses on areas of Commercial Risk Management, Employee Benefits and Private Insurance for high net worth individuals. The combined agencies currently have seven offices including Tampa, Brandon, Ft. Lauderdale and four in Pinellas County. The companies will be combining their four Pinellas County offices and will be headquartered in 13,000-plus square feet in the Bank of America office building at 600 Cleveland Street. The new Baldwin Connelly Group, LLC will be bringing 55 jobs to downtown. Unfortunately, the Bank of America office building does not have enough parking spaces to accommodate all the employees in this company. The Bank of America building has a parking ratio of roughly 2.7 spaces per 1,000 square feet of leaseable space. In today's market, office space demands ratios in the 4.0 to 6.0 spaces per 1,000 square feet. This trend toward higher parking ratios is having a negative impact on the competitiveness of older office properties, especially in downtown areas, since they cannot compete with newer, suburban properties. An incentive is needed to offset that competitive disadvantage and allow this important relocation to our Downtown. The Baldwin Connelly Group, LLC needs an additional thirty (30) parking spaces to meet their employee needs. For this reason, the company is requesting economic assistance from the CRA to cover the cost of parking not offered in their lease. The Economic Development Incentive Fund was established to attract companies with high wage job opportunities to the Downtown Business District. The projects are evaluated based on wage levels, capital investment, economic impact, and commitment to the community. The Fund currently has approximately $143,736. We recommend that the CRA assist Baldwin Connelly Group, LLC by providing a grant effective March 1, 2009 to pay the cost of thirty (30) parking spaces in the Garden Avenue Garage for thirty-six (36) months for the following reasons: Location of a downtown company headquarters with an investment (buildout and equipment) of over $500,000. Addition of 55 jobs with an average wage of $56,500 by March 1, 2009 within the CRA business district. Baldwin Connelly Group, LLC commitment to a one hundred twenty-six month (126) lease effective February 1, 2009 in the CRA business district. The total commitment from the CRA over the three years will be $48,600.00. The CRA will pay the City Parking Syst8 RiL the cost of over iviemo providing the thirty (30) parking spaces at $45 per space for 36 months. Item # 2 Attachment number 2 Page 1 of 4 AGREEMENT THIS AGREEMENT is entered into this day of , 20097 by and between the CITY OF CLEARWATER, a Florida municipal corporation, hereinafter referred to as "City, " P.O. Box 4748, Clearwater, Florida 33758 and the COMMUNITY REDEVELOPMENT AGENCY, a body politic and corporate under the laws of the State of Florida (hereafter "CRA"), and Baldwin Connelly Group, LLC, a Florida Limited Liability Company, 4010 W. Boyscout Blvd., Suite 200, Tampa, FL 33607 (hereafter "Baldwin Connelly"). WHEREAS, the CRA desires to offer an incentive to Baldwin Connelly to relocate to and remain within the CRA district and to provide a minimum of 50 jobs with an average wage of $56,500 for the term of this Agreement; NOW THEREFORE, in consideration of the promises stated herein, the City, CRA, and Baldwin Connelly mutually agree as follows: 1. OBLIGATIONS OF BALDWIN CONNELLY 1. As of February 1, 2009, Baldwin Connelly has located and will maintain its headquarters inside the CRA Downtown Business District for the term of this agreement. 2. Commencing March 1, 2009 and continuing during the term of this Agreement, Baldwin Connelly will have at least fifty (50) full-time employees at its headquarters business address within the CRA Downtown Business District. The corporate average annual salary shall be at least $56,500. Baldwin Connelly shall provide a notarized letter from a partner of Baldwin Connelly Group, LLC and supporting payroll reports commencing March 1, 2009 and semi-annually thereafter. 3. If employment levels fall below fifty (50) employees or corporate average annual wages are below $56,500 in the six-month period being reviewed, Baldwin Connelly shall have (3) months from date of review to come into compliance with the terms of this Agreement. Failure to comply with the terms of this Agreement shall result in termination of this Agreement. 4. Baldwin Connelly agrees to pay for each refundable card deposit required by the City parking system. Each cardholder will be required to complete a standard parking application. 2. OBLIGATIONS OF THE CRA 1. CRA staff will review Baldwin Connelly's compliance with the Agreement on March I, 2009 and semi-annually during the term of the agreement. If CRA Staff determines that Baldwin Connelly is not in compliance with the terms of this Agreement, staff shall, within 5 business days, inform Baldwin Connelly of the failure to meet the terms and conditions. If Baldwin Connelly fails to cure as provided herein, the Agreement shall be term inated. 3. After CRA staff verifies initial compliance with the terms of the Agreement, CRA shall notify the City to assign the parking spaces. 4. CRA will pay the City parking system on a quarterly basis. 3. OBLIGATIONS OF THE CITY 1. The City parking system will provide to the CRA thirty (30) parking spaces at a tax-exempt cost of forty-five dollars ($45.00) each where designated in the Garden Avenue Garage for a three-year period. The estimated cost of such spaces shall not exceed Forty Eight Thousand Six Hundred Dollars ($48,600.00). 4. TERM The term of this agreement will not to exceed thirty-six months (36) from the date of its execution. 5. NOTICES AND CHANGES OF ADDRESS. Any notice required or permitted to be given by the provisions of this Contract shall be conclusively deemed to have been received by a party hereto on the date it is hand delivered to such party at the address indicated below (or at such other address as such party shall specify to the other party in writing), or if sent by registered or certified mail (postage prepaid) on the fifth (5th) business day after the day on which such notice is mailed and properly addressed. In the event that Baldwin Connelly fails to comply with the terms of this Agreement or terminates its lease agreement, for any reason, the Agreement with the CRA shall be null and void without further obligation on the part of the CRA or the City. 7. ATTORNEY FEES. In the event that either party seeks to enforce this Agreement through attorneys at law, then the parties agree that each party shall bear its own attorney fees and costs. 8. GOVERNING LAW AND VENUE. The laws of the State of Florida shall govern this Agreement, and any action brought by either party shall lie in Pinellas County, Florida.
