Appendix "A" - License Supplement
This Supplement is made a part of and shall be governed by the terms of the License Agreement dated as of June 24, 1998, by and between
Cayenta Canada Corp. ("Cayenta") and The City of Clearwater ("Licensee").

If the contract is executed by March 15, 2009 and the solution is implemented by April 30, 2009, Loris will include the first
year support and maintenance costs free of charge, as well as a license discount of $12,648.88 (this discount is reflected
in the price provided). Support and Maintenance of $13,484.25 will be billed annually beginning in year 2 and shall be tied
to and adjusted annually not to exceed the U.S. National Inflation Rate for a period of 3 years.
In addition, Loris is offering a license discount of 25% off the cost of any additional FileNexus Software implemented and
paid in full prior to March 31, 2010. The City of Clearwater may optionally apply the monetary equivalent of the license
discount toward related services and/or resulting year one support. See Attachment "A" for pricing details.
Payment Terms A total of $25,500.00, or 30% of the contract value, is due on contract signing. The remaining $59,500.00 will be
invoiced Net 30 after the on-site implementation. License granting and support privileges wording will be issued to Clearwater from
Loris Technologies Inc. upon receipt of final payment.

Optional Software and Services
We are offering a license discount of 25% on any additional purchases implemented and paid in full prior to March 31,
2010. The City of Clearwater may optionally apply the monetary equivalent of the license discount toward related
services and/or resulting year one support.
