The standards for maintenance to be performed under this Agreement are as follows: UTF shall provide such repair services and replacement parts as are necessary to keep the Equipment operating in accordance with the original equipment manufacturer's specifications. All parts and materials shall be least of equal quality to the original, and may be new or used with equivalent-to-new performance characteristics. Replacement parts shall be provided on an exchange basis. UTF shall furnish all labor, tools, and materials incidental to the maintenance. All maintenance work shall be performed by qualified personnel. When notice of an Emergency (as defined belowl is received during UTF's normal business hours, UTF agrees to have personnel on site within two (2) hours of said notice. When notice of an Emergency is received at any time and the customer subscribes to the EXTENDED PLAN, UTF agrees to have personnel on site within two (2) hours of said notice, EXTENDED PLAN Includes: 1) All services included in the Standard Plan, and: 2) Maintenance service 24 hours a day, 7 days a week including holidays and weekends. 31 4 Hours of free end user training annually. When notice of a Non-Emergency (as defined below) is received, UTF agrees to have personnel on-site within twenty-four (24)business hours. 3. WARRANTY. EXCEPT AS EXPRESSLY MADE HEREIN, UTF MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND SPECIFICALLY DISCLAIMS ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 4. PLACE OF MAINTENANCE WORK. Maintenance work will be performed only at the Customer's location provided on this Agreement (or at UTF's Maintenance Center, as appropriate), and the Customer will furnish access to the Equipment, heat, light, and power to UTF's personnel as neeaed. 5. DEFINITIONS. EMERGENCY An "Emergency" is defined as a major malfunction, consisting of one or more of the following conditions: (11 Complete failure of the system: a. No incoming or outgoing communications to or from Customer's premise; or b. No internal communications within the system. (2) Failure of a critical subsystem: a. Inoperative attendant console; b. Inoperative message accounting system; c. 50% of all telephones out of service; or d. 50% of all trunk circuits out of service. NON-EMERGENCY A "Non-Emergency" is defined as any malfunction other than a major malfunction defined as an Emergency above. BUSINESS HOURS. UTF's normal business hours are defined for the purpose of this Agreement as 8:00 a.m. to 5:00 p.m., Monday through Friday. except holidays. 6. EXCLUSION. Maintenance service under this Agreement will NOT include: a. Work on any Equipment that is not located at the address provided on this Agreement. b. Making Customer specification changes, adding or removing accessories, attachments or other devices, or moving or relocating the Equipment c. Repair or replacement of lost or stolen parts or materials, repair or replacement of parts, materials, or software damaged through accident, negligence, abuse, misuse, failure of electrical power, air conditioning or humidity control, riot or other civil disturbance, strike or other labor trouble, sabotage, fire, flood, lightning or electrical storms, or other acts of God. Customer agrees to maintain a clean, dust-free, ventilated environment with a temperature range of 55 degrees - 90 degrees Fahrenheit and 30% - 50% relative humidity; d. Failure or malfunction of attached, related, collateral or ancillary equip- ment not covered by this Agreement; e. Work on equipment not listed in this Agreement; or f. Repairing of damage caused by servicing of Equipment by persons other than UTF, or its contractors. 7. PAYMENT. The charges set forth in this Agreement may be paid annually, quarterly, or monthly. Payment for the period chosen shall be due on the first day of that period. Payment will be made by mail to United Telephone Company of Florida at the address listed on the face hereof and the invoice number will be noted on the payment check. Charges which are not paid when due will be subject to interest at the maximum rate permitted by law, from the first day after the date due. Customer may be held in default under this Agreement if (a) Customer fails to pay any charge by UTF (including payments pursuant to this 8. liMITATION OF REMEDIES. UTF's entire liability and the Customer's sole r~medies against UTF for loss or damage caused by delayed performance, negligent performance, or non-performance, regardless of the form of action, s'-,all be limited to the amount of actual direct damages which are proven. UTr"s liability for damages to the Customer for any cause whatsoever, shall be limited to the amount of actual direct damages which are proven. Limitation of Liability. Notwithstanding any other provision of this Agreement: In no event shall UTF be liable for indirect, incidental, or consequential damages (Including lost profits) sustained or incurred in connection with services performed or to be performed under this Agreement, regardless of the form of action, and whether or not such damages were foreseen or unforeseen. In no event shall UTF be liable for damages, loss or expenses of any nature whatsoever that may result from the fraudulent or unauthorized use of equipment, services, or facilities purchased hereunder. 9. FORCE MAJEURE. UTF shall not be liable for any failure to perform any part of this Agreement due to federal, state, or local government action, statute, ordinance or regulation, strike or other labor trouble, riot or other civil disturbance, sabotage, fire, flood, lightning or electrical storm, environmental hazard, or acts of God, inability to secure the Equipment or necessary ancillary material or supplies, or, without limiting the foregoing by any other cause, contingency, or circumstance within or without the United States not subject to its control which prevents or hinders UTF's performance of this Agreement or the effect of which would substantially deprive UTF of its economic benefit in this Agreement. 10. SERVICE SPECIFICATIONS. Services available under this Agreement, except repair services, are subject to the following conditions: (1) 24 Hour Automatic Monitoring. Monitoring service is available at no additional charge to: a. Customers whose Equipment has available a dedicated computer port for this purpose (provided at Customer expense); and b. accepts Standard Service and has more than 100 stations; or c. accepts separate monitoring services at additional charge. (2) New Employee Training Service. Limited to two (2) hours per year for Standard Plan and four (4) hours per year for Extended Plan. (3) Routine Preventative Service is to be performed at intervals of every six (6) months. 11. TERMINATION. This Agreement shall remain in force for dates identified on the front of this Agreement and, thereafter, shall renew for successive periods of one (1) year each at UTF's then current prices, unless either party gives the other party written notice of termination at least thirty (90) days in advance of any scheduled renewal. In the event the Customer services the Equipment by persons other than UTF or its Subcontractors, UTF shall be entitled to terminate the Agreement and receive from the Customer as liquidated damages and not as a penalty a sum equal to the total charges stated on the face of this Agreement. 12. GENERAL PROVISIONS. a. This Agreement may not be assigned by the Customer without the express written consent of UTF, such consent not to be unreasonably withheld. b. Failure or delay on UTF's part to exercise any right, power, or privilege hereunder, will not operate as a waiver thereof. c. This Agreement and any schedules attached hereto constitute the entire Agreement between the parties and will supersede all prior offers, negotiations, and agreements. d. This Agreement shall be governed and interpreted by the laws of the State of Florida. e. UTF will have the right to subcontract, in whole or in part, the maintenance work covered by this Agreement. 13. PROPERTY OF UTF. Customer acknowledges that UTF may install a data collection device and other UTF equipment at Customer's location to be used in performing services hereunder. All such property and equipment shall remain the property of UTF. At the expiration or termination of this Agreement, UTF shall be entitled to enter Customer's premises to remove all UTF property and equipment. ,~ Sprint I ....
