WHEREAS, U.S. Home and the City previously entered into that certain Park
Dedication Agr~ement (IIAgreementll) dated November 12, 1980, regarding the property,
described there i nand referred to as "Tract 9011; and
WHEREAS, the parties have agreed to modify the Agreement as hereinafter set
forth;
NOW, THEREFORE, in-consideration of the premises and for other good and valuable
consideration, the receipt and adequacy of which are hereby acknowledged, the parties
hereto, intending to be legally bound, hereby agree as follows:

Notwithstanding the terms of Paragraph 2 above or any other
provision hereof, U.S. Home shall not be required to complete
improvements to the retention area described in this paragraph
unti 1 the retention area is needed to meet the drainage
requirements of U.S. Home in the development of Tract 90
(a.k.a. Tracts 93 and 94). In the event any existing park
improvements are damaged as a result of the construction of
the retention area, U.S. Home shall be fully responsible for
returning such park improvements to their condition prior to
commencement of construction of the retention area.
2. Except as specifically modified herein, all of the terms and conditions
of the Agreement shall remain in full force and effect without modification.
IN WITNESS WHEREOF, the parties have executed this instrument as of the day
