EQUIPMENT MAINTENANCE AGREEMENT - PLAN E
WITH THE OBJECTIVE OF KEEPING YOUR UNISYS EQUIPMENT IN SATISFACTORY AND EFFICIENT OPERATION, UNISYS
CORPORATION AGREES TO FURNISH MAINTENANCE SERVICE AT YOUR DESIGNATED LOCATION ON THE EQUIPMENT LISTED IN
ACCORDANCE WITH THE FOLLOWING PROVISIONS:

I. OVERVIEW
Plan E maintenance provides for customer deinstalling any equipmenl requiring main-
tenance, and moving illo amulually agreed upon, designaled service location. UNISYS
service pellionnel will, upon a predetennined mutually agreed upon schedule, visillhe
designated service location and repair the equipmenl. Cuslomer will return equipmenl
10 using location and reinstall.
2. TERM
The initial tenn of this Agreemenl shall be Iwelve (12) monlhs from Ihe date accepted
and executed by an aUlhorized representalive of UNISYS (Ihe "Effeclive Dale") and
thereafter shall cOnlinue on a year-to-year basis unless tenninaled by either party upon
ninely (90) days wrinen notice prior 10 the end of Ihe then current annual tenn.
3. MAINTENANCE
a. UNISYS shall provide maintenance and parts 10 maintain equipment in good op-
eraling condilion. Such mainlenance shall be provided. as required, during UNISYS
NORMAL BUSINESS HOURS al such localion. frequency, and charges as des-
ignaled by UNISYS in the EQUIPMENT MAINTENANCE EXHIBIT, allached
hereto and incorporaled herein by this reference. As used herein, "UNISYS NOR-
MAL BUS.lNESS HOURS" shall mean the hours 8:00 a.m. 105:00 p.m.. Monday
through Friday, excluding UNISYS recognized holidays.
b. UPON CUSTOMER'S requesl, and subjecllo Ihe availabilily of field engineelli,
addilional mainlenance may be provided by UNISYS al an additional charge. For
such mainlenance rendered the charge. billed on an hourly basis, shall be the
applicable Ihen current UNISYS published rales for expenses, labor and traveltime.
c. Pans necessary to Ihe proper functioning of the equipment shall be furnished at no
additional charge, excepl parts damaged by causes lisled in Paragraph I I ,c. hcrein.
d. Parts replaced shall become the property of UNISYS,
4. AITACHMENTS
CUSTOMER agrees not to employ addilional altachments, features, or devices to the
equipmenl, make alterations 10 the equipmenl, or permit the mainlenance of the equip-
menl by olher than UNISYS personnel wilhout the wrinen consenl ofUNISYS. UNISYS
shall nol be liable for loss or damage to CUSTOMER resulting therefrom, and
CUSTOMER shall be liable to UNISYS for any damage or repair eosls incurred by
UNISYS as a. consequence thereof.
S. SUPPLIES
Mainlenance charges do not include the furnishing of supplies (such as ribbons, cards,
paper lape, paper fonns of magnetic media). Only supplies which meel UNISYS
specifications shall be used by CUSTOMER when the perfonnance or maintenance of
the equipment may be affected,
6. EQUIPMENT INST ALLA TION AND RELOCATION
UNISYS shall incur no obligalion hereunder with respect 10 any inslallation or relocation
of equipment by CUSTOMER. Further. UNISYS shall incur no liabilily with respect
to CUSTOMER'S installation, deinstallalion or transportation of the equipment.
7. SHIPMENT OF EQUIPMENT
a, The parties agree that the method of equipmenl packaging and shipment. both to
and from the designated service location, shall be in accordance with commereially
reasonable standards, consistent with Ihe nature of the equipment and the hazards
of transponation and handling,
b. All transportation expenses will be borne by CUSTOMER.
8. OTHER SERVICES
In addition to the maintenance provided hererin, UNISYS offelli other maintenance
services under separate agreements at applicable charges, CUSTOMER may contract
with UNISYS for such additional services, as available. under wrillen agrecments,
CUSTOMER and UNISYS agree that such addilional services cannOl be the subject
of. and shall not be provided by, an oral agreement.
9. CHARGES AND PA YMENT
a, The panies acknowledge that while the EQUIPMENT MAINTENANCE EXHIBIT
shall list maintenance rates current as of the Effective Date of this Agreement, the

applicable maintenance rale for services provided hereunder. being subjeclto change,
shall be those in effecl at the time of invoicing.
b, CUSTOMER agrees 10 pay mainlenance charges upon submission by UNISYS of
a eorrecl invoice lherefor. Invoices shall be submilled on or aboulthe fillil day of
each period for which services are to be provided.
e. This Agreemenl may be suspended by UNISYS. without nOlice, if paymenl is Ihirty
(30) days in arTelllS, or tenninaled by UNISYS, wilhout nOlice, if payment is sixty
(60) days in arrears.
d. Any applicable tax will be added to other charges specified.
10, CUSTOMER INSTALLATION RESPONSIBILITIES
CUSTOMER shall: (i) eonlinuously mainlain a log of syslem use and perfonnance and
make same available 10 UNISYS upon requesl; (ii) conlinuously maintain environmental
conditions, eleclrical requirements, and site facililies in accordance with UNISYS
recommendations and specificalions; (iii) nOl abuse or misuse Ihe equipment, and (iv)
insure that CUSTOMER personnel are adequalely trained 10 operate Ihe equipmenl; (v)
be fully responsible for all transpOrtation of Ihe equipmenlto and from the designated
service location; (vi) provide UNISYS personnel with adequale work space, workbench,
power, storage space for UNISYS proprietary maintenance and produCI support ma-
lerials, and connections for test purposes to properly maintain the equipment.
II. GENERAL CONDITIONS
a. UNISYS equipmenl purchased from UNISYS subsequenl 10 Ihe execution of this
Agreemenl wil be aUlomatically included in this Agreemenl at the Ihen applicable
eurrenl rates upon expiralion of any warranly period under Ihe sale agreemenl unless
CUSTOMER requests otherwise. The firsl invoice for maintenance for each equip-
menl unil under this Agreemenl will serve as confinnation thaI the equipmenl is so
included,
b, The equipment musl be in good operaling condilion on the Effective Dale of this
Agreement.
c. UNISYS is nOl obligated under the tenns of this Agreemenl 10 repair damage to
equipmenl used either directly or indirectly as a result of (i) nuclear radiation or
radioaclive eonlamination arising oul of the use by CUSTOMER of radioactive
malerial; (ii) accidenl, negligence, or abuse, of or by CUSTOMER or third parties;
(iii) failuR: of CUSTOMER 10 maintain required environmental conditions; (iv)
causes external 10 Ihe system such as eleclric power flucluation or failures; (v) fire,
windstorm. the clements, or acts of God; or (vi) aUachmenl of non-UNISYS equip-
menl or features to the equipmenl by CUSTOMER or third parties. Such repair will
be rendeR:d only upon specific order by CUSTOMER, and afler approval by
CUSTOMER of lhe eSlimated charges therefor.
d, IN NO EVENT SHALL UNISYS BE LIABLE FOR LOSS OF PROFITS, INDI-
RECT, SPECIAL. CONSEQUENTIAL OR OTHER SIMILAR DAMAGES ARIS-
ING OUT OF ANY BREACH OF THIS AGREEMENT OR OBLIGATION
UNDER THIS AGREEMENT.
e, UNISYS SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY DELA Y
IN FURNISHING OF MAINTENANCE SERVICES UNDER THIS AGREE-
MENT.
e. This Agreemenl may nOl be amended exeepl in wriling signed by an authorized
representative of CUSTOMER and the Unisys General Manager. Field Engineering
Services, BMG (or equivalenl position). This Agreemenl constitules the entire agree-
ment between the parties and supelliedes aH prior communications. proposals or
agreements relating to maimenance service of the equipment.
g. CUSTOMER agrees that the maintenance and prodUCI support materials which are
located at the CUSTOMER'S facility solely for use by UNISYS service personnel
arc the property of and prorielary to UNISYS and shaH be removed by UNISYS or
returned to UNISYS by CUSTOMER, upon lennination of Ihis agreement.
CUSTOMER further agrees to lreat as confidential and 10 prolecl Ihe proprietary
maintenance and prodUCI suppon material, or any part thereof, from copying or
disclosure 10 any pany.
CUSTOMER BY ITS SIGNATURE ACKNOWLEDGES THAT IT HAS READ
THIS AGREEMENT, UNDERSTANDS IT AND AGREES TO ALL ITS TERMS

CUSTOMER shall be liable to UNISYS for any damage or repair costs incurred by
UNISYS as a consequence thereof.

power, storage space for UNISYS proprietary maintenance and product suppon ma-
terials. and connections for test purposes to properly maintain the equipment.
II. GENERAL CONDITIONS

Agreement wil be automatically included in this Agreement at the then applicable
current rntes upon expirntion of any warranty period under the sale agreement unless
CUSTOMER requests otherwise. The first invoice for maintenance for each equip-
men! unit under this Agreement will serve as confirmation that the equipment is so
included.
b. The equipment must be in good operating condition on the Effective Dale of this
Agreement.
c. UNISYS is nOl obligated under the terms of this Agreement to repair damage to
equipment used either directly or indirectly as a result of (i) nuclear radiation or
radioactive contamination arising out of the use by CUSTOMER of radioactive
material; (ii) accident, negligence, or abuse, of or by CUSTOMER or third panies;
liii) failure of CUSTOMER to maintain required environmental conditions; (iv)
causes eXlernalto the system such as electric power nuctuation or failures; (v) fire.
windstorm. the elements, or acts of God; or (vi) attachmen! of non-UNISYS equip-
ment or features 10 the equipment by CUSTOMER or third panies. Such repair will
be rendered only upon specific order by CUSTOMER, and after approval by
CUSTOMER of the estimated charges therefor.
d, IN NO EVENT SHALL UNISYS BE LIABLE FOR LOSS OF PROFITS. INDI-
RECT, SPECIAL. CONSEQUENTIAL OR OTHER SIMILAR DAMAGES ARIS-
ING OUT OF ANY BREACH OF THIS AGREEMENT OR OBLlGA nON
UNDER THIS AGREEMENT.
e, UNISYS SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY DELAY
IN FURNISHING OF MAINTENANCE SERVICES UNDER THIS AGREE-
MENT.
f. This Agreement may not be amended except in writing signed by an authorized
representative of CUSTOMER and the Unisys General Manager. Field Engineering

7, SHIPMENT OF EQUIPMENT
a. The panics agree that the method of equipment packaging and shipment. both to
and from the designated service location, shall be in accordance with commereially
reasonable standards. consistent with the nature of the equipment and the hazards
of transportation and handling.
b, All transportation expenses will be borne by CUSTOMER,
8. OTHER SERVICES
In addition to the maintenance provided hererin, UNISYS offers other maintenance
services under separate agreements at applicable charges. CUSTOMER may contract
with UNISYS for such additional services, as available, under wrillen agreements,
CUSTOMER and UNISYS agree that such additional services cannot be the subject
of. and shall not be provided by, an oral agreement.
9, CHARGES AND PAYMENT

10. CUSTOMER INSTALLATION RESPONSIBILITIES
CUSTOMER shall: (i) continuously maintain a log of system use and perfonnance and
make same available to UNISYS upon request; Iii) continuously mainlain environrnenlal
. conditions, electrical requirements, and site facilities in accordance with UNISYS
recommendations and specifications; (iii) not abuse or misuse the equipment. and (iv)
insure that CUSTOMER personnel are adequately trained to operate the equipment; (v)
be fully responsible for all transpOrtation of the equipment to and from the designated
service location; (vi) provide UNISYS personnel with adequate work space. workbench.
power. storage space for UNISYS proprietary mainlenance and product support ma-
terials, and connections for test purposes to properly maintain the equipment.
11. GENERAL CONDITIONS
a. UNISYS equipment purehased from UNISYS subsequent to the execution of this
Agreement wil be automatically included in this Agreement at the then applicable
current rates upon expiration of any warranty period under the sale agreement unless
CUSTOMER requests otherwise. The first invoice for mainlenance for each equip-
ment unit under this Agreement will serve as confinnation that the equipment is so
included.
b. The equipment must be in good operating condition on the Effective Dale of this
Agreement.
c, UNISYS is not obligated under the tenns of this Agreement to repair damage to
equipment used either directly or indirectly as a result of (i) nuclear radiation or
radioactive contamination arising out of the use by CUSTOMER of radioactive
material; (ii) accident, negligence. or abuse, of or by CUSTOMER or third parties;
(iii) failure of CUSTOMER to maintain required environmental conditions; (iv)
causes external to the system such as electric power nuctuation or failures; (v) fire,
windstonn. the elements, or acts of God; or (vi) attachment of non-UNISYS equip-
ment or features to the equipment by CUSTOMER or third parties. Such repair will
be rendered only upon specific ordcr by CUSTOMER, and after approval by
CUSTOMER of the eSlimated charges therefor.
d, IN NO EVENT SHALL UNISYS BE LIABLE FOR LOSS OF PROFITS, INDI-
RECT, SPECIAL, CONSEQUENTIAL OR OTHER SIMILAR DAMAGES ARIS-
ING OUT OF ANY BREACH OF THIS AGREEMENT OR OBLIGATION
UNDER THIS AGREEMENT.
e. UNISYS SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY DELAY
IN FURNISHING OF MAINTENANCE SERVICES UNDER THIS AGREE-
MENT.
f. This Agreement may not be amendcd except in writing signed by an authorized
representative of CUSTOMER and the Unisys General Manager, Field Engineering
Services, BMG (or equivalcnl position), This Agreement constitutes the entire agree-
ment between the partics and supersedes all prior communications, proposals or
agreements relating to maintenance service of the equipment.
g, CUSTOMER agrecs that the maintcnance and product support materials which are
located at the CUSTOMER'S facility solely for use by UNISYS service personnel
are the property of and prorietary to UNISYS and shall be removed by UNISYS or
returned to UNISYS by CUSTOMER, upon lennination of this agreement.
CUSTOMER further agrees to treat as confidential and to prolect the proprietary
maintenance and product support material, or any part thereof. from copying or
disclosure to any pany.

I. OVERVIEW
Plan E maintenance provides for customer deinstalling any equipment requiring main-
tenance, and moving it to a mutually agreed upon. designated service location. UNISYS
service personnel will, upon a predetermined mutually agreed upon schedule. visit the
designated service location and repair the equipment. Customer will return equipment
to using location and reinstall.
2. TERM
The initial term of this Agreement shall be twelve (12) months from the dale accepted
and executed by an authorized representative of UNISYS (the "Effective Date") and
thereafter shall continue on a year-to-)'ear basis unless terminated by either party upon
ninety (90) days wrillen notice prior to the end of the then current annual term.
3. MAINTENANCE
a. UNISYS shall provide maintenance and parts to maintain equipment in good op-
erating condition, Such maintenance shall be provided. as required, during UNISYS
NORMAL BUSINESS HOURS at such location. frequency, and charges as des-
ignated by UNISYS in the EQUIPMENT MAINTENANCE EXHIBIT, attached
hereto and incorporated herein by this reference. As used herein, "UNISYS NOR-
MAL BUSINESS HOURS" shall mean the hours 8:00 a.m. to 5:00 p,m" Monday
through Friday, excluding UNISYS recognized holidays.
b, UPON CUSTOMER'S request, and subject to Ihe availability of field engineers,
additional maintenance may be provided by UNISYS al an additional charge, For
such maintenance rendered the charge. billed on an hourly basis, shall be the
applicable then current UNISYS published rates for expenses. labor and traveltime.
c. Parts necessary to the proper functioning of the equipment shall be furnished at no
additional charge. except parts damaged by causes listed in Paragraph II.c, herein.
d. Parts replaced shall become the property of UNISYS,

10. CUSTOMER INSTALLATION RESPONSIBILITIES
CUSTOMER shall: (i) continuously maintain a log of system use and perfonnance and
make same available to UNISYS upon request; (ii) continuously maintain environmental
conditions. electrical requirements, and site facilities in accordance with UNISYS
recommendations and specifications; (iii) not abuse or misuse the equipment, and (iv)
insure that CUSTOMER personnel are adequately trained to operate the equipment; (v)
be fully responsible for all transpOrtation of the equipment to and from the designated
service location; (vi) provide UNISYS personnel with adequate work space, workbench.
power. storage space for UNISYS proprietary mainlenance and product support ma-
terials, and connections for test purposes to properly maintain the equipment.
11. GENERAL CONDITIONS
a, UNISYS equipment purchased from UNISYS subsequent to the execution of this
Agreement wil be automatically included in this Agreement at the then applicable
current rates upon expiration of any warranty period under the sale agreement unless
CUSTOMER requests otherwise. The first invoice for maintenance for each equip-
ment unit under this Agreement will serve as confinnation that the equipment is so
included.
b. The equipment must be in good operating condition on the Effective Date of this
Agreement.
c. UNISYS is not obligated under the tenns of this Agreement to repair damage to
equipment used either directly or indirectly as a result of (i) nuclear radiation or
radioactive contamination arising out of the use by CUSTOMER of radioactive
material; (ii) accident, negligence, or abuse, of or by CUSTOMER or third parties;
(iii) failure of CUSTOMER to maintain required environmental conditions; (iv)
causes external to the system such as electric power nuctuation or failures; (v) fire.
windstonn. the elements. or acts of God; or (vi) attachment of non-UNISYS equip-
ment or features to the equipment by CUSTOMER or third parties. Such repair will
be rendered only upon specific order by CUSTOMER. and after approval by
CUSTOMER of the estimated charges therefor.
d. IN NO EVENT SHALL UNISYS BE LIABLE FOR LOSS OF PROFITS. INDI-
RECT. SPECIAL. CONSEQUENTIAL OR OTHER SIMILAR DAMAGES ARIS-
ING OUT OF ANY BREACH OF THIS AGREEMENT OR OBLIGATION
UNDER THIS AGREEMENT.
e, UNISYS SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY DELAY
IN FURNISHING OF MAINTENANCE SERVICES UNDER THIS AGREE-
MENT.
e This Agreement may not be amended except in writing signed by an aulhorized
representative of CUSTOMER and the Unisys General Manager. Field Engineering
Services. BMG (or equivalent position). This Agreement constitutes the entire agree-
ment between the parties and supersedes all prior communications. proposals or
agreements relating to maintenance scrvice of the equipment.
g, CUSTOMER agrees that the maintenance and product support materials which are
located at the CUSTOMER'S facility solely for use by UNISYS service personnel
are the property of and prorietary 10 UNISYS and shall be removed by UNISYS or
relurned to UNISYS by CUSTOMER, upon tenninalion of this agreement.
CUSTOMER further agrees to treat as confidential and to protect the proprietary
maintenance and product support material, or any part thereof, from copying or
disclosure to any party,

I. OVERVIEW

Plan E maintenance provides for customer deinstalling any equipment requiring main-
tenance. and moving it to a mutually agreed upon. designated service location. UNISYS
service personnel will, upon a predetennined mutually agreed upon schedule. visitlhe
designated service location and repair the equipment. Customer will return equipment
to using location and reinstall.
2. TERM
The initial tenn of this Agreement shall be twelve (12) months from the date accepted
and executed by an authorized representative of UNISYS (the "Effective Date") and
thereafter shall continue on a year-ta-year basis unless tenninated by either party upon
ninety (90) days written notice prior to the end of the then current annualtenn,
3. MAINTENANCE
a. UNISYS shall provide maintenance and parts to maintain equipment in good op-
e"'ting condition. Such maintenance shall be provided, as required, during UNISYS
NORMAL BUSINESS HOURS at such location, frequency, and charges as des.
ignated by UNISYS in the EQUIPMENT MAINTENANCE EXHIBIT, attached
hereto and incorporated herein by .this reference, As used herein. "UNISYS NOR-
MAL BUSINESS HOURS" shall mean the hours 8:00 a.m. to 5:00 p.m., Monday
through Friday, excluding UNISYSrecognized holidays.
b. UPON CUSTOMER'S request, and subject to the availability of field engineers,
additional maintenance may be provided by UNISYS at an addilional charge. For
such. maintenance rendered the charge, billed on an hourly basis, shall be Ihe
applicable then current UNISYS published rates for expenses, labor and t",vcltime,
c. Pans nccessary to Ihe proper functioning of the equipment shall be furnished at no
additional charge, except parts damaged by causes listed in Paragraph II.c. herein,
d, Parts replaccd shall become the property of UNISYS.
4. AITACHMENTS
CUSTOMER agrees not to employ additional attachments, features, or devices to the
equipment. make alterations to the equipment. or pennit the maintenance of the equip-
ment by other than UNISYS personnel without the written consent of UNISYS. UNISYS
shall not be liable for loss or damage to CUSTOMER resulting therefrom, and
CUSTOMER shall be liablc to UNISYS for any damage or repair COSIS incurred by
UNISYS as a conscqucnce lhcreof.
5. SUPPLIES

Maintenance charges do not include the furnishing of supplies (such as ribbons, cards,
paper tape. paper fonns of magnetic media). Only supplies which meet UNISYS
specifications shall be used by CUSTOMER whcn the perfonnance or maintcnance of
the equipment may be affected.
6. EQUIPMENT INST ALLA TlON AND RELOCATION
UNISYS shall incur no obligation hereunder with respect 10 any inslallation or relocation
of equipment by CUSTOMER, Funher. UNISYS shall incur no liabilily with respect
to CUSTOMER'S installalion, deinstallation or transponation of the equipment.
7. SHIPMENT OF EQUIPMENT
a, The panics agrcc that the method of equipment packaging and shipmenl, both to
and from thc dcsignatcd servicc location, shall be in ~ccordance. with commereially
reasonablc slandards. consistent with the nature of the equipmcnt and the hazards
of transpoDation and handling.
b. All transponation expenses will be borne by CUSTOMER,
8. OTHER SERVICES
In addition 10 the maintcnance provided hererin, UNISYS offcrs othcr maintcnance
services under scparate agreements at applicable chargcs. CUSTOMER may contr.cl
with UNISYS for such additional services. as available, under wrillen agrecmcnls.
CUSTOMER and UNISYS agrce lhat such additional services cannot be the subjcct
of. and shall not be provided by. an oral agreement.
9. CHARGES AND PAYMENT

c, This Agreement may be suspended by UNISYS, without notice, if payment is thiny
(30) days in arrears, or tenninated by UNISYS, without notice, if payment is sixty
(60) days in arrears.
d. Any applicable tax will be added to other charges specified.

menl between the panics and supersedes all prior communications, proposals or
agreements relating to mainlenance service of the equipment.
g. CUSTOMER agrees that the maintenance and product suppon materials which are
located at the CUSTOMER'S facility solely for use by UNISYS service personnel
are the propeny of and prorietary to UNISYS and shall be removed by UNISYS or
returned to UNISYS by CUSTOMER. upon termination of this agreement.
CUSTOMER funher agrees to treat as confidenlial and to protect the proprietary
maintenance and product suppon material, or any pan thereof, from copying or
disclosure to any pany,

WITH THE OBJECTIVE OF KEEPING YOUR UNISYS EQUIPMENT IN SATISFACTORY AND EFFICIENT OPERATION, UNISYS
CORPORATION AGREES TO FURNISH MAINTENANCE SERVICE AT YOUR DESIGNATED LOCATION ON THE EQUIPMENT LISTED IN
ACCORDANCE WITH THE FOLLOWING PROVISIONS:

1. OVERVIEW
Plan E maintenance provides for customer deinstalling any equipment requiring main-
tenance, and moving it to a mutually agreed upon, designated service location. UNISYS
service personnel will, upon a predetermined mutually agreed upon schedule. visit the
designated service location and repair the equipment, Customer will return equipment
to using local ion and reinstall.
2. TERM
The initial term of this Agreement shall be twelve (12) months from the dale accepled
and executed by an authorized representative of UNISYS (the "Effective Date") and
thereafter shall continue on a year-to-year basis unless terminated by either party upon
ninety (90) days written notice prior to the end of Ihe then current annual term.
3. MAINTENANCE
a. UNISYS shall provide maintenance and parts to maintain equipment in good op-
erating condition, Such maintenance shall be provided, as required, during UNISYS
NORMAL BUSINESS HOURS at such location. frequency. and charges as des-
ignated by UNISYS in the EQUIPMENT MAINTENANCE EXHIBIT, attached
hereto and incorporated herein by this reference. As used herein, "UNISYS NOR-
MAL BUSINESS HOURS" shall mean the hours 8:00 a.m. to 5:00 p.m,. Monday
through Friday. excluding UNISYS recognized holidays.
b. UPON CUSTOMER'S request, and subjeclto the availability of ficld engineers,
additional maintenance may be provided by UNISYS at an additional charge. For
such maintenance rendered the charge, billed on an hourly basis, shall be the
applicable then current UNISYS published rates for expenses. labor and traveltime.
c. Parts necessary to the proper functioning of the equipment shall be furnished at no
additional charge, except parts damaged by causes listed in Paragrnph II.c, herein,
d, Parts replaced shall become the property of UNISYS,
4. A 17 ACHMENTS
CUSTOMER agrees not to employ;Wditional attachments. features. or devices to the
equipment, make alterations 10 the equipment. or permit the maintenance of the equip-
ment by otherthan UNISYS personnel without the written consenl ofUNISYS. UNISYS
shall not be liable for loss or damage to CUSTOMER resulting therefrom. and
CUSTOMER shall be liable to UNISYS for any damage or repair costs incurred by
UNISYS as a consequence thereof.
S. SUPPLIES
Maintenance charges do not include the furnishing of supplies (such as ribbons, cards,
paper tape. paper forms of magnelic media). Only supplies which meel UNISYS
specifications shall be used by CUSTOMER when the performance or maintenance of
the equipment may be affected.
6. EQUIPMENT INST ALLA TlON AND RELOCATION
UNISYS shall incur no obligation hereunder with respect to any installation or relocation
of equipment by CUSTOMER, Further. UNISYS shall incur no liability with respect
to CUSTOMER'S installation, deinstallation or transportation of the equipment.
7. SHIPMENT OF EQUIPMENT
a, The parties agree that the method of equipment packaging and shipment. both to
and from the designated service location, shall be in accordance with commereially
reasonable standards. consistent with the nature of the equipment and the hazards
of transportal ion and handling.
b. All transportation expenses will be borne by CUSTOMER.
8. OTHER SERVICES
In addition to the maintenance provided hererin, UNISYS offers other maintenance
services under separate agreements at applicable charges. CUSTOMER may contract
with UNISYS for such additional services. as available, under writtcn agreements.
CUSTOMER and UNISYS agree that such additional services canROt be the subject
of, and shall not be provided by. an oral agreement.
9. CHARGES AND PAYMENT
a, The parties acknowledgt that while the EQUIPMENT MAINTENANCE EXHIBIT
shall list maintenance rates current as of the Effective Date of this Agreement, the

applicable maintenance rate for services provided hereunder. being subject to change,
shall be those in effect al the time of invoicing.
b. CUSTOMER agrees to pay maintenance charges upon submission by UNISYS of
a correct invoice therefor, Invoices shall be submitted on or about the first day of
each period for which services are to be provided.
c. This Agreement may be suspended by UNISYS, without notice, if payment is thirty
(30) days in arrears, or terminated by UNISYS, wilhout notice, if payment is sixty
(60) days in arrears,
d. Any applicable laX will be added to other charges specified.
10. CUSTOMER INSTALLATION RESPONSIBILITIES
CUSTOMER shall: (i) continuously maintain a log of system use and performance and
make same available to UNISYS upon request; (ii) continuously maintain environmental
conditions, electrical requirements, and site facilities in accordance with UNISYS
recommendations and specifications; (iii) not abuse or misuse the equipment. and (iv)
insure that CUSTOMER personnel are adequately trained to operate the equipment; (v)
be fully responsible for all transpOrtalion of the equipmenl to and from the designated
service location; (vi) provide UNISYS personnel with adequate work space. workbench,
power. slorage space for UNISYS proprietary maintenance and product support ma-
terials, and conneclions for test purposes to properly maintain the equipment.
II. GENERAL CONDITIONS
a, UNISYS equipment purchased from UNISYS subsequent to the execution of this
Agreement wil be automatically included in this Agreement at the then applicable
current rates upon expiration of any warranty period under the sale agreement unless
CUSTOMER requests otherwise. 1be fi",t invoice for maintenance for each equip-
menl unil under this Agreemenl will serve as confirmation thai the equipment is so

b. 1be equipment must be in good operating condition on the Effective Date of this
Agreement.
c. UNISYS is no! obligated under the terms of this Agreement to repair damage to
equipment used either directly or indirectly as a resull of (i) nuclear radiation or
radioactive contamination arising out of the use by CUSTOMER of radioactive
material; (ii) accident, negligence, or abuse, of or by CUSTOMER or third parties;
(iii) failure of CUSTOMER to maintain required environmental conditions; (iv)
causes external to the system such as electric power fluctuation or failures; (v) fire,
windstorm, the elements. or acts of God; or (vi) attachment of non-UNISYS equip-
ment or features to the equipment by CUSTOMER or third parties. Such repair will
be rendered only upon specific order by CUSTOMER, and after approval by
CUSTOMER of the estimated charges therefor.

d. IN NO EVENT SHALL UNISYS BE LIABLE FOR LOSS OF PROFITS, INDI-
RECT, SPECIAL, CONSEQUENTIAL OR OTHER SIMILAR DAMAGES ARIS-
ING OUT OF ANY BREACH OF THIS AGREEMENT OR OBLIGATION
UNDER THIS AGREEMEm.
e, UNISYS SHALL NOT BE LIABLE FOR ANY DAMAGES CAUSED BY DELAY
IN FURNISHING OF MAINTENANCE SERVICES UNDER THIS AGREE-
MENT,
f. This Agreement may not be amended except in writing signed by an authorized
representative of CUSTOMER and the Unisys General Manager, Field Engineering
Services, BMG (or equivalent position). This Agreement constitutes the entire agree-
ment between the parties and supersedes aU prior communications, proposals or
agreements relating to maintenance service of the equipment.
g. CUSTOMER agrees that the maintenance and product support materials which are
located at the CUSTOMER'S facility solely for use by UNISYS service personnel
are the property of and prorietary to UNISYS and shall be removed by UNISYS or
returned to UNISYS by CUSTOMER, upon tennination of this agreement.
CUSTOMER further agrees to treat as confidential and to protect the proprietary
maintenance and product support material, or any part thereof, from copying or
disclosure to any party.
CUSTOMER BY ITS SIGNATURE ACKNOWLEDGES THAT IT HAS READ
THIS AGREEMENT, UNDERSTANDS IT AND AGREES TO ALL ITS TERMS
AND CONDITIONS.
