TIDEMARK COMPUTER SYSTEMS, INC.
This Contract for Software Program and Consultant Services (hereinafter referred to as "this
agreement") is entered into by and between the City of Clearwater, a political subdivision of the
State of Florida (hereinafter referred to as "Licensee') and Tidemark Computer Systems, Inc"
a Washington corporation, (hereinafter referred to as "Tidemark").
REPRESENTATIONS:
A. Tidemark has developed and is the owner of a proprietary computerized permit
management system called PERMIT*PLAN and has the capability to install and implement this
system for Licensee,
B, Licensee desires to retain Tidemark to implement and install the PERMIT*PLAN system
for Licensee.
C. Licensee and Tidemark wish to memorialize their agreements and are executing this
agreement to provide the complete terms and conditions of their mutual understandings,
AGREEMENTS:
Based upon the above representations and in consideration of the mutual promises, payments,
covenants and agreements herein, the parties agree as follows:
1. Scope of Services and Products. The services and products governed by this
agreement are described on Exhibit A, Scope of Work, Products, and Implementation Plan.
2. Tidemark's Responsibilities. Tidemark agrees to provide the products and services
described on Exhibit A in accordance with the terms and conditions of this agreement.
3. Licensee's Responsibilities. Licensee agrees to cooperate with Tidemark in
Tidemark's performance of this agreement. Specifically, Licensee will furnish and supply those
items described on Exhibit C. Exhibit A contains a number of completion milestones relating to
the performance of various phases of the services to be provided under this agreement.
Tidemark's obligation to proceed under this agreement is subject to the Licensee's written
authority to proceed executed at the completion of Milestones 14 and 24 of the Implementation
Plan in Exhibit A. Licensee agrees to not unreasonably withhold its authority to proceed and to
promptly provide the authority to proceed at each phase so as to permit Tidemark to complete its
performance in a timely manner,
If Licensee causes a delay in the implementation of this agreement exceeding 90 days, then
Tidemark reserves the right to increase its hourly rates under this agreement to the standard
rates charged its new PERMIT*PLAN customers,
4. Payment for Services and Products. In consideration of the services and products
provided by Tidemark pursuant to this agreement, Licensee will compensate Tidemark in
accordance with the Estimated Cost Summary and Payment Terms attached hereto as Exhibit
(1(t/

B, Except as otherwise provided on Exhibit B, Tidemark's compensation is on an hourly basis
for services performed,
A. Timing of Payments. Tidemark shall submit invoices for payment in
accordance with the payment schedule provided in Exhibit B, and within thirty (30) days of
billing date Licensee will make payment of the billed amounts (less the retainage described
below) to Tidemark. Payment shall be by check delivered to Tidemark at the address herein for
notices, or by wire transfer to Tidemark's bank account.
B. Retainage. Licensee shall be entitled to withhold retainage of ten percent (10%)
from each payment paid to Tidemark (except travel reimbursements) except the final payment
under this agreement. All retainage amounts shall be paid within thirty (30) days of final
completion of this agreement by Tidemark, and system acceptance by the Licensee,
C. Late Payment. Any payment due Tidemark not paid to Tidemark within thirty
(30) days of billing shall accrue a late payment fee as governed by F.S, #218,70,
5. Changes to Scope of Work and Payment. Licensee and Tidemark agree that no
changes to the scope of services and products described on Exhibit A are effective unless and
until a written change order has been executed by both Licensee and Tidemark, which change
order states the deletion, addition or other modification to the scope of work, the adjustment to
the Estimated Total for Products and Services, and the adjustment, if any, to the schedule for
completion of the work, In the event that Licensee requests modifications or additions to the work
performed in a particular phase after Licensee has authorized Tidemark to proceed to a
subsequent phase, such modifications or additions shall be deemed a change in the scope of
work, The party desiring a change to the scope of work shall submit a written request to the other
party containing the description of the item or items to be changed and the proposed adjustment
in the compensation therefore, The parties acknowledge that presently unanticipated custom
modifications to the products or services being provided under this agreement may be requested
by Licensee, In such event, Licensee shall submit a change order request for Tidemark's
consideration pursuant to this paragraph.
6. Time of Perfonnance. Tidemark shall substantially complete its performance under this
Agreement by 365 calendar days from the date of this Agreement. Attached as Exhibit A is a
schedule of anticipated dates for completion of each of the phases of the services to be provided
under this Agreement. Such schedule is provided for the sole purpose of allowing the parties to
determine from time to time whether work is progressing at a rate which is adequate to meet the
scheduled completion date, In the event that Tidemark's performance is delayed or hindered for
any reason by Licensee, a reasonable extension of the substantial completion date shall be
granted by Licensee.
7. Proprietary Infonnation; License Agreement. Licensee acknowledges and agrees that
the PERMIT*PLAN software and all manuals, documents and other supporting materials are the
proprietary copyrighted property of Tidemark, and that Tidemark shall at all times retain
ownership in and all rights to the software and related documentation,
The Licensee agrees not to permit the PERMIT*PLAN software manuals or supporting materials
to be copied, in whole or in part, except as explicitly permitted in this agreement. Tidemark
agrees to allow Licensee to copy manuals and supporting materials for Licensee's own use,
provided said copies contain Tidemark's copyright notice. If Licensee makes changes to manuals
or supporting materials before copying and distribution, copies must still contain Tidemark's
copyright notice, Licensee agrees not to release, disclose, sell, give or otherwise make available
the software or any proprietary information contained in the software or materials supplied by

Tidemark to any third person, entity or municipality. In the event of any unauthorized
reproduction of the PERMIT*PLAN software or related materials which occurs while the software
or materials subject to this agreement are in the possession of Licensee, Tidemark may
terminate this agreement and/or the license granted hereunder, and Tidemark shall have all
remedies available at law or in equity for injunctive relief and/or the recovery of damages,
In the event this agreement is terminated according to the terms in paragraph 13 of this
agreement, and Licensee is the defaulting party, all software installed pursuant to this agreement
and all supporting materials delivered shall be immediately returned to Tidemark, If Tidemark is
the defaulting party, Licensee shall retain the right to possess, use, and modify the software
delivered before the date of termination, under the terms of this license agreement.
Tidemark grants to Licensee, as part of this agreement and subject to its terms, a non-exclusive
license to utilize the PERMIT*PLAN CS software installed pursuant to this agreement on one
host, file server, or database server at Licensee's principal office for production use and to install
one copy of the PERMIT*PLAN CS software on one or more separate hosts, file servers, or
database servers for system development and testing,
Tidemark also grants to Licensee, as part of this agreement and subject to its terms, the right to
possess source code for PERMIT*PLAN CS and to modify said software for Licensee's own use,
8. Authorized Contact and Decision Making Persons. Licensee and Tidemark agree to
designate individuals within their respective organizations who have the primary responsibility
and authority for: a) contacts with the other party (project coordinator); and b) the supervision
and administration of this agreement and to execute changes to this agreement.
Until substitute individuals are designated in writing by Licensee or Tidemark, the following
individuals are designated in writing by Licensee or Tidemark, the following individuals are
designated and the parties may rely upon these persons for all matters pertaining to this
agreement.

9. Notices. All notices required or authorized by this agreement shall be in writing and

10. Limited Warranty; Limitation of Liability.
A. Limitation of Warranty. Tidemark's products and services are provided on an
"as-is" basis, and except as provided expressly in this paragraph, Tidemark makes no warranty
of any kind, express or implied, including without limitation any warranty of merchantability or
fitness for particular purpose,
B. Third-Party Products. Tidemark shall not in any manner be responsible for
software or programs manufactured by vendors other than Tidemark.
C. Limitation of Liability, Licensee agrees that Tidemark's liability for any breach of
this agreement, regardless of the form of action, claim or procedure, shall be limited to a claim
for money damages not exceeding the total amount actually paid by Licensee to Tidemark for
the products and services Tidemark is obligated to provide under this agreement. In no event
shall Tidemark be liable for any consequential, indirect or special damages, resulting from or
related to any failure of the products or services provided by Tidemark, including without
limitation, loss of data or delay in the delivery of permits.
D. Limited Warranty. The PERMIT*PLAN software programs, the instruction
manuals, and reference materials delivered to the Licensee are warranted against defect in
materials and workmanship for a period of six (6) months from the date of completion of this
agreement by Tidemark, During this six (6) month period, Tidemark will remedy defects in the
software, manuals and reference materials without charge within a reasonable length of time
following Tidemark's receipt of a problem report sheet.
To obtain warranty service, Licensee must submit a written problem report sheet to Tidemark on
forms provided by Tidemark,
This warranty shall be null and void if any changes are made by the Licensee or its agents to any
of the standard tables or system utilities not accessible from the PERMIT*PLAN utilities menu,
This warranty shall not apply to any materials which have been altered or repaired by anyone
other than Tidemark. This warranty shall not apply to any materials subject to misuse no to any
materials which are not operated in accordance with the printed instructions of Tidemark,
E. Beyond Warranty Period Maintenance Ootion, Following the six month warranty
period, updates of the programs and maintenance of the PERMIT*PLAN system will be available
from Tidemark only pursuant to the PERMIT*PLAN Software Maintenance Policy, Licensee shall
have the option of subscribing to the PERMIT*PLAN Software Maintenance Policy by paying the
maintenance fee as specified in Exhibit B. The version of the PERMIT*PLAN Software
Maintenance Policy current as of the time of this agreement is attached hereto as Exhibit 0 and
incorporated herein by this reference. Tidemark agrees not to increase the percentage of Total
Installed Price, upon which the maintenance fee is based, for a period of two years after
completion of this agreement.
11. Subcontracts. Licensee acknowledges that Tidemark may provide some of the products
or services required by this agreement by hiring subcontractors,
12. Completion of Contract; Acceptance Procedures. When Tidemark has completed its
performance under this agreement, it shall submit a Notice of Completion to Licensee. Licensee
shall have thirty (30) days from receipt of the Notice of Completion to inspect the installed
software system, and if not in compliance with this agreement, reject the system in writing,
Licensee shall not unreasonably reject the system, During the 30-day inspection period,

Tidemark shall assist Licensee in reviewing and testing the software system to verify its
compliance with the terms and conditions of this agreement. At the end of the 30-day inspection
period, if Licensee has not delivered in writing to Tidemark a Notice of Rejection outlining the
specific deficiencies in the system, the system shall be deemed complete and accepted by the
Licensee, After acceptance, the Licensee shall make the final payment due under this
agreement, including the payment of all retainage.
13. Termination. This agreement may only be terminated upon the material breach of the
provisions of this agreement by either party in accordance with this paragraph, In the event of
material breach by one party, the non-defaulting party desiring to terminate the agreement shall
give ten (10) days written notice of termination to the defaulting party and provide the defaulting
party with the opportunity to consult with the non-defaulting party and cure the default, prior to
termination. If the non-defaulting party does not withdraw its notice of termination, this
agreement shall be deemed terminated ten days after the notice of termination, If the Licensee
terminates Tidemark for Tidemark's breach, Tidemark shall be entitled to the compensation
earned through the date of termination.
14. Non-Waiver. The failure of either party to object to a breach of this agreement shall not
prevent that party from thereafter objecting to that breach or any other breach of this agreement.
15. Attorney's Fees. In the event of litigation to resolve a dispute arising under this
agreement, the substantially prevailing party in such arbitration or litigation shall be entitled to all
litigation expenses, actual attorneys' fees and costs, and all such expenses incurred in any
appellate action.
16. Venue; Governing Law. This agreement shall be governed by the laws of the State of
Florida, The venue of any action under this agreement shall be Pinellas County, Florida,
17. Entire Agreement. This agreement, together with the exhibits incorporated herein,
represents the entire understanding between Licensee and Tidemark and supersedes all prior
agreements whether written or oral. This agreement may only be amended, supplemented, or
modified by a writing executed by both Licensee and Tidemark,
18. Sale or Acquisition. If Tidemark is sold or otherwise acquired by another entity, then
all rights and obligations under this agreement shall survive such sale or acquisition unless
Licensee consents to any changes in writing.

Exhibit A
Scope of Work and Products:
Tidemark Computer Systems, Inc. has been chosen to provide PERMIT*PLAN CS permit
management software, along with maintenance, training and other services specified below.
Tidemark will provide a software license agreement and install the PERMIT*PLAN CS,
configured to use ORACLE's relational database management system, on Licensee's
client/server hardware architecture.
The City will run PERMIT*PLAN CS under Windows95. As of the date of this agreement,
PowerBuilder version 4, the latest release of PowerBuilder, is stated by PowerSoft to be
"compatible" with Windows95 but not .compliane, powerBuilder version 5 is stated by PowerSoft
to be .compliant" with Windows95. PERMIT*PLAN CS' compatibility and compliance with
Windows95 is dependent on that of PowerBuilder. Tidemark will implement PERMIT*PLAN CS
at the City with PowerBuilder version 5, unless it is not available, in which case Tidemark will
implement PERMIT*PLAN CS with PowerBuilder version 4. Should an incompatibility problem
arise between PowerBuilder version 4 and Windows95 which affects PERMIT*PLAN CS,
Tidemark will work with the City to resolve the incompatibility or will provide a work around,
Should the incompatibility problem be so severe that it can only be resolved by installing version
5 of PowerBuilder, and version 5 has not been released by PowerSoft, Tidemark will agree to a
slide in the schedule until such time as version 5 of PowerBuilder is available, at no penalty to
the City,
Upon receiving a copy of the fully executed contract, Tidemark will deliver to the City, on
diskette, a copy of the source code for the customer-specific part of the software, including: all
PowerBuilder dynamic libraries (PERMIT*PLAN .PBD files), and customer specific ,PBl files
(TPC*,PBl files), and a copy of the source code for the core PERMIT*PLAN CS,
Tidemark will provide installation and configuration assistance to produce the case types, and
forms specified in Exhibit B, Estimated Cost Summary and Payment Terms, Tidemark estimates
this work will require 400 hours. This number of hours is expected to be sufficient to produce the
number of custom case types, and forms as listed, However, in the event more customization
time is required, Tidemark and the City will execute a change order per Paragraph 5 of the
Contract.
Tidemark will deliver and install the PERMIT*PLAN CS Base System on the City's hardware,
Tidemark will perform a systems analysis of the City's needs to determine exactly which permit
types are required and what data will be collected and stored by the system, Tidemark will use
the information from a series of structured interviews in determining how PERMIT*PLAN is to be
customized for the City. Up to four (4) drafts and one (1) final copy of a design document,
consisting of entity-relationship diagrams, data dictionary, case screens designs will be
produced, Tidemark will also determine the structure of the fees related to each permit type,
Tidemark will produce up to two (2) drafts and one (1) final copy of the designs for the custom
forms. These forms will be produced using PowerBuilder Report Writer software.
Tidemark will install the configured system produced from the design document, set up the initial
actions library which defines the process to be followed in managing each permit type, and set
up the fee and valuation tables, City staff will be instructed how to enter conditions into the
PERMIT*PLAN database so that they may be attached to appropriate cases,

Tidemark will review the parcel data file format and develop a program to convert and import
those data to the PERMIT*PLAN database. Tidemark will develop a program to convert and
import historical license data, supplied as one ASCII file,to the PERMIT*PLAN database.
Tidemark will provide basic user training for a maximum of thirty (30) users, Basic user training
will consist of one all-day session (6 hours) in a class of no more than 10 students,
Tidemark will provide two (2) additional days (6 hours each) of System Utility training to a
maximum of six (6) City staff.
The following system documentation shall be provided by Tidemark:
1) 30 copies of the PERMIT*PLAN Basic User Guide and class workbook.
2) 30 copies of PERMIT*PLAN Quick Reference Guide
3) 6 copies of the PERMIT*PLAN System Utilities Manual
IMPLEMENTATION PLAN AND SCHEDULE
The customizing and installation of PERMIT*PLAN will take place according to the estimated
schedule shown below. Since this project involves the interaction of a number of individuals on
the staff at the City and at Tidemark, the dates given below may change as the project proceeds,
The column titled "Responsible Party" shows those tasks in which City staff will either be
involved or for which they will be entirely responsible, Most tasks assigned to the City are
reviews, data gathering, and testing, Your staff will, of course, be expected to attend training

Terms of payment:
Payment of the license fee (less 10% retainage) shall be due upon signing the Contract for
Software Program and Consultant Services. Thereafter, at the beginning of each month,
Tidemark will invoice the City for the number of hours worked the previous month (less 10%
retainage), for any items delivered the previous month and charged by flat fee (less 10%), and
for actual travel expenses (no retainage), if any, incurred the previous month. Upon final system
acceptance from the City, Tidemark will invoice the City for the retainage. The City is
responsible for all federal, state and local sales, excise, and use taxes.

LIST OF HARDWARE AND SOFTWARE TO BE PROVIDED BY THE CITY
The City shall be responsible for the purchase, maintenance, and support of all PC and network
hardware and software. PC and network hardware and software will conform to the following
minimum requirements:
HARDWARE and SOFTWARE REQUIREMENTS
CLIENT ENVIRONMENT. Each client shall be running Microsoft Windows 95 as the client
(front-end) operating environment. Machines must be 100% IBM compatible PC's with 60 MHz
Pentium, P6 or faster processor and 16 Mb of RAM and SVGA graphics. Machines must have a
hard disk with 20 meg of space available for PERMIT*PLAN CS software), a 3.5" floppy diskette
drive, a network interface card, DOS 6.00 or higher. Sufficient RAM is probably the single most
important factor affecting performance.
Note: As a minimum, a 33 MHz 486DX with 12 meg of RAM and VGA graphics may be used for
occasional lookups and light data entry, but not for production data entry of permit cases, forms
printing, or reporting. SX processors are not recommended.
DATABASE SERVER. City shall maintain, on its premises, a computer dedicated for use as a
database server. Server will be a Digital Equipment Corporation AXP 2000 4/233 single
processor; 128 Mb of memory; and 10GB RAID 5 disk, or better. This server will run the AXP
NT operating system, on a TCP/IP network, using the Oracle database. This server configuration
has been reviewed by Tidemark prior to purchase, and is stated, by Tidemark, to be able to
provided services for a 25 concurrent user network. The City shall acquire copies of
PowerBuilder and the RDBMS for its own hardware and network. The City shall be responsible
for providing hardware and database updates as the installed user base grows.
NETWORK. City shall install a TCP/lPlWindows NT network, with Windows95 on the client
workstations.
ROBMS. The City shall acquire its own licenses for Oracle for the appropriate number of
concurrent users. Note that ORACLE's RAM requirements are in addition to those of
PERMIT*PLAN CS.
MODEM, REMOTE COMMUNICATIONS SOFTWARE, AND DIAL-UP LINE.
One PC on the network shall be equipped with a minimum 14.4 MBPS, Hayes-compatible
modem, PC Anywhere for Windows remote communications software (current release when
purchased), and a voice-grade telephone line for remote support and service.
PRINTERS.
Laser Printers. HP LaserJet Series II, liP, 110, III, IIIP, 1110, IV, HP OeskJet, and other laser
printers that are 100% HP compatible.
Dot Matrix Printers. Most 9-pin and 24-pin dot matrix impact printers equipped with a tractor
feeder, including dot matrix printers from IBM, Epson, Okidata, Panasonic, Citizen,
Mannesmann Tally, and others. The tractor feeder should be a "push" tractor that feeds the
paper before the roller.
HARD DISK BACKUP. A cartridge tape backup unit is strongly recommended to make daily
backups of all files in the PERMIT*PLAN home directory and its sub-directories.

UNINTERRUPTIBLE POWER SUPPLY (UPS). A UPS large enough to run the file server is
strongly recommended to help protect your programs from power failures, black-outs, and brown-
outs.
HARDWARE FOR INSPECTOR MODULE. The City shall provide one MS-DOS based
computer suitable for use in the field for each inspector, and one connectivity pack for each four
inspector machines.
HARDWARE FOR CASHIER MODULE. The City shall provide one dedicated PC conforming to
the specifications above for each user of the CASHIER module.

The customer shall provide a dial-up modem port to the system, for maintenance access by Tidemark
personnel. Such port shall be equipped with a minimum 9,600 BPS modem, and be available 24 hours a

PERMIT*PLAN.
The customer shall be responsible for making corrections to any program modules added or modified by
customer, when the software does not rform as documented.

where such enhancements affect modules that have been added or modified by the customer. TIDEMARK
can not guarantee compatibility between enhancements provided by TIDEMARK and program additions
and modifications done b the customer.
The customer shall be responsible for performing daily backups of all PERMIT*PLAN and RDBMS
stem and data files.
The customer shall be responsible for operating and maintaining a suitable Uninterruptible Power Supply

Terms and Conditions:
1. Payment for Economy Support on a per incident basis must be made by either Mastercard or Visa.
Credit card charges must receive bank authorization by phone prior to beginning work. In the event
the requested support will take more than three hours, Tidemark will prepare an estimate of the
required scope of work and cost. Work over and above the three hour limit per incident will require a
change order authorized in advance by the customer.
2. Under Economy Support, all requests for on-site service, product changes, enhancements, training,
and other services .must be authorized by the customer in advance by a written change order detailing
the scope of work, costs, and payment involved for the requested work.

3. Standard Support provided under this policy shall be provided to the customer for a period of one year
upon receipt of the annual maintenance fee by Tidemark. Tidemark will invoice the customer each
year, on or before the customer's anniversary date, for the following year's maintenance. The cost of
Standard Support is twelve percent (12%) of the Total Installed Price of Tidemark's software, plus
any applicable sales taxes, excise taxes, and duties.
4. In the event that either party brings a lawsuit to enforce this policy, the prevailing party shall be
entitled to its costs and attorney's fees. The laws of the State of Florida shall govern in such a case.
