CONSENT TO ASSTGNMENT OF AGREEMENT
tiHEREAS, by that certain Agreement made as of October 17,
1977 between The City of Clearwater ("City") and The Philadelphia
National League Club, Inc. ("Club"), Club agreed to conduct its
annual Spring TFaining in Clearwater and City agreed to provide
Jack Russell Stadium and appurtenant facilities, pursuant to terms
and conditions more fully described in the Agreement; and
WHEREAS, Club is about to sell, assign, transfer, convey
and deliver substantially all of its assets, including without
l~itation all of its right, title and interest in, to and under
the Lease, to The Phillies, a Pennsylvania Limited Partnership
("Assignee") and, in connection with that sale, transfer and assign-
ment, Ass~gnee shall assume and agree ,to pay, perform, satisfy and
discharge substantially all of the debts, obligations, contracts
and liabilities of Club, including without limitation all of Club's
obligations and liabilities under the Agreement.
NOW, THEREFORE, City, intending to be legally bound,
hereby consents to such assignment by Club to Assignee of all of
Club's right, title and interest in, to and under the Agreement and
agrees that, effective upon the consummation thereof and of such
assumption by Assignee of all of Club's obligations and liabilities
under the Lease, Club shall be released from all of its obligations
and liabilities under the Agreement and 'City shall thereafter look
solely to Assignee for performance of Club's obligations and the
