CONSENT TO ASSIGNMENT OF LEASE
WHEREAS, by'that certain Lease made as of February 26,
1966 between The City of Clearwater ("Lessor") and The Philadelphia
National League Club, Inc. ("Lessee"), as amended (the "Lease"),
Lessor demised unto Lessee and Lessee rented from Lessor, the
baseball fields, practice fields and appurtenant facilities known
as the Carpenter Complex, pursuant to terms and conditions more
fully described in the Lease; and
WHEREAS, Lessee is about to sell, assign, transfer, convey
and deliver substantially all of its assets, including without'
limitation all of its right, title and interest in, to and under
the Lease, to The Phillies, a Pennsylvania Limited Partnership
("Assignee") and, in connection with that sale, transfer and assign-
ment, Assignee shall assume and agree to pay, perform, satisfy and
discharge substantially all of the debts, obligations, contracts
and liabilities of Lessee, including'without limitation all of
Lessee's obligations and liabilities under the Lease.
NOW, THEREFORE, Lessor, intending to be legally bound,
hereby consents to such assignment by Lessee to Assignee of all of
Lessee's right, title and interest in, to.and under the Lease and
agrees that, effective upon the consummation thereof and of such
assumption by Assignee of all of Lessee's obligations and liabilities
under the Lease, Lessee shall be released from all of its obligations
and liabilities under the Lease and Lessor shall thereafter look
solely to Assignee
