a municipal corporatior, hereinafter
referred to as "City", and THE PHILADELPHIA NATIONAL LEAGUE CLUB,
INC., a Pennsylvania corporation, hereinafter referred to as
"Club";
WIT N E SSE T H
WHEREAS, the Club recognizes the need for improving
the locker room facilities at Jack Russell Stadium, which is
owned by the City and leased to the Club during its winter season;
and
WHEREAS, the Club is willing to build a new clubhouse
facility at its expense; and
WHEREAS, the City is willing to permit such construction
subject to certain conditions;
NOW, THEREFORE, in consideration of the mutual covenants
and agreements herein contained and other valuable considerations,
the parties hereto mutually agree as follows:
1. The Club shall construct a new clubhouse facility,
at its expense, at the Southeast corner of the Stadium within the
block walls surrounding the Stadium, on the location designated
by the City Engineering Department. Such construction shall be
commenced immediately and shall be completed on or before March 1,
1975. A site plan shall be provided by the City Engineering
Department for the contractor and the Building Department showing
the specific location. Said facility shall be constructed in
accordance with the plans and specifications as submitted by the
contractor and approved by the City Engineer, a copy of which

marked "Exhibit A", is attached hereto and made a part hereof.
2. The Club shall relocate, at its expense, the
required portion of the batting cages to accommodate the
facility in the above specified location.
3. The Club shall install an adequate hot water unit
in the new clubhouse facility.
4. The City shall maintain the clubhouse facility
and keep the same in a proper state of repair and shall hold
the Club harmless from any liability arising out of negligence
on the part of the City in connection with such maintenance.
The City shall also provide utility service in connection with
utilization of the facility.
5. The Club and the City agree that the clubhouse
facility may be made available to other groups at the discretion
of the Director of Parks and Recreation when the Club is not
using same.
6. The Club and the City. further covenant and agree
that the current Agreement, dated April 19, 1965, between the
said parties concerning Spring Exhibition Games in and use of
Jack Russell Stadium shall be extended for an additional one
year period so as to terminate after Spring Training in 1977.
It being understood that at such termination the agreement will
be renegotiated taking into consideration all City costs at
that time. All other existing provisions iT laid agreement,
dated April 19, 1965, not in conflict herewith, are hereby
ratified and confirmed between the parties.
