municipal corporation, hereinafter referred to as "City" and THE MILLS LAND
DEVELOPMENT GROUP, INC., hereinafter referred to as "Owner".
WITNESSETH:
WHEREAS, the Owner now owns the real property, located outside the
municipal boundaries of the City of Clearwater, but within the City of Clearwater
service area, which property is described in Exhibit A attached hereto and
incorporated herein, hereinafter referred to as "Property"; and
WHEREAS, the Owner desires to have said Property annexed into the City
and thereby have said Property receive the benefit of the municipal services of the
City, and the Owner further desires to receive the assurances of the City of the zoning
districts that will be applied to said Property and the density allowa~e for
development thereof; and
WHEREAS, the City desires to annex said Property into the City and to
receive from the Owner its commitment to pay certain sums to the City in lieu of land
donation for parks and recreation; and
WHEREAS, the City is agreeable to receiving the annexation of said
Property into its municipal boundaries and providing said Property with municipal
services, including, but not limited to, water and sewer, as such services are normally
provided within the rest of the City, upon the certain conditions and considerations
hereinafter set forth.
NOW, THEREFORE, the parties hereto covenant and agree as follows:
I. The Property shall be annexed into the City of Clearwater following
the passage of an ordinance in accordance with the procedure set out in Section

2. The City does hereby agree that adequate capacities for water and ~,,'

sewer services are available, that the City will provide said services to the property ~~': ;'

and will permit the Owner to connect to its sanitary sewer and water mains at the ~::.~ -I
Owner's expense.
3. The City agrees that:
a. It will accept an application for residential development of that portion
of the Property which is designated as RM 12 on Exhibit B attached hereto subject to

the City's site plan review procedures. The City will process an RPD application
subject to all existing requirements including density.
b. It will accept an application for development of that portion of the
Property which is designated as PS on Exhibit B attached hereto subject to the City's
site plan review procedures. Said development will not exceed 55,000 square feet
gross floor area.
c. It will accept an application for development of that portion of the
Property which is designated as CP on Exhibit B attached hereto subject to the City's
site plan review procedures. Said development will not exceed 210,000 square feet of
gross floor area.
d. The portion of the property to be designated by the City in accordance

with the state statutes and rules as aquatic lands as shown on Exhibit B attached
hereto may be utilized to store storm water runoff as a natural detention area

provided that no excavation or other alteration of the natural drainage system is
accomplished, or that no uses of this area inconsistent with the permitted or special
exception uses allowed in the Aquatic Lands District will be accomplished.
e. The City understands and agrees that it will not be bringing the
property which is the subject of this Agreement back for rezoning during the next
five-year period; however, the Owner acknowledges that the City is presently engaged
in a complete redrafting of its zoning code and agrees to be bound by the substantive
provisions contained in the zoning district applicable to the property as set forth in the
new zoning code.
4. In consideration of the covenants and conditions contained herein on
\ the part af the City, the Owner agrees:
a. To pay to the City a total of One Hundred Forty-Eight Thousand Three
Hundred Forty-Eight Dollars and Eighty Cents ($148,348.80) in lieu of land donation
for parks and recreation. Said sum was determined based on a value of One Million
Four Hundred Eighty-Three Thousand Four Hundred Eighty-Eight Dollars
($1,483,488.00) for 26.43 acres to be annexed as described in Exhibit A attached
hereto. Said sum is to be paid by Owner to City under the following terms and in the
following manner:
(I) The entire sum, together with interest as hereinafter required,
shall be paid no later than two (2) years from the date of annexation of the
Property into the City, or upon issuance of building permits by the City for
the development of all the Property, whichever first occurs.

A pro rata share of the sum of One Hundred Forty-Eight

Thousand Three Hundred Forty-Eight Dollars and Eighty Cents
($148,348.80), together with interest thereon as hereinafter may be
required, shall be paid upon the issuance of the first building permit for
each of the aforementioned parcels as previously identified in paragraph 3a
b c, or more specifically shown on Exhibit B. Payment of a pro rata
portion of the total sum shall only constitute a partial satisfaction of the
requirement set out in paragraph 4a and shall not extend the total time
period set out in paragraph 40( I). Payments shall be prorated between the
parc els as fo Ilows:

(3) One (I) year after the date of annexation of the Property,
interest shall accrue at the rate of thirteen per cent (13%) per annum on
the then outstanding balance of the sum due of One Hundred Forty-Eight
Thousand Three Hundred Forty-Eight Dollars and Eighty Cents
($148,348.80) due hereunder.
b. That the terms and provisions of this Agreement shall be binding upon
its successors and assigns, and that this document be recorded by the City upon
annexation of the Property.
c. That the terms and provisions of this Agreement shall be a
commitment and obligation which shall not only bind Owner, but shall also be a
covenant which will run with the land and shall bind and be enforceable against all
subsequent owners of the Property, whether or not this Agreement is referred to or

mentioned in any deed or instrumeflt of conveyance of the Property to said owners.
5. If either party or its successors or assigns shall default in the
performance of the terms and provisions of this Agreement, then the other party may
institute legal proceedings to enforce the terms and provisions hereof, and in which
event the prevailing party shall be entitled to recover all cost of such proceedings,
including, but not limited to, reasonable attorney's fees, through appeal in connection
therewith.
6. Any notice required to be given by the terms of this Agreement or
under any applicable portion hereof by either party shall be in writing and shall be
either hand delivered or sent by certifi ed or registered mail, postage prepaid, to the
parties as follows:

7. This annexation agreement, except as provided in paragraph 3.e, and
the terms and provisions contained herein shall not be construed to constitute any
form of limitation on the zoning power possessed by the City Commission. Further,
this agreement shall not be construed as an agreement exempting Owner from any
future growth management program.
