1.02. ORDINANCE TO CONSTITUTE CONTRACT In consideration of the ;+.

(d) "Holder of Bonds" or "bondholders", or ahy sim) )or term, shall
moon any parson who shall be the bearer or owner of any outstanding Bond or Bonds
registered to bearer or not registered, or the registered owner of any outstanding
Bond or Bonds which shall at the time be registered other than to bearer, or of
any coupons representing interest accrued or to accrue on said Bonds.
(e) "Parking Facilities" shall mean all parking lots, garages, buildings
and other structures, all parking meters or other equipment, machinery or devices for
obtaining revenue from public parking of vehicles, entrances, exits, fencing and all
other facilities, equipment and accessories necessary or desirable for the public
parking of vehicles, both In or on the streets of said City and off the streets of
said City, for which fees or other charges are fixed, established and collected,
and all properties real, tangible or intangible, used in connection therewith, now
owned by the City, or constructed or acquired pursuant to this ordinance, and als^
Including any such facilities hereafter constructed or acquired by said City from any
source whatsoever, for which fees or other charges are fixed, established or
collected.
(f) "On-Street Parking Facilities" shall mean all such parking facilities
located in or on the streets in said City, including parking meters Installed,
located and existing at or near the curbs of the streets within the City of Clearwater,
and "Off-Street Parking Facilities" shall mean ail such parking facilities located
at places other than in or on the streets of said City.
(g) "Parking System" shall mean all said off-street parking facilities
and all said on-street parking facilities as both of said facilities have been com-
bined Info a single project pursuant to Section 1,01 (E) of this ordinance.
(h) "Consulting Engineer" shall mean Wilbur Smith & Associates of New
Haven, Connecticut or other qualified and recognized Consulting Engineer who shnll
be hereafter retained as successors to said firm.
(1) "Gross Revenues" shall mean all fees, rentals or other charges or
other income received by the City, or accrued to the City or to any board or a sncy
of the City in control of the management and operation of said Parking System, and
Jall parts thereof, from the operation of said Parking System, Including h0"h said
off-street parking facilities and said on-street parking facilities, all as calcu-
lated in accordance with sound accounting practice. In the event of the leasing or
licensing of said Parking Facilities, or any part thereof, for fair and reasonable

amounts as provided in Section 4.01 hereof the term "gross revenues, shall mean
the rentals or other payments to be received by the City from such leases or
licenses of said Parking Faciltttes, or any part thereof.

(J) "Operating Expenses" shall moan the current expenses of the City,
paid or accrued, of operation, maintenance and currant repair of said Parking
System (but not including any operating expenses of lessees or licensees and not
including the operating expenses of any parking facilities for which fees or other
charges are not collected), including said off-street parking facilities and said
on-street parking facilities, and shall include without limiting the generality
of the foregoing, administrative expenses relating solely to said Parking System,
insurance premiums, labor, the cost of materials and supplies used for current
operation, and charges for the accumulation of appropriate reserves for current
expenses not annually recurrent but which are such as may reasonably be expected
to be incurred In accordance with sound arr_ounting practice. "Operating Expenses"
shall not include any allowance for depreciation or renewals or replacements of
capital assets of said Parking System.
(k) "Net Revenues" shall mean the gross revenues, as defined in (1)
above, remaining after deduction only of operating expenses, as defined in (,)) above.
(1) "Fiscal Year" shall mean the period beginning with and Including
July 1 and ending with and including the next June 30.
Words importing singular number shall include the plural number in each
case and vice versa, and words importing persons shall include firms and corpora-
tion.

AUTHORIZATION, TERMS, EXECUTION
2.01 AUTHORIZATION AND TERMS OF BONDS. For the purpose of F'nancrng
the cost of the construction of the off-street parking facilities described in
Cectlon 1.01'(F) hereof, there shall be issued negotiable Municipal Parking Revenu-
Bonds of the City of Clearwater, Florida, (hereinafter called "Bonds"), In the
aggregate principal amount of Five Hundred Seventy-Five Thousand Dollars
($575,000), which Bonds shall be dated September 1, 1959, in the denomination of
$1,000 each numbered consecutively In numerical order from 1 to 575, both inclusive,

Mayor-Commissions r shall manually apply his signature on said Bonds. In case any
one or more of the officers who shall have signed or sealed any of the Bonds shell
cease to be such officer of the City before the Bonds so signed and sealed have been

manner transferred to bearer and thereupon transferability by delivery shall be
restored,. At the option of the holder the Bonds may thereafter again from'timo to
time be registered or transferred to bearer as before. Such registration as to
principal only shall not affect the negotiability of the coupons which shall continuo to
pass by delivery.
2.04. BONDS MUTILATED, DESTROYED, STOLEN OR LOST. In case any Bonds
shall become mutilated or be destroyed, stolen or lost, the City may in its dis-
cretion issue and deliver a new Bond with all unmatured coupons, if any, so mutilated,
destroyed, stolen or lost, in exchange and substitution for such mutilated Bond, upon
surrender and cancellation of such mutilated Bond and attached coupons, if any,
destroyed,, stolen or lost, and upon the holder furnishing the City proof of his owner-
ship thereof and satisfactory indemnity and complying with such other reasonable
regulations and conditions as the City may prescribe and paying such expenses as the
City may incur. All Bonds and coupons so surrendered shall be cancelled by the City
Treasurer and held for the account of the City, I+ any such Bond or coupons shall
have matured or be about to mature, instead of issuing a substituted Bond or coupons,
the City may pay the same, upon being Indemnified as aforesaid, and if such Bond or
coupon be lost, stolen or destroyed, without surrender thereof.
Any such duplicate [fonds and coupons Issued pursuant to this Section shall
constitute original, additional contractual obligations on the part of the City,
whether or not the lost, stolen or destroyed Bonds or coupons be at any time found
by any one, and such duplicate Bonds and coupons shall be entitled to equal and
proportionate benefits and rights as to lien and source and security for payment from
the revenues of the Parking System pledged herein with all other Bonds and coupons
Issued hereunder.
2.05. FORM OF BONDS AND COUPONS. The text of the Bonds and coupons shall
be of substantially the following tenor, with such omissions, insertions and
variations as may be necessary and desirable and authorized or permitted by thl1%

Provided, however, that a notice of such redemption shall have boon pub-
lished at least onto at least thirty days prior to the date of redemption in a financial
paper published in the City of Now York, New York. Interest shall cease on any of the
Bonds duly called for redemption, on the redemption date, If payment thereof has been
duly provided for.
This Bond and. the coupons appertaining hereto are payable solely from and
secured by a lien upon and pledge of the not revenues derived from the operation of
the Parking System, including both off-street parking facilities and on-street park-
ing facilities, of the City of Clearwater in the manner provided in the ordinance
authorizing the issue of Bonds of which this Bond is one. This Bond does not con-
stitute an indebtedness of said City within the meaning of dny constitutional,
statutory or charter provision or limitation, and it is eXpressly agreed by the
holders of this Bond and the coupons appertaining theheto that such holders shall
never have the right to require or compel the exercise of the ad valorem taxing
power of said City, or the taxation of real estate in said City, for the payment of
the principal of/and Interest on this Bond, or the making of any sinking fund, re-
serve or other payments provided for in the ordinance authorizing this issue of
Bonds.
It is further agreed between the City of Clearwater and the holder of
this Bond that this Bond and the obligation evidenced hereby shall not constitute
a lien upon the City's Parking System, or any part thereof, or on any other pro-
perty of or in the City of Clearwater, but shall constitute a lien only on the net
revenues derived from the operation of said Parking'System, including both off-
street parking facilities and on-street parking facilities, in the manner provided
in said ordinance.
The City in said ordinance has covenanted and agreed with the holders of
the Bonds of this issue to fix and establish and maintain such rates and collect
such fees, rentals or other charges for the services and facilities of said Park-
Ing System, including both off-street parking facilities and on-street parking
facilities, and to revise the same from time to time whenever necessary, as will
always provide revenues sufficient to pay, and out of said revenues shall pay, as
the same shall become due, the principal of and interest on the Bonds of this
Issue, all reserve or sinking funds or other payments provided for in said ordi-
nance, the necessary expenses of operating and maintaining said Parking System,

REVENUES AND APPLICATION THEREOF
3.01. BONDS NOT TO BE INDEUTEDNESS OF THE CITY OF CLEARWATER. Neither tho
Bonds nor coupons shall be or constltutu an Indebtedness of the City of Clearwater,
but shall be payable solely from the revenues of the Parking System, Including both
off-street parking facilities and on-street parking facilities, as herein provided.
No holder or holders of any Bonds issued hereunder, or of any coupon appertaining
thereto, shall ever have the right to compel the exercise of the ad valorem taxing
power of the City, or taxation In any form of any real property therein to pay said
Bonds or the interest therconi
3.02. BONDS SECURED BY PLEDGE OF REVENUES. The payment of the debt
service of all of the Bonds issued hereunder shall be secured forthwith equally and
ratably by a lien on the net revenues derived from said Parking System, includfhg
both off-street parking facilities and on-street parking facilities. The net
revenues derived from the Parking System, Including both off-street parking facili-
ties and on-street parking facilities, in an amount sufficient to pay the princi-
pal of and interest on the Bonds herein authorized, and to make the payments into
the reserve and sinking funds and all other payments provided for In this ordinance,
are hereby irrevocably pledged to the payment of the principal of and Interest on
the Bonds herein authorized as the same become due.
3.03. APPLICATION OF BOND PROCEEDS. All moneys received from the sale of
any or all of the Bonds originally authorized and Issued pursuant to this ordinance
(except accrued interest, which shall be deposited in the Sinking Fund) shall be
deposited by the City of Clearwater In a bank or,tru'st company, as Trustee, in a
trust fund to be known as the "Construction Trust Fund", which is hereby created.
The City and said bank or trust company shall enter into a Construction Trust Fund
Agreement concerning the application of said fund, said agreement to be in a form
to be hereafter determined by resolution. Said agreement shall provide, among
other things, that no expenditures shall be made from said Construction Trust Fund,

except for engineering and legal expenses, and expenses in connection with the
issuance and sale of said Bonds, unless such expenditures shall be first approved
by the City Manager, and where the purchase of real property is involved, approval
by the City Attorney in the form of a legal opinion to the effect that the City
either has obtained or will obtain, simultaneously with payment for such real pro-

ADDITIONAL COVENANTS OF THE CITY
k.Ol. SALE OF THE PARKING SYSTEM. That the Parking System may be sold,
mortgaged, leased, or otherwise dispose,: of only as a whole or substantially as a

i whole, and only if the net proceeds to ba realized shall be sufficient fully to re-
tire all of the Bonds issued pursuant to this ordinance and all interest thereon to

Sinking Fund and shall be used only for the purpose of paying the principal of and

The foregoing provision notwithstanding, the City shall have and hereby
reserves the right to sell, lease or otherwise dispose of any of the property com-
prising a part of the Parking System hereafter determined in the manner provided
herein to be no longer necessary, useful or profitable in the operation thereof.
Prior to any such sale, lease or other disposition of said property, if the amount

Its right, which Is hereby expressly reserved, to lease any part or all of the
Parking System, except the city streets and the right to park on sold streets, to
private operators under provisions which are designed to Insure the receipt of
'rovonues which are adequate for the requirements of this ordinance. Such lease
shall be approved by resolution of the City Commission and additionally approved by
the Consulting Engineer and shall contain a covenant that said lease shall be in
force and effect only so long as all payments required by the terms of this ordi-
nance shall be timely made and In the event of default on any of the payments re-
quired by the provisions of this ordinance such lease shall immediately become void
and of no effect.
Nothing herein contained In this section nor in this ordinance is Intend-
ed, nor shall it be construed so as, to prevent the trading in of used equipment,
Including the parking meters of the Parking System, for credit or allowance toward
the purchase of new equipment, including said parking meters, provided that said
new equipment 1s substantially similar in type# quality and amount as the used
equipment so traded in for credit or allowance.
4.02. (A) ISSUANCE OF OTHER OBLIGATIONS PAYABUE OUT OF REVENUES. That
the City will not issue any other obligations, payable from the revenues derived

from the operation of said Parking System, including both off-street parking facili-
ties and on-street parking facilities, except pari passu additional ponds provided
for herein, nor voluntarily create or cause to be created any debt, lien, pledge,
assignment, encumbrance or any other charge having priority to or being on a parity
with the lien of the Bonds Issued pursuant to this ordinance and the interest there-
on, upon any of the income and revenues of said Parking System, including both off-
street parking facilities and on-street parking facilities, or any part thereof.
Any other obligations hereafter issued by the City, payable from such revenues,
except such parl passu additional Bonds, shall contain an express statement that
such obligations are ,junior, subordinate and inferior to the Bonds issued pursuant
to this ordinance, as to lien and source and security for payment from the revenues
of said Parking System, including both off-street parking facilities and on-street
parking facilities, and in all other respects.
(B) ISSUANCE OF PARI PASSU ADDITIONAL BONDS. That no pari passu addl-
u tional Bonds as In this sub-section defined, payable out of the said Parking System
Revenue Fund shall be created after the issuance of any Bonds pursuant to this
ordi- nance, except under the conditions and in the manner herein provided.

No such pars passu additional Bonds shall be Issued unless the average
annual net revenues, as defined herein, derived from the operation of the Parking
System, including both off-street parking facilities and on-street parking facili-
ties; during the preceding 24 months, plus 75% of the,overoge annual additional net
revenues, as defined herein, estimated by the Consulting Engineer to be derived In
the 24 months Immediately succeeding the completion of the new additions, extensions
or improvements to be financed by such purl passu additional Bonds, solely from such
new additions, extensions and improvements, shall be not less than one Hundred Fifty
per centum (150°;) of the largest aggregate amount of principal and interest which
will mature and become due in any succeeding year on the Bonds Issued pursuant to
this ordinance then outstanding; and on any part passu additional Bonds theretofore
issued and theh outstanding, and on any other obligations then outstanding, which
are payable feom the revenues of said Parking System, including both off-street
parking facilities and on-street parking facilities, or any part thereof, and on
the pars passu additional Bonds then proposed to be issued.
Prior to the issuance of any such pari passu additional bonds the Consult-
Ing Engineer shall prepare a written certificate as to his estimate of the average
annual additional net revenue to be derived in the 24 months Immediately succeeding
the completion of the new additions, extensions and Improvements to be financed by
such pars passu additional bonds, solely from such new additions, extensions and
improvements, and shall file such certificate in the office of the City Clerk.
Such certificate shall contain a detailed statement of the source of any estimated
additional gross revenues, as defined herein, any estimated additional operating
expenses, and any estimated additional net revenue, as defined herein, to be derived
by the City solely from such new additions, extensions and Improvements to said
Parking System to be financed by such parl passu additional Bonds in the 24 months
immediately succeeding the completion of such new additions, extensions and Improve-
ments to such Parking System. In the event such certificate shall show that the
estimated average annual operating expenses shall exceed the estimated average annual
gross revenues to be derived solely from such new additions, extensions and improve-
ments In such 24 immediately succeeding months, then the estimated average annual
excess of operating expenses over gross revenues shall be deducted from the average
annual net revenues actually derived from said Parking System during the preceding
24 months in computing the power of said City to issue pars passu additional Bonds
under this Section 4.02 (B).

City shall have fully compiled with all the covenants, agreements and terms of
this ordinance.
4.03. INSURANCE. That the City will carry such Insurance as is ordi-
narily carried by private,corporations owning and operating similar systems as
! the Parking System with a reputable insurance carrier or carriers against loss or
damage by fire, explosion, hurricane, earthquake, cyclone, occupancy or other
s" hazards and risks, which insurance shall at all times be in an amount or amounts
equal to the fair appraisal value of the buildings, properties, furniture, fixtures

is and equipment of said Parking System. In time of war, the City shall also carry in
said amount such insurance as may be available against loss or damage by the risks
and hazards of war.

4.04. BOOKS AND RECORDS. That the City will keep books and records of the

Parking System, which shall be separate and apart from all other books, records and
accounts of the City, in which complete and correct entries shall be made of all
transactions relating to the Parking System, and any holder of a Bond or Bonds issued
pursuant to this ordinance shall have the right at all reasonable times to inspect
the Parking System and all parts thereof, and all records, accounts and data of the
City relating thereto.
The City shall, at least once a year, cause the books, records and accounts
of the Parking System to be properly audited by a competent and qualified certified
public accountant, and shall mail upon request, and make available generally, the re-
port of said certified public accountant, or a summary thereof, to any holder or
holders of Bonds issued pursuant to this ordinance, or anyone acting for and in be-
half of such Bondholder or Bondholders.
4.05. MAINTENANCE OF PARKING SYSTEM. That the City will complete the con-
struction of the off-street parking facilities provided for In this ordinance in an
economical and efficient manner with all practicable dispatch, and thereafter will

maintain the Parking System In good condition and continuously operate the same in
an efficient manner and at a reasonable cost as a revenue producing enterprise.

4.06. SERVICES RENDERED TO THE CITY OF Ci.EARWATEk. That the City of Clear-
water will not ea ndo or cause to be rendered any free parking or services of any
nature by its Parking System, nor will any preferential rates be established for
users of tho sama,class; and in the event the City of Clearwater, or any department,
agendy; instrumentality, officer or employee of said City, shall avail Itself or
themselves of the facilities or services proVided by said Parking System, or any port
thereof, the some rates, fees or charges applicable to other customers receiving like
services under similar circumstances shall be charged said City, and any such depart-
ment, agency, instrumentality, officer or employee of said City. Such charges shall
be paid as they accrue, and the City shall transfer from their general funds suf-
ficient sums to pay such charges. The revenues so received shall be deemed to be
revenues derived from the operation of the Parking System, and shall be deposited
and accounted for in the some manner as other revenues derived from such operation
of the Parking System.
4.07. OPERATING BUDGET. That the City shall annually, at least forty-five
days preceding the beginning of each of its fiscal years, prepare and adopt by
resolution of Its governing body a detailed budget of the estimated expenditures
for operation and maintenance of the Parking System during such succeeding fiscal
year. No expenditures for the operation-and maintenance of the Parking System shall
be made in any fiscal year in excess of the amount provided therefor in such-budget
without a written finding and recommendation by the general manager of such Parking
System or other duly authorized officer in charge thereof, which finding and re-
commendation shall state in detail the purpose of and necessity for such increased
expenditures for the operation and maintenance of the Parking System, and no such
Increased expenditures shall be made until the governing body of said City shall
have approved such finding and recommendation by a resolution duly adopted. No in-
r.reased expenditures in excess of twenty per centum of the amount of such budget
shall be made except upon the further certificate of the Consulting Engineer that
such increased expenditures are necessary for the continued operation of said Park-
ing System. The City shall mail copies of such annual budget and all resolutions
authorizing Increased expenditures for operation and maintenance to any holder or
holders of Bonds who shall file his address with the City and request in writing
that copies of all such budgets and resolutions be furnished him or them, and shall
make available such budgets and all resolutions authorizing increased expenditures

to the possession, operation and maintenance of such off-street parking facilities,
and the collection and disposal of the rovenues from said on-street parking facili-
ties, for the sold purpose of the protection of both the City and Bondholders, and
the curing and making good of any default under the provisions of this ordinance,
acid the title to and ownership of said Parking System shall remain in the City of
Clearwater and no court shall have any jurisdiction to enter any order or decree
permitting or requiring such receiver to sail, mortgage or otherwise dispose of any
assets of the Parking System.
The holder or holders of Bonds in an aggregate principal amount of not less
than twenty-five per centum of Bonds issued under this ordinance then outstanding may
by a duly executed certificate in writing appoint a trustee for holders of Bonds
Issued pursuant to this ordinance with authority to represent such Bondholders in any
legal proceedings for the enforcement and protection of the rights of such Bondhold-
ers. Such certificate shall be executed by such Bondholders or their duly author-
ized attorneys or representatives, and shall be filed in the office of the City Clerk.
4.Og. ENFORCEMENT OF COLLECTIONS. That the City will diligently enforce
and collect all fees, rentals or other charges for the services and facilities of
the Parking System, and take all steps, actions and proceedings for the enforcement
and collection of such fees, rentals or other charges which shall be come delinquent
to the full extent permitted or authorized by the charter of said City and by laws
of the State of Florida.
4.10. RELOCATION OF PARKING METERS. That the City will maintain parking
meters on all streets where such parking meters are located and maintained on the
date of enactment of Cie ordinance and will not remove or relocate said parking
meters unless such removal or relocation shall be recommended by the Consulting
Engineer. The covenant hereinabove contained in this section shall not be con-
strued so as to prevent the removal or relocation of parking meters where such re-
moval or relocation is made necessary by street widening or street crossings nor
shall said covenant prevent the substitution of or change In location of parking
meters necessary, essential and required for proper traffic regulation and control,
where such removal, relocation or substitution will not materially lessen the
revenues obtained from the operation of said parking meters.
4.11. DURATION OF COVENANTS. That all the covenants and agreements made
in this ordinance shall be binding upon the City as long as any of the Bonds issued
hereunder, and any Interest thereon, are outstanding and unpaid.

The City further covenants that rates, rentals, fees or other charges'
will be charged and collected as long as the Bonds issued hereunder, and the,in-
terest thereon are outstanding and unpaid, on all on-street parking facilities for
which rates, fees, rentals or other charges are now fixed, established and collect-
ed; and on all the off-street parking facilities to be constructed or acquired from
the proceeds of the Bonds Issued pursuant to this 'ordinance; and on any additional
on-street parking facilities for which parking metors,are hereafter installed in or
}
on the streets of the City, or off-street parking facilities, hereafter constructed
and acquired and financed by the Issuance of pars passu additional Bonds pursuant
to this ordinance; and on any on-street parking facilities for which parking meters
shall hereafter be acquired from any source and installed in or on the streets of
the City, and on any off-street parking facilities hereafter constructed or ac-
quired from any sources
Neither said initial schedule of rates, rentals, fees or other charges,
nor airy subsequent schedule of rates, rentals, fees or other charges shall at any
time be reduced unless;
(1) The City shall not then be in default under any of the covenants,
agreements and provisions of this ordinances and shall have made all current pay-
mentsi including any deficiencies for prior paymentsi required by this ordinance,
(2) The Consulting Engineer, shall certify in writing that the proposed
reduced schedule of rates, rentals, fees or other charges will produce an amount
of revenues in each year thereafter equal to one hundred fifty per centum of the
amount of the principal of and interest on said Bonds, Including any part passu
additional Bonds hereafter issued, which will mature and become due in each year
thereafter, plus one hundred per centum of all other payments required in each
year thereafter by this ordinance.
5.01. MODIFICATION OR AMENDMENT. No material modification or amendment
of this ordinance, or of an ordinance amendatory hereof or supplemental hereto,
may be made without the consent in writing of the holders of two-thirds or more
In principal amount of the Bonds then outstanding, provided, however,,that no modi-
fication or amendment shall permit a change in the maturity of such Bonds or a re-
duction in the rate of interest thereon, or in the amount of the principal obliga-

Interest on the Bonds as the same shall become due from the revenues of the Parking
System, or reduce the percentage of Bondholders required to consent to such modifi-
cation or amendment, without the consent of the holders of such Bonds.
5.02. SEVl:li11BILITY OF INVALID PkOVISION. If any one or more of the cove-
nants, agreements or provisions of this ordinance should be held contrary to any ex-
press provision of law or contrary to the policy of express law, though not express-
ly prohibited, or against public policy, or shall for any reason whatsoever be hold
invalid, then such covenants, agreements or provisions shall be null and void and
shall be deemed separable from the remaining covenants, agreements or provisions,
and in no way affect the validity of all the other provisions of this ordinance or
of the Bonds or coupons issued thereunder.
5.03. ISSUANCE AND SALE OF BONDS. The $575,000 Bonds initially authorized
to be issued by this ordinance shall be issued and sold In such manner and at such
price or prices consistent with the provisions of this ordinance, as the City
Commission shall hereafter determine.
5.04. VALIDATION. That the City Attorney be and he is hereby authorized
and directed to institute appropriate proceedings in the Circuit Court of the
Sixth Judicial Circuit of Florida, in and for Pinellas County, Florida, for the
validation of said Gonds, and the proper officers of the City are hereby authorized
to verify on behalf of the City any pleadings in such proceedings.
Upon the validation of the Bonds pursuant to such proceedings, there
shall be printed upon each such Bond prior to the delivery thereof, and over the
facsimile signature of the Mayor-Commissioner, City Manager and City Clerk, a
Validation Certificate in the form hereinabove set forth.
5.05. TIME OF TAKING EFFECT. That it Is hereby found, declared and de-
termined that the funds to pay the cost of the acquisition and construction of the
Off-Street Parking Facilities authorized herein are necessary and urgently needed
for the preservation of the health, safety and welfare of the inhabitants of the
City of Clearwater; that an emergency is hereby declared and that this ordinance
shall be in full force and effect immediately upon its passage as provided by law.
