CONSULTING AGREEMENT
This Agreement is entered into by the City Commission of the City of
Clearwater acting as Trustees ci. the City of Clearwater Pension Fund and The
Exchange National Bank of Tampa effective the 6th
day of August , 1979.
WHEREAS, the Trustees of the City of Clearwater Employees Pension Fund
would like to employ a firm to assist them in setting and monitoring the
investment objectives of the City of Clearwater Employees Pension Fund;
and
WHEREAS, The Exchange National Bank of Tampa (hereafter ENB of Tampa)
would like to provide such services to the Trustees;
NOW THEREFORE, The Trustee and ENB of Tampa agree as follows:
SECTION I: Group Annuity Contract
ENB of Tampa will review with the Trustees the Trustees' holdings of
Group Annuity Contracts in the Pension Trust on an annual basis, or at other
times agreed upon between the Trustee- and ENB of Tampa.
SECTION I I :
Asset Allocation
ENB of Tampa will consult with The City of Clearwater on matters,'dealing
with the allocation of assets within the City's pension plan.
In amplification of this process, ENB of Tampa will:
a. Provide the City with our analysis of the relative attractiveness
of various investment vehicles (equities, fixed income, cash, Group Annuity
Contracts).
b. ENB of Tampa will employ an "asset allocation model" in an effort to
arrive at the optional portfolio mix for the City's plan, considering risk
and volatility tolerance.
c. ENB of Tampa will consult with the City on a quarterly basis, or
as agreed upon by the Trustees or ENB of Tampa.

SECTION V:
Amendment Provision
I
The Trustee or Agent may Amend in whole or in part any provision of this
Agreement as mutually agreed.
IN WITNESS WHEREOF the parties hereto have set their hands and seals the day
and year first above written.
