FIRST AMENDMENT
TO AGREEMENT BETWEEN THE
SOUTHWEST FLORIDA WATER MANAGEMENT DISTRICT
AND THE
CITY OF CLEARWATER, FLORIDA
For
Cooper's Point and Del Oro Park Habitat Restoration and Enhancement Projects
This FIRST AMENDMENT is made and entered into this ~day of.LL ,1996, by and between
the SOUTHWEST FLORIDA WATER MANAGEMENT DIST~lic corporation created
by Chapter 61-691, Laws of Florida, as amended, for itself and on behalf of the Pinellas- Anclote River
Basin Board, hereinafter collectively referred to as the "DISTRICT," and the CITY OF CLEARWATER,
FLORIDA, a municipal corporation, hereinafter referred to as the "CITY."
WITNESSETH:
WHEREAS, the DISTRICT and the CITY entered into an Agreement for habitat restoration projects at
Cooper's Point and Del Oro Park dated December 22, 1995; and
WHEREAS, pursuant to the Scope of Work in said Agreement the DISTRICT is the lead party with regard
to performing habitat construction, including the removal exotic vegetation; and
WHEREAS, the parties hereto wish to amend the Scope of Work so that the CITY is the lead party with
regard to removal of the exotic vegetation and amend the funding mechanism of this Agreement whereby
the DISTRICT reimburses the CITY for such Project costs
NOW, THEREFORE, in consideration of the mutual tenns, covenants and conditions contained herein, the
parties hereby mutually agree to amend the original Agreement, dated December 22, 1995, as follows:
1. Paragraph 2 SCOPE OF WORK is hereby amended as follows: The CITY shall be responsible for
exotic vegetation removal as described in "Attachment 1" incorporated herein by reference.
2. Paragraph 3 FUNDING is hereby amended as follows: The DISTRICT agrees to reimburse the
CITY for its share of the PROJECT costs described in paragraph 1 above and properly incurred by
the CITY in accordance with the Agreement and as clearly set forth in invoices which are supported
with the appropriate documentation. Payment will be made to the CITY within (30) days of receipt
of a properly documented invoice.

3. Paragraph 19. INDEMNIFICATION is hereby amended as follows: The CITY shall require any
subcontractor to defend, indemnify and save harmless the CITY and the DISTRICT and all their
agents, employees and officers from and against all actions, claims, demands, judgments, losses,
payments, recoveries and suits of whatever nature arising under this PROJECT, arising out of or
occurring as a result of any act or omission of the contractor, its agents, employees or
subcontractors in rendering the services pursuant to this PROJECT.
4. Exhibit "A" Scope of Work is hereby amended to add the following under "The CITY shall:"
~ Administer and supervise all bid contracts awarded by the CITY for the PROJECT.
5. The terms, covenants and conditions set forth in the original Agreement, dated December 22, 1995,
that have not been specifically amended herein, shall continue in existence, are hereby ratified,
approved and confirmed, and shall remain binding upon the parties hereto.
