The Railroad has executed the easement agreement dated October 6, 1976,
and the City's copy is attached hereto for your records.
Inasmuch as the City has furnished its check in the amount of $1,606
, to cover the grade crossing construction set out under Article l(b) of the agree-
ment we are asking our forces to schedule this work. We are also asking our
Signal Department to proceed with preparations for the installation of the required
warning devices. When the order is placed for the signal materials I will request
the City to make deposit of $43,400 and if the crossing work is completed prior to
the signal installation we will barricade the crossing pending full completion as
required under Article 2(b) of the agreement.

THIS EASEMENT AGREEMENT, Made and entered into this 6th day of October, 1976,
by and between the SEABOARD COAST LINE RAILROAD COMPANY, a corporation under the
laws of the State of Virginia, hereinafter referred to as Grantor, and the CITY OF
CLEARWATER, a municipal corporation under the laws of the State of Florida, herein-
after referred to as Grantee:
WITNESSETH, That Grantor, for and in consideration of One Dollar to it in
hand paid by Grantee, the receipt whereof is hereby acknowledged, and of the
covenants and agreements to be kept and performed by Grantee as hereinafter ex-
pressed, hereby grants to Grantee an easement or right of way, within the limits
hereinafter set out, for constructing and maintaining a highway or street crossing
(including the usual appurtenances such as a paved roadway, curbs, gutters, side-
walks, shoulders, slopes, fills, cuts and drainage facilities) at grade across the
right of way and track of Grantor at 'Fairwood Avenue, Coachman, Florida, said
crossing being 80 feet in width, i.e., 40 feet wide on each side of a line which
extends across said right of way in a northeast-southwest direction and intersects
the center line of Grantor's main track at a point 590 feet northwest-wardly
measured along said center line from Milepost SY-869; said crossing being shown
outlined in red on print of Grantor's Draawing No. 2713-102, dated July 12, 1976,
attached hereto and made a part hereof; said right of way being 50 feef wide on
each side of said center line.
And the parties hereto covenant and agree as follows:
l(a). Said crossing shall be constructed and maintained at the cost and
expense of Grantee, but in a manner and of materials satisfactnryto the Division
Engineer of Grantor, and all incidental expenses necessarily incurred in connec-
tion therewith shall be borne by Grantee, except, however, that Grantor will, at
its expense, maintain thereafter the portion of said crossing between the rails of
said track and for two feet on the outside of each rail thereof.
(b). Simultaneously with the execution of this agreement by the Grantee,
the Grantee hereby agrees to deposit with Grantor the sum of $1,606.00, being the
estimated amount of the cost of the work to be performed by Gr~ntor in connection
with the construction by Grantor of the portion of said crossing between the rails
of said track and for two feet on the outside of ~ach rail thereof. In the event
said deposit is less than the actual cost borne by Grantor, the Grantee shall
also, upon receipt of bill rendered by Grantor, promptly pay such additional cost
to Grantor. Should said deposit be in excess of the actual cost borne by Grantor,
the Grantor shall ~romptly refund the difference to the Grantee. Upon completion
of the construction of said crossing, Grantor shall furnish Grantee a detailed
statement showing the cost of the work, including materials used by Grantor at
said crossing.
2(a). Grantee shall reimburse Grantor for the entire cost of furnishing and
installing automatic cantilever flashing light signals, with gates and bells (8
Type IV, Class III signal facility) at said crossing, per details shown on the
second print attached hereto and made a part hereof - the estimated cost thereof
being $43,400.00, per estimate dated April 6, 1976, also attached hereto and m3de

a part hereof; Grantee agrees to submit said sum of money to Grantor upon receipt
of notice from Grantor that an order is being placed for the necessary materials.
In the event said deposit is less than the actual cost borne by Grantor, the
Grantee shall also, upon receipt of bill rendered by Grantor, promptly pay such
additional cost to Grantor. Should said deposit be in excess of the actual cost
borne by Grantor, the Grantor shall promptly refund the difference to the Grantee.
Upon completion of the installation of said signals, Grantor shall furnish Grantee
a detailed statement showing the cost of the work, including materials used for
installing said signals.
(b). Grantee agrees that said crossing shall be barricaded and not opened
for traffic until said signals become operative.
(c). After said signals have been installed and found in satisfactory
working order by the parties hereto, said signals sh~ll be put into service and
operated from and after the hour mutually agreed upon by the parties hereto and
shall thereafter be under the custody of the Grantor. Said signals shall be
operated and maintained by Grantor so long as Grantor may operate the railroad
at said crossing or until it is agreed upon between the parties hereto that
said signals are no longer necessary at said crossing, or until said crossing
is abandoned or other legal requirements make it necessary to cease operation
or maintenance of said signals thereat, at which time said signals shall be
moved to another location, or locations, on Grantor's line within the City of
Clearwater, as agreed upon by the parties hereto.
(d). Grantee will pay to Grantor, upon presentation of bill at the end
of each year so long as said signals remain in service, the current maintenance
rate of $980.00 for a Type IV, Class III signal facility. Ratei for signal
maintenance will be reviewed periodically, if rate should change, the amount
billed will be revised accordingly. In addition to the signal maintenance
expense to be borne by Grantee, Grantee will be obligated, within 60 days
after receipt of itemized bill from Grantor to (1) reimburse Grantor for the
cost of upgrading said signals to prevent obsolescence and (ii) reimburse
Grantor for the cost of repairing, or replacing, said signals as a result of
damages thereto, howsoever resulting.
(e). At such time that Grantor performs normal maintenance or repairs to
the trackage at said crossing, the Grantee will, during such time and at the
directions of Grantor, either close said crossing to, traffic or provide, at the
Grantee's expense, flagging protection at said crossing.
(f). It is expressly understood and agreed that if at any time in the
future the Grantor or any authorized public authority should determine that safety
requires protection other than afforded by said signals, the Grantor will not be
called upon or required to bear the cost or any part of the cost of furnishing,
installing or maintaining any such additional protection; it is further understood
and agreed that before providing any such additional protection, the Grantee will
first obtain approval in writing from Grantor with respect to location and type of
protective facility.

3. The cost of all work performed by Grantor (including flagging and engi-
neering services, if any) and all materials furnished by Grantor within the scope
of this agreement to which Grantee is obligated to reimburse Grantor for the cost
thereof shall have surcharges added thereto in accordance with Federal-Aid Highway
Program Manual Transmittal 129, dated April 25, 1975, in effect at the time the
work is accomplished. All other accounting and reimbursement shall be in accord-
ance with Grantor's usual practice in effect for similar work at the time the
project is in progress.
4. Grantor reserves th~ right, if it so desires, to construct an additional
track or tracks across the land covered by this easement.
5. Grantee, for and inconsideration of the privileges and benefits granted
by Grantor, and benefits flowing therefrom unto Grantee, agrees to save harmless
Grantor, its successors and assigns, from any and all claims, including attorneys'
fees, arising out of any suit, on account of personal injuries or damage to prop-
erty of whatsoever nature arising during the construction or reconstruction of
said crossing; and Grantee agrees to indemnify and save harmless Grantor, its
,successors and assigns, from any and all damages, including attorneys' fees, that
might occur to Grantor on account of improper or faulty drainage at said crossing
due to the construction or reconstruction thereof.
It is understood and agreed that this easement agreement shall not be binding
until it has been authorized or ratified by a proper ordinance or resolution of
the City Commission of the City of Clearwater, Florida, a certified copy of which
ordinance or resolution is attached hereto and made a part hereof.
IN WITNESS WHEREOF the parties hereto have executed these presents in duplicate
the day and year first above written.

A RESOLUTION AUTHORIZING THE CITY OF
CLEARWA TER TO ENTER INTO AN EASEWJ.ENT
AGREEMENT RELATING TO THE CONSTRUCTION
AND MAlliTENANCE OF A RAILROA D CROSSING AT
FAIRWOOD AVENUE.
WHEREAS, a railroad crossing is proposed at Fairwood Avenue in
Clearwater, Florida; and
,
WHEREAS, all preliminary steps necessary to accomplish the
construction of such cros sing have been completed; and
WHEREAS, the Seaboard Coast Line Railroad Company has submitted
an agreement covering the final constructionphase of the crossing; and
WHEREAS,' it would be in the best interests of the City of Clearwater
if such cros sing is constructed;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY
COMMISSION OF THE CITY OF CLEARWATER, FLORIDA,
IN SESSION DULY AND REGULARLY ASSEMBLED, AS
FOLLOWS:
1. That the City of Clearwater, Florida, acting by and through its
City Manager is hereby authorized to enter into and execute an easement
agreement dated October 6, 1976, with the Seaboard CoastLine Railroad
Company relating to the construction and maintenance of a crossing at
Fairwood Avenue, Coachman, in Clearwater, Florida.
2. That a certified copy of this Resolution shall be forwarded to the
Seaboard Coast Line Railroad Company.
