Railroad he.reby grants Ullto City the right and privilege, te!'- minable as and upon the terms and conditions hereinaf'tereXpressed, of constructing the said street, at grade, over and upon the right of' way and tracks of' the RaiIroad as aforesaid. 2. City will, at its sole expense, construct and thereafter main- tain in good and saf'econdi tion the street crossing permitted to be constructed hereun4er. The cros$ingwill necessitate the raising of track SV 41 approxi- mately six inches, the cost of' which, together with other track work at thecrol;lsing) i.s estiIrlated to be $450 , and City wi.llpromptly reimburse Railroadf'or the actual expense) incu:rred by it. City agrees that the construc'tion and maintenance of the said street and crossing upon Railroad is right of'way and tracks will be so conducted as not to 1.mpedeordelay the passage of'equipment operated by Railroad. The cost ot" a:rry we.tchman service made necessary incident to the construction of the street shall be borne by Oi ty . Railroad may, with the approval of City, furnishsuchwatchmauservice as it deems necessary and City Will,uPQnbillsrendered,reimb1.lrse it for the cost thereof. 5. If to comply rlththe requirements and orders of the .lawso.f theSta.te of Florida, or other governing body having pOwer to promul- gateor enforce reg.uJ.ations, it becomes necessa.ry hereafter to modify or change the ~ber, elevation, alignment or otherwise modify or change the location of the Railroad's tracks, factIi ties or operation on its right of . way. or modify or change the elevation, alignment or location of the saidcroBsing across the right of way and tracks of the Railroad, all cost and expense of a;ny natu.r.e whatsoever that ma::t be required by such changes, modifications or add! tions by; the presence ofsald right of way and crossing, shall be paid for solely and entirely bY the City, and the maintenance and operation of such right ofwe:yand crossing under each modified or changed condition shall be borne solely and entirely by the City, and such changes, modificationsor~itionSshall be accomplished only in accordance wi thplans and specifications approved by tbe:R.a1J,xoad, and the pro.secution .of the work under such pJ..a.ns and specifications shall be subject to the supervision, inspection and a.PFova.l of' the Railroad. 6. City will also indemnify Railroad from all liability, loss, cost or e.xpense arising as a res:ul.t of loss or damage to property or equipment of City used in the coflstruction and II1aintnenanceof'i:;he said cross- i:ng, or arising as a relID.lt of injury or death to employees of City, except where such injury or death is due to the sole negligence of' Railroad. Railroad reserves the right to make .a;ny desired changes a.t. .a;ny time in its tracks or other facilities or to install, maintain and opera.t.eadditionaltracks or other facilities on its right of way and at said crossing, and the City agrees to bear the entire cost of.a;ny changes in paving or iIithedrainage,as well as the cost of additional ;paving required ofiaeco:u.nt ot such changes or installations made by the Railroad. 9. City sha.11ba.ve no right hereunder to construct, maintainor operate nor to permit or authorize others to construct, maintainor operate, electric, telephone or other wireaor 'poles, orga.s, water, sewer or otherplpes} ma.1ns or conduits, ortra:cksorother facilities of any kind,upon, t)veror beneathsa.id street permitted to be con- structed hereunder. 10. The hazard created by the opening of the croasingwill necessitate the inata.1lation of automatic train-approach warning signals, and CitY' agrees to bear all expense incident thereto. 11. The privilege herein granted is for use of said right ofwtLy and property for street purposes only, and should any-part thereof at any time cease to beus:ed for such purposes, or should City default in any of its undertakings herein contained, Railroad may a.t any tim.e thereafter,a.t itSO]ItiOO1, cancel this agree:aent by written notice toC! ty.
