WITNESSETH:
I. Railroad, In consideration of $ 1._ ,......,.,......................._t............. and the faithful per-
formance by Licensee of his undertakings herem contained, grants Licensee, subject to the terms and conditions hereinafter set
out, the right and license to lay, maintain and operate under the tracks and property of Railroad the following described line or
lines of pipe, hereinafter referred to as "line of pipe":

2. Railroad grants Licensee a subsurface license only hereunder subject to any rights heretofore granted to others. Rail-
road reserves the right at any time to make such use of its property as it may desire or to grant the use thereof to others, and
should any such use make it necessary to disturb said line of pipe, Licensee will, at his cost, upon notice in writing so to do,
relocate or provide for the protection of the said line of pipe.
3. The installation of the said line of pi~, its quality, its location and its depth on and under the property of Railroad
shall be subject to the approval of the Chief Engineer of Railroad who may accept or reject the same and liis Judgment shall be
final in respect to all matters and things in connection therewith. Where said line of pipe Rasses under any track or }racks it

All work done by the Licensee within the limits of the right of way of Railroad shall be performed in accordance with such
instructions as the Chief Engineer of Railroad, or his authorized representative, shall consider necessary or advisable to safe-
guard the Railroad's property or its operations, after at least five days' notice in writing to the Division Engineer of Railroad.
4. Licensee will, at his sole expense, provide for the protection of and make any and all repairs to the tracks and other
property of Railroad necessitated by the installation, maintenance, operation, use or removal of said line of pipe, and will re-
tmliurse Railroad for any expense which it may incur as a result thereof, including any expense which Railroad may incur in the
supervision of any such work which may be performed by the Licensee.
, 5. The passage of engines or trains shall not be hindered or delayed, nor shall the drainage of Railroad's property be
lDterfered with by the installation, operation, use~ maintenance or removal of said line of pipe, and Licensee will immediately
remedy any such condition thus created.

6. Licensee will maintain and repair said line of pipe to the sallsfaclion of the Chief Engineer of llailroad. Should the
opera lion or Inadequate maintenance of said line of pipe at any lime jeopardize the operallons oC llailroad in any way, this
agreeml,nt may be Immediately terminaled, and llailroad reserves the right to take such action as may be necessary to eliminate
the hazard and Licensee agrees lopay the cost therl!of promptly upon receipt of bill therefor.
7. [(aUroad may, at Its option, take over and perform any work or obligalion to be performed by Licensee hereunder and
Licensee agrees to reimburse Ilailroad for the eost thereof promptly upon receipt oC billtlierefor.
8. nallroad does not warrant title to, or the quiet enjoyment of, any property whatever, and shall be under no obligalion to
acquire additional right of way Cor said line of pipe. Use of the property of llailroad, however long conlinued, shall not create
any estate or easement in Licensee or any rights Olher than the right and license herein granted.
9. Licensee hereby assumes risk of loss, Injury or damage to the person and the property of Licensee and all other per-
sons and property, growing In any manner out of the InstallaUon, presence, operaUon, maintenance or removal of said Hne oC
(llpe, its appurtenances, or any part thereof. Licensee will, at all Urnes, Indemnify [(ailroad, and the lessors or lessees oC
Railroad, against loss, cost or expense which Railroad, and the lessors or lessees otRailroad, may sustain as aCoresald:
10. This agreement shall stand tennlnated upon the explraUon of sixty days aCter wrItten noUce Is given by either party to
the other of the IntenUon to terminate the same; provided, however, this agreement may be terminated by Railroad without noUce
it Licensee abandons the use of said Hne of pipe or If Licensee removes Crom 'the 10caUon or plant which the said Hne of pipe
serves. Upon abandonment of . operation of said Hne of pljIC, Licensee will, if Railroad so desires, remove it and its appurte-
nance, s from Ral, 1, road's property, and will" restore the, traclis and property of Rallroa, d to, as good co, ndlti"on as w, hen previously
found, or RaUrolld may, at Its option, retain said Hne of pipe, or remove the same at the expense of the Licensee.
11. The right and Hcense herein granted Is a personal one, shall not become one coupled with an Interest, and shall not be
assigned or transferred without the written co_ent of Railroad. However, 'except as tlius limited and subJect to the rights of
tennlRatlon as herelnahove provided, all of the terms and condlUons of this agreement shall Inure to the benefit of and be bind-
Ing upon the respective legal representatives, heirs, successors and ass Ips of the parties hereto.
12. Licensee wl11, at Its expense~ maintain and repair any lines of pipe to the saUsfacUon of the Chief Engineer of Rail-
road, and should it become necessary lor Licensee to provide special equipment to prevent electrolYSiS, such equipment must
be Installed and operated In such a manner as not to interfere with the operaUon of the sipal, conununicaUon and electrical
systems of the RaUroad and its Hcensees. Before any such equipment is installed, Licensee will submit to Railroad for Its
conslderatlGB the plan by which It Intends to prevent or ellminale any electrolYSis. Should it become necessary at any Ume for
Railroad or Its licensees to make any cunle or modification In their sipal, communicaUon, or electrical systems to protect
them against the foreign currenl8 set np by the equipment ued to prevent or ellmlna", electrolYSis, the enUre cost of any such
chanle or modiOcatlon will be bome by Llceuee,
