IlAIL1\OAD COMPANY, hereinafter designated "Hailroud", and Ci ty of Clearwater, a aunicipal corpora-
tion of Florida,
hereinafter designated "Licensee"; (All terms used herein shull be construed as embracin~ such number and ~ender as thc
character of the party or parties requires).
WITN ESSETll:
1. Railroad, In consideration 01 $ 1.00 "......,.,...___..'-..-______~...... and the faithful per-
formance by Licensee of his undertakings herein contained, grants Licensee, subject to the terms and conditions hereinafter set
out, the right and license to lay, mabltaln and operate under the,trll~klil anil property of RaUroad the following described line or
lines of pipe, hereinafter referred to as "line of pipe":
A line of 17.40-inch (O.D.) cast iron water pipe within a 28-inch (O.D.)
spiral welded steel casing pipe in or near Clearwater, Pinellas County, Florida,
crossing under the property and tracks ot. the Railroad 1,097 feet, lIlore or les.,
eastwardly frolll its Mile Post 872, in accordance with Licensee's application and
copy of its unnumbered and undated drawinQ, attached hereto as a part hereof.
2. Railroad grants Licensee a subsurface liclmse only hereunder subject to any rights heretofore gruntcd to others. Rail-
road reserves the right at any time to make such use of its property as it may desire or to grant the use thereof to others, and
should any such use make it necessary to disturb said line of pipe, Licensee will, at his cost, upon notice in writing so to do,
relocate or provide for the protection of the said line of pipe,
3. The installation of the said line of pipe, its quality, Its location and its depth on and under the property of Railroad
shall be subject 10 the approval of the Chief Engineer of Railroad who may accept or reject the same and liis Judgment shall be
final in respect to all matters and things in connection therewith. Where said line of pIpe passes under any track or tracks it
shall be located at a depth of not less than 5 teet 6 inch.. froa the top of the tie to the top
at. the caainQ pipe.
All work done by the Licensee within the limits of the riAht of way of llaUroad shall be performed in accordance with such
Instructions as the Chief Engineer of [{allroad, or his authorized representative, shall consider necessary or advisable 10 safe-
guard the Railroad's property or its operations, after at least five days' notice in writing to the Division Engineer of Railroad.
4. Licensee will, at his sole expense, provide for the ftl'otcctlon of and make any and all repairs 10 the tracks and other
r.roperty of Railroad necessitated by the Installation, ,naintenunce, operation, use or removal of said line of pipe, and will re-
mburse Railroad for any expense wlilch It may incur as.a result thereof, includinl!l any eIpense which Railroad may incur In the
supervision of any such work which may be performed by the Licensee.
5. The passage of engines or trains shall not be hindered or delayt,d, nor shall the drainage of llailrolld's property be
interfered witla by tile installation, operation, use, maintenunce or removal or said line of pipe, and Licensee will inunediately
remedy any such condition thus created.

13. Unless sooner terminated as and in the manner herein provided, this agree-
ment shall continue in ettect so long as Railroad shall continue to operate the
Railroad now of Tampa & Gulf Coast Railroad Company at Clearwater, Florida, and
shall terminate upon cessation at such operation by Railroad.
