SECTION TT NATURE Or GRidIT The authority, right and privilege is hereby granted to Lt. F. Hall for and in consideration of, and subject to, the conditions, agreements and privileges hereinafter set forth, to establish, main- tain and operate over and upon the streets of the City of Clearwater, Florida, a motor bus transportation system for the transportation of passengers for hire far-a period of ten (10) years conmencing on the effective data of this ordinance. The commencement of actural operation of s?id transportation system shall be not later than sixty days after the effective date of this ordinance. SECTION III Regular motor bus transportation service pursuant to the grant aforesaid shall-be established, operated and regularly main- tained over and upon definite routes in the City so as to adequately serve the traveling public of the City as the public convenience and necessity may require, and Mall and the City, prior to the commence- ment of operations under thin ordinance, shall agree as to the routes over which baid motor bus transportation service shall be established. Hall shall establish new routes and provide additional equipment an the sonic may be nooded in order to maintain safe, adequate and efficient transportation service for the City, subject to the provisions hereof, hall may, upon his own initiative Sron time to time, pro- vide safe and reasonable experimental routes over which he may operate his bus transportation service for a period of time not to exceed ninety (90) days upon ten (10) dgy's written notice given the City, such notice to specify the route to be operated, the time of the co.:ancement and termination of such oxpor_xental service. If from ,the experience of any such experimental operation, it is shown that the operation over any such route or routes serves the pubic con- venience and necessity of the Citizens of the Qity in the area affected, and that the continued operation over such route or routes will afford a reasonable return to Hall, therefore, the operation of such route or routes shall be considered as established routed and subject to abandon- -.-Mont, modification or alteration only as provided herein in respect to established routes. Pt ...S`... .. or routes shall serve the public eonvunlenca and necessity of the ' City in the area affected, and afford such a reasonable return to Hall, will be made by the mutual consent of Hall and the City. Any established route any be changed, modified or aband- oned by mutual consent of the City Comaiesion and Hall, and additional established routes may from time to time be provided by like mutual consent. Hall may change, modify or abandon any established route, provided that a written notice of hie intention to do so, ouch notice to contain a description of such proposed change, modification or abandonment, shall be served by Hall on the City at least twenty-one (21) days prior to the day on which such change, codification or abandonment iv proposed to be made effective, and published in a newspaper regularly published and in general circulation in the City once a week for two consecutive weeks prior to said proposed effective date. And such action as taken by Ball shall be valid, proper and effective, and the City shall be presumed to have concurred therein, unless the City Commission shall, after receipt of such notice and prior to the date on which said proposed change would be affective, notify Hall in writing that It disapproves of such proposed action. }Tall shall not be required to operate over any established route unless all of the operations of Hall in the City shall afford, or show a reasonable prospect of affording, a fair and reasonable return on the cost of such operations. If the City and Hall cannot agree as to whether or not said operations will at that time or within a reasonable period of time produce a fair return upon the investment necessary for the operation thereof, the same shall ba submitted to arbitration as provided in Section XV11 hereof, and the said Hoard of Arbitration Is making its findintis and decision of the question in dispute so submitted to than-'for determination shall consider (1) the effect that such operation has or may have upon the safety of the traveling public and the citizens of the locality affected, (2) the nature qnd condition of the streets of such route, (3) the effect that such operation has upon the needs of the traveling public and the locality of the City affected, and (4) the length of time that Hall has exercised his rights and operathd his business under this franchise, giving due weight to the probability of a nsturnl loss to Hall from his operations during the initial years of this franchise. Hall may at any time provide for the transportation of special charter parties or excursions between any two points in the City without being required to follow such established route or routes. Section V schedules Schedules of pperation shall be such as may be required to accommodate the reasonable needs of the traveling public over the respective routes established. Section VI Equipment All buses to be operated under this grant and authority - shell be kept in rood mechanical order and attractive in appearance. Sall shall at all times during the operation of said motor buses transportation system under this franehiee use suffieent number of buses to carry out its agreed schedules. All buses shall be properly equipped with modern safety appliances. If Hall desires to commence regular operations on schedules before buses are available, he may temporarily operate private cars or taxi cabs in lieu of buses. However, any private oars or taxi cubs so pperated shall be distino- tly marked to shah that they are running on regular echodulbs in lieu of buses, and the use of private cars and taxi cabs shall be disoon- tinued as soon as buses are available in sufficient number. Section VII Fares The fares to be charged by Hall shall be uniform, dust and reasonable, and shall be suoh as will provide a fgir and reasonable return on Hall's investment. rill fares shall be subject to approval and re6ulation by the City, and no schedules of fares Mall be effective until,approved in writing hY the City Manager. However, Hall may at anytime by special agreement or contract provide for the transportation of special charter parties for excursions at such rates and charges as he may deem advisable and without the approval of the City. SECTION X.11 Damage to Streets Hall further agrees to promptly make payments to the City for all damages done or caused to the Streets and other property of the City caused by the operation of Hall's vehicles, reasonable weer and tear excepted. SECTION X111 Protection The City shall not compete with Hall in his operations hereunder and shall, insofar as its corporate powers exist, by ordinance duly enacted, prohibit interference and competition from motor bus lines, jitney operations and taxi nabs not operated from regular stands, or other competinb types of public transportation which would tend to interfere with the efficient and economic pperation as a whole of the transportation system herein provided for. SECTION XIV Compliance with General Ordinances. Hall in his operations shall be required to comply with all general ordinances bf the City now in effect or hereafter adopted for the regulation and control of notor vehicle traffic. 6kCTION XV Notices . Whenever by terms of this ordinance notice is required or permitted to be given either by the City or by Hall, it may be given by registered mail addressed to, or by personal delivery at, the office of Hall in the City of Clearwater, Florida, or the office of the City Clerk in the City Hall, Clearwater, Florida, and to,each City Commissioner at his business address, as the erase may be. In the event the City and Hall shall be unable to agree in respect to any aattar arising hereunder, the subject of disagreement shall be referred to a Board of Arbitration to be selected in the following manner: The City shall eblect a person in no way con- nected with the government of the City and Hall shall select a person in no way connected with him, and these two shall select a third member in no way connected with the government of the City or with Hall, such three (3) members to compose the said Board of Arbitration. It is hereby expressly agreed that the finding of the said Board of Arbitration shall be final upon all issues of foot so submitted to the Board and that the expenses of said arbitration, includine the expenses of the Board, shall be certified by it to both parties and shall be paid by Hall. Such expenses shall not include any allowanoe for fees for attorneys or experts for either party. SECTION XVIII , Forfeitures The authority and privileges granted hereunder shall at the option of the City be subject to forfeiture upon the failure and refusal of Hall to comply with any of the terms hereof, and shall particularly be subject to forfeiture in the event that regular bus service is not established within (60) days from the effective date of the franchise hereby granted, or in the event that regular bus service under this franchise is discontinued for a period of sixty (60) days or more. '1: '.`' i; a':' t" ?'•? -{'? .-ail SECTIOtt XDC Option to Purchase At the expiration of the term of this franohise, or upon a forfeiture under the provisions of the preceding section, then and''theroupon the City shall have the right to option to purchase all of Hall's equipmont and property used under or in connection with the franchise or right herein and hereby granted, or such part of such equipment and property as the City-may desire to purchase, and in the event that the City exercises its option herein granted, then the valuation of the property and equipment that the City desires to purchase shall be fixed by arbitration as provided by law. SECTION AC Indemnity Hall shall hold the City harmless against any and all liability, lose, costs, damage or expense which may accure to the said City by reason of the neglect, default or misconduct of Hall in Oonneot- ibn with his rights hereunder. Nothing in this ordinance shall be condidered to make the City liable for damages on account of any negligent not of omission or commission by the servants, agents, or employees of Hall during his pporation of his transportation services, either in respect to persons or with respect to any, property damage which may be sustained. SECTIUN ]C7C,I Acceptance This grant and authority is made upon the condition that Hall shall file with the City Clerk of the City of Clearwater, written notice of the-acceptance of the same within thirty (30) days after the effective date of the passage of this ordinance, and when such notice of acceptance is filed, this ordinance and the acceptance shall constitute a contract between the City and Hall for all the uses, services, and purposes set forth herein. SECTION =1 Removal of Equipment upon Expiration Upnn the expiration of the term of this franchise or upon a forfeiture thereof as provided in Section MIX Of this or- dinance, Hall agrees that he will promptly cease his operations under this franchise and will promptly remove from the streets of the City all of his property and gquipment unless the City shall exercise the option =d right reserved herein to purchase said property and equipment as hereinabove provided in Section 7CZ;t hereof.
