WIT N E SSE T H:
WHEREAS, the Owner owns and controls the Clearwater High
School Parking Lot situated at 540 South Hercules Avenue in Clear-
water, Pinellas County, Florida; and
WHEREAS, the City is desirous of providing a special
publ ie bus service to be operated by the Central Pinellas Transit
Authority to and from Clearwater Beach on Sundays and hol idays,
and desires to use the Owner's parking area as one of the stops
for these special buses; and
WHEREAS, the City and the Owner are will ing to enter into
an agreement concerning the use of said parking area subject to
certain conditions;
NOW, THEREFORE, for and in consideration of the covenants
herein contained and other good and valuable considerations, the
parties hereto agree and covenant as follows:
1. That the Owner will permit the special buses provided
and operated by Central Pinellas Transit Authority on Sundays and
hol idays to use the parking area of Clearwater High School as a bus
stop and to allow persons using the said service to park their
vehicles In said parking area, inthe area designated on the attached
map.

the date hereof and shall continue until terminated and may be can-
celled and terminated by either party upon furnishing to the other
thirty (30) days' written notice of cancellation.
3. That the City covenants that it will save and hold
harmless and indemnify the ovvner on account of any accident, injury
or damage caused in connection with the use of that portion of the

4. Tre City shall furnish the Owner with a Certifi-
cate of Insurance form evidencing insurance in a minimum amount,
as requlred by this

A copy of said Insurance Certificate shall be del ivered
to Owner's Risk Management Department for its approval prior to
entry into this lease agreement. A dupl icate copy of said Certi-
ficate will be attached to and made a part of this agreement.
5. That the City agrees to rel inquish the use of the
park~ng lot to the Owner on a given day if any conf1 ict may arise,
upon adequate written notification in advance from said Owner.
6. That the City agrees to maintain the portion of the
parking area covered in this Agreement from 1 itter or debris during
the hours used for said special bus service, and shall also be
responsible for any unusual wear and tear on said portion of the
lot; i.e., pot holes, etc., caused by the buses.
7. That all notices hereunder shall be sent to the City
Manager, City of Clearwater, Florida, P. O. B~x 4748, Clearwater,
Florida 33518, and to The School Board of Pinel1as County, Florida;
Attention: Dr. Joseph L. Carwise, 1960 East Druid Road, Clearwater,
Florida.
