of Community Affairs ("UCA") and other state, regional and

I��IEREAS, on Octaber 11, ].98Z, the DevelopQr filed
with the City an Amendment to the Application for
Developmerot Approval ar�d submitted copies af the Amendment

wNEREAS, the Application for Development Approva1�
as amended ("A�A"1. proposes tne development af Park Place,
a 99 acr� planned retail and office complex in the City o�f

easement, or other appropriate mechanism by e�ther
the Developer or th� City. If acquisition cannot
be accomplished by ths Developer on terms acce�t�
ab�e to the Developer, then upan written request of
the Develo�er, the City agrees to the utilization
of its eminent domain powers under Chapter 73,
�lorida Statutes to acquire such right-of-way. The
City agrees to exercise such emi�ent domain powers
soiely under Chapter 73, Florida Statutes, if '
neces�ary, within �weSve (12} months after the
effective�date of this Jrd�r, consisterit wi�h �he
applicable pravisions of law, in recog�nitian that
it is in the public interest that such ingress and
egress be obtained. In the event that the City so
exercises its power of eminen� domain �a acquire
rights in any oF the above referenced propeMty for
ingress and egress, the Developer shal� compensate
the City�in the amoun� of the cvndemnation judg-
me�t; except where such �uagm�nt exceeds tne
appraised value ar average o� appraised values
entered into evidence in the condemna�ion proceed-
ing by the City, the City and the Developer shail,
su6,ject to the mutual consent af the City and the
Develop�r as to the reasonableness of the judgmen�,
share equally (50 percent each) the amount of the

plans for Pnas�s II and III� the City shall
evaluate the staCus of i�provements and commit-
ments to �mprove the transportatian syst�m in
the praject area. Said evaluation shaSl be
based on the raad impravernents ou�lined in
ExhibiC "F", attached hereto and by reference
made a part hereo�, which summarizes the
findings and recommendations of the TBRPC. Each
� transportat9on improvemer�t included dn these
findings and recommer�datior�s has been assigned a
point value equal to the percentage of pealc haur
traffic which was expected to be genera�ed by
Park P1ace. Points shali be granted� in the
ar�ounts indicated, for constructiar� or commit-

this Ordinance be declared by a court of competent jurisd�ctior�
to be invalid, the same shall not affect the validi�y of the
Ordinance as a whale, or any part thereof other than the part
declared to be invalid; provid�d however that any suct� finding af

10. Uevelopment of Regional Impact. Developmnent of the
Praject Property constitutes a DRI as defined in Florida
S�aCU�es� Chapter 380. The City agrees that compliance by the
Developer with tf�e prov�sions of Chapter 380 is in addition to
and camglimentary to the initial Commu�ity ImQact 5tatement
("CIS") prepared for the Projett Prnperty by the Developer. The
DRI pracess, constituttng a more comprehen�ive and complete
evals�ation af praject impacts, supplants and supersedes the CIS
wherever the �wo may be lncansistent a�d precludes the necessity
af submitting any additional CiS for each phase or tract of the
• project.
11. Remedles, The parties recognize �hat damages for a
breach by either party of the terms of t�is Agreement or the
Qevelopment Order may be difficult or impossible to ascertaln.
The par�ies further recognize t�at there may be na adequate
remedy at law for any such breach. Accordingly, the parties.
agree that either mandam�s, specific performance, ar injunctive
reiief�{eiLher prahibitory or manda�ory, both temparary and
permanen�? is an appropriate remedy ir� the .event of breach,
whether actual or anticipatory, af this Agreement or trie

shall issu� its neve�opment Order reZatfve to the Praject '

Developm�nt Qrder as Exl��bit "D" st�ows t�re genera� parameters far
deveiflpm�nt of the �roject Property. Any development of the
project Property by Develo�er sha�] be in substantia� comp�iance

4. Parkland Uedication. The Cfty's parkland dedication

Developer to an independent Crustee designated by t�e City of the

shall be invested in an i�terest bearing acco�nt as directed by ���
the Ci ty• wi th '�the 'i nterest. to accrue ta the benefi t a� the Ci ty.

design reasonabiy acceptable to City for ingress� egress, ar�d

9. Access to Out parc�ls. The Gity agrees not to prevent

remedy a�t 1aw for a�ty such breaci�. Accordingly, the �arties
agree �ha� either r�andai�us, specific p�rformance, or injunctive
relief {ei�lter prohibitary or mandatory, boLh temporary and
permaner�t) i s ar� agprop�ri a�e remedy i n the event of breach,
whether s�ctual.or anticipa�ory, of this Agreement or the
Uevelopmer�� Or.der. Yn the event of any 1itigation arising o�t af
this Agreement or the Oeve7apment drder, the prevailfing party
sl�a11 be�entitled to recover �ts costs, including reasonable
attorney's �ees.
12. �ffecti�� Date and Term. This Agreem�nt sha�l be
.effective upo� its execution by the City and the Developer. T�is
� Agreement shall be in effect for twenty (20) years following the
