AN ORDINANCE OF THE CITY OF CLEARWATER,
FLORIDA, TO BE KNOWN AS THE "CITY OF
CLEARWATER CABLE TELEVISION FRANCHISE
ENABLING ORDINANCE; PROVIDING DEFINITIONS;
PROHIBITING THE CONSTRUCTION, OPERATION OR
MAINTENANCE OF A CABLE TELEVISION SYSTEM
WITHOUT A FRANCHISE; PROVIDING THE TERM OF
FRANCHISES; PROVIDING PROCEDURES AND
EVALUATION CRITERIA FOR THE CONSIDERATION OF
FRANCHISE APPLICATIONS;. PROVIDING FOR
SEVERABILITY; PROVIDING AN EFFECTIVE DATE.
WHEREAS, the Florida Constitution and Chapter 166, Florida
Statutes, authorize and empower the City Commission of Clearwater
(the "City") to grant to any qualified and acceptable applicant,
upon such terms and conditions as the City Commission shall deem
proper, a cable television franchise; and
WHEREAS, on February 21, 1980, the City Commission enacted
Ordinance No. 2084, which Ordinance awarded a nonexclusive cable
television franchise to Vision Cable of Pinellas, Inc.
("Vision"); and
WHEREAS, the City Commission understands that other
applicants may come forward with proposals to provide cable
television facilities which may duplicate all or a portion of the
facilities provided by Vision; and
WHEREAS, it is necessary for the City Commission to adopt
standards and procedures to evaluate any such applications and to
assess the effect of additional cable television systems upon the
overall level of cable service in the City and upon the welfare
of its residents; and
WHEREAS, it is necessary for the City Commission to further
the substantial public purposes of controlling the use of public
rights-of-way, avoiding, whenever possible, the unwarranted
disruption and burdening of public and private property, ensuring
maximum availability of cable services, controlling the economic
scarcity of cable services so as to ensure the continued
availability of cable services to the greatest number of
residents' of Clearwater at the lowest prices economically
practical, and ensuring the highest quality and best services to
the subscribing public; and

WHEREAS, the adoption of this ordinance is necessary in the
general interest of the public and shall promote the public
convenience of the citizens of Clearwater; now, therefore
BE IT ORDAINED BY THE CITY COMMISSION OF THE CITY OF
CLEARWATER, FLORIDA:
Section 1. Short Title. This ordinance shall be known and
may be cited as the "Clearwater Cable Television Franchise
Enabling Ordinance."
Section 2. Definitions. For the purposes of this
ordinance, the following terms and their derivations shall have
the meaning given herein, unless the context clearly indicates
that another meaning is intended. When not inconsistent with the
context, words used in the present tense include the future,
words in the plural number include the singular number, and words
in the singular number include the plural number. The word
"shall" is always mandatory and not merely directory.
(1) "Applicant" means any applicant for a
franchise pursuant to this ordinance.
(2) "Cable television system" or "cable
system" means a facility consisting of a set of closed
transmission paths and associated signal generation, reception
and control equipment that is designed to provide cable service
which includes video programming and which is provided to
multiple subscribers within a community, but such term does not
include (A) a facility that serves only to retransmit the
television signals of one or more television broadcast stations,
or (B) a facility that serves only subscribers in one or more
multiple unit dwellings which are under common ownership, control
or management, where such facility does not use any public right-
of--way.
(3) "City" means the City of Clearwater, a
Florida municipality. As used herein, the term may include its
City Commission and its officers, employees and agents.
(4) "Clearwater" means the territory included
within the corporate limits of the-City as presently constituted,
including any area henceforth added thereto during the term of
any franchise granted hereunder.

(5) "Franchise" is an authorization granted by
the City which permits the construction, operation and
maintenance of a cable television system within the Franchise
Area.
(6) "Franchise Area" means that portion of
Clearwater for which a franchise is granted under the authority
of this ordinance. The Franchise Area may or may not be
coterminous with Clearwater.
(7) "Grantee" is the holder of a cable
television franchise issued by the City.
(8) "SMATV" means a cable television facility
which meets all three exemption criteria set forth in Subsection
(2)(B) of this section.
Section 3. Franchise to Operate Necessary.
(1) It shall be unlawful to commence or engage
in the construction, operation or maintenance of a cable
television system within Clearwater without a franchise issued by
the City. The City may, by ordinance, award a franchise to
construct, operate and maintain a cable television system within
all or any portion of Clearwater to any person, whether operating
under an existing franchise or not, who makes application for
authority to furnish a cable television system which complies
with the terms and conditions of this ordinance; provided, that
this section shall not be deemed to require the grant of a
franchise to any particular person or to prohibit the City from
restricting the number of grantees should it determine such a
restriction would be in the public interest.
(2) Any person violating this section shall be
punished by a fine of not more than Five Hundred Dollars
($500.00) or by imprisonment for not more than sixty (60) days,
or both fine and l.mprisonment in the discretion of the court.
Each day that such violation is committed or permitted to
continue shall constitute a separate offense and shall be
punishable as such hereunder.

Section 4. Term of Franchise.
(1) Any franchise granted by the City shall
expire on the fifteenth anniversary thereof, and, upon
application of the grantee and review of the performance of the
grantee in a public proceeding, the City may renew the franchise
to the extent which may be allowed by the express terms of the
franchise, if any, with such modification of terms as the City
Commission may determine in each instance.
(2) The City may terminate any franchise in
the event the grantee shall refuse or neglect to comply with any
material requirement or limitation contained in this ordinance or
in the ordinance granting the franchise.
(3) Should the City determine that the grantee
is not, in its opinion, in compliance with this ordinance and any
franchise issued hereunder, it shall so notify grantee, and
grantee shall, within thirty (30) days, bring the franchised
system into compliance, reporting corrective action taken to the
City.
(4) If the City is not satisfied that
compliance has been achieved, or that good faith progress is not
being made toward compliance, it may schedule a public hearing to
determine whether the franchise should be revoked. The grantee
and the public shall be given at least thirty (30) days notice of
such a hearing, and all interested parties shall be heard in open
hearing. At the conclusion of the public hearing, the City
Commission shall determine whether the franchise should be
terminated and shall set forth, in writing, the facts and reasons
upon which its decision is based.
Section 5. Limitations of Franchise.
(1) Any franchise granted under this ordinance
shall be nonexclusive and nothing herein shall be construed 'Co
prevent the City from granting identical franchises to more than
one person, within all or any portion of Clearwater.
(2) A grantee shall, at all times during the
life of its franchise, be subject to the lawful exercise of the
franchise, the City's police power, and such reasonable
regulations as the City may subsequently promulgate thereunder.

(3) All privileges prescribed by such a
franchise shall be subordinate to any prior lawful occupancy of
the public streets, and the City reserves the right to reasonably
designate where a grantee's facilities are to be placed within
the public ways.
(4) All privileges prescribed by the franchise
granted to any new grantee shall be conditioned on the
requirement that such new grantee shall indemnify and hold
harmless the existing grantee, the City and all public utilities,
from and against all costs and expenses arising from the exercise
of such privileges including, but not limited to, interruption of
service, damage to property or business and costs relating to
strengthening, replacing or rearranging poles, cables, pipes,
lift stations, road beds, curbs, sidewalks, bridges, and
attachments and appurtenances thereto, and placing underground
facilities as well as incidental inspections and "make ready"
which result from construction or cable installation undertaken
on behalf of any new grantee in the franchise area. Such
existing grantee, the City and public utilities shall be
designated as third party beneficiaries of such conditions
required of any new grantee.
(5) Any franchise granted under this ordinance
shall not authorize an additional grantee to operate within all
or any portion of the franchise area of any existing grantee on
terms or conditions more favorable or less burdensome to such new
grantee than those applied to any existing grantee.
Section G. Application; Initial Fee.
(1) Applications for a Franchise shall be
submitted to the City Manager of the City with an initial
Hundred
application fee of Seven Thousand Five / ($71500.00) to defray
the City's costs of processing the application.
(2) In addition to the application fee the
applicant shall be responsible to pay the cost of any and all
consultants, experts, accountants, attorneys or other person(s)
utilized by the City to assist it in its evaluation of the
application. Said costs shall be paid by the applicant prior to
final consideration of the request by the City Commission.

Section 7, Scope and Contents. All applications shall be
filed in conformance with and subject to the provisions of this
ordinance. This ordinance shall not be ccnstrued to prescribe
the detail in which the applicant shall make its presentation nor
in any way to restrict the scope of its presentation. It is
intended, however,. to set forth the minimum standards that an
application shall meet for consideration by the City. Applicants
have a wide latitude to formulate their proposals in an
innovative fashion. Applicants are expected to propose a modern,
efficient, cost-effective system which will facilitate quality
maintenance practices, deliver a variety of marketable services,
and provide the flexibility needed to adjust to changing
technology and new developments in the industry. Moreover, the
following matters must be carefully covered and in such detail
that the City can make fully informed judgments concerning the
adequacy of the proposal and the applicant's legal, character,
financial, technical and other qualifications to construct and
operate a cable television system in Clearwater. The City
Manager may promulgate forms to be used by applicants.
Section 8. Franchise Area.
(1) The applicant shall submit information
sufficient for the City to determine whether the size of the
requested franchise area is in the public interest. The
following shall be addressed:
(A) The size of the area requested
relative to the technical, fiscal and legal qualifications of the
applicant;
(B) The potential for development in the
near future for the area requested; and
(C) The extent to which existing
operators have installed facilities and equipment in the area.
(2) The City may consider the above
information and all other relevant information in determining
whether the size of the area requested is in the public
interest.

Section 9. Legal Qualifications.
(1) Identification of R licant, Provide
name, address and. telephone number of the applicant; and the
name, address and telephone number of the principal or the
representative to whom inquiries should be made.
(2) ownership information.
(A) If a corporation, provide
identification and ownership interests for all officers and
directors, and stockholders owning one percent (1%) or more of
any of the applicant's voting-class stock or non-voting,equity or
debt which may be convertible to voting stock; and state of
incorporation.
(B) If a corporation, provide the
following stock information: classes of stock, par value, votes
per share, number of shares authorized, number of shares issued,
number of shares subscribed, and total number of stockholders,
including convertible stock information. If there are any
assignments of voting rights or intended assignment of voting
rights which confer one percent (1%) or more of the votes in any
voting-class of stock upon any shareholder or group of
shareholders, furnish full details and attach copies of documents
evidencing the same. If there are shares which are not entitled

Section 10. Character Qualifications. The past or current
involvement of the applicant and any of its principals or
managers as a party in criminal or civil proceedings is relevant
to evaluation of an applicant's character qualifications. The
applicant shall supply all records as deemed necessary by the
City Manager or the City Commission.
(1) Criminal Proceedings. Advise whether the
applicant (including parent corporation if applicable), any
principal or manager has ever been found guilty in a criminal
proceeding (felonies or misdemeanors) in which any of the
following offenses have been charged: fraud, embezzlement, tax
evasion, bribery, extortion, jury tampering, obstruction of
justice (or other misconduct affecting public or judicial
officers in the performance of their official duties),
false/misleading advertising, perjury, antitrust violations
(State or Federal), including instances in which consent decrees
were entered, violations of FCC regulations, or conspiracy to
commit any of the foregoing. If "yes" in any instance(s),
provide specifics including date, court, offense, sentence or
fine, and probation status.
(2) Civil Proceedings. Advise if the
applicant, any principal or manager, or any cable operator of
which any principal or manager was or is a principal or manager,
has ever been a party to a civil proceeding in which he or it was
held liable in any of the following: litigation involving cable
television operations, franchised or unfranchised (e.g., SMATV),
unfair or anticompetitive business practices, antitrust
violations (State or Federal), including instances in which
consent decrees were entered, violations of securities laws
(State or Federal), false/misleading advertising, violations of
FCC regulations, racketeer influenced and corrupt organizations,
or contraband forfeitures. If "yes" in any instance(s), provide

Section 14. System Design --- Layout and Equipment. The City
seeks a comprehensive, but concise, description of the proposed
system design. The design features referenced in this section
shall not be construed to be requirements of the City. However,
each design feature shall be addressed by the applicant in order
to clearly reflect the applicant's design philosophy as well as
the features planned and not planned.
(1) System Configuration. Briefly describe
the type and layout that will be used to provide coverage to the
franchised territory. The description shall be in the following
form, at a minimum;

(3) Expansion Capability. Discuss short term
and long-term channel expansion capability including specific
reference to the degree of flexibility available for adapting the
system to increasing or changing capacity requirements.
Section 16. System Design -- Interconnection. Applicants
shall be fully cognizant of the potential need and requirement
for interconnection with other broadband cable communications
systems both within and outside Clearwater for an institutional
network and for public, educational and government access
programming. Initial design shall make provision for such
interconnection. Include a statement detailing how the applicant
will ensure such interconnection capability with other cable
communications systems. Interconnection shall be made upon six
(6) months' notice from the City, when required by the City
Commission.
Section 17. Technical Standards.
(1) List the key system technical performance
standards which will be met by the proposed cable system,
including, but not limited to, carrier to noise ratio, composite
triple beat and cross modulation specifications. Provide the
calculations supporting these specifications associated with 'the
transmission paths described in paragraphs (A), (B) and (C)
below. All supporting calculations shall be related to full
loading of unmodulated television signals. Any enhancements such
as HRC channelization,-'synchronous carriers, or FM video

modulation shall be separately stated.

(5) Method of record keeping.
(6) Number of personnel, agents or contractors
and duties, and circumstances under which additional personnel,
agents or contractors will be added.
Section 19. Im act of an Additional Grantee.
(1) To assist the City in evaluating the
impact of additional grantees, 'the applicant shall provide all

the usable space available on each pole to be utilized by
applicant, or in any trenches or conduits where underground
facilities are proposed. All costs for rearrangement of
facilities or replacement of poles shall be detailed; and
(E) The detailed economic and financial
information and assumptions of the applicant, summarizing the pro
formal and other financial information required by Section 5
above.
(2) Assistance of City Manager. It shall be
the responsibility of the applicant to furnish any and all
reasonably available information relating to existing service and
cable operators. The City Manager shall assist the applicant in
obtaining any such information from the City's files, but shall
not be required to verify, confirm or update any such
information, except as might otherwise be done in the normal
course of business. It shall be the responsibility of the
applicant to compile the information in a form acceptable for
presentation to the City Commission.
Section 20. Initial Review. Upon the applicant's submitting
an application for a franchise, the City Manager shall review the
application to ensure that all information provided is complete
and correct and that the applicant has the financial, technical
and managerial background and resources to provide the proposed
service. The City Manager shall notify all existing grantees of
t the initiation of review of the pending application within a
period of time he deems appropriate. The public shall be advised
of the opportunity to submit relevant comments, objections and
information by letter or other written form within thirty (30)
days after the publication of public notice by the City Manager
that application(s) have been submitted. The public hearing
required by Section 23 below shall not be commenced until at
least thirty (30) days after the deadline for submission of such
comments.

Section 22. Coml2leteness of Application. The City Manager
shall accept, reject as incomplete or deficient, or accept with
conditions, the application. The City Manager shall notify the
applicant as to any facial deficiencies within a period of time
he deems appropriate. Upon acceptance or, if accepted with
conditions, upon the conditions being met, the City Manager shall
notify the City Clerk to advertise a public hearing to be held on
a date and at a time to be determined by the city commission.
The advertisement shall be published by the City Clerk in a
newspaper of general circulation in Clearwater once weekly for
two (2) consecutive weeks, the first being published not more
than twenty-one (21) days and the second not less than five (5)
days prior to the public hearing. The City Manager's acceptance
shall not be construed as a final approval or as a certification
that all of the information contained in the application has been
independently verified as being accurate. Said acceptance shall
be only as to the completeness and apparent correctness of the
application.
Section 23. Summary Report; Review by Consultant. The City
Manager shall issue, or cause to be issued, a report summarizing
the application. This report shall describe areas of particular
noteworthiness, if any. The report shall be presented to the
City Commission with a recommendation by the City Manager as to
approval, denial, or approval with conditions. The City
Commission may obtain a consultant to perform studies and review
to assist the City Manager. The applicant shall be responsible
for any cost thereof, which shall be paid in advance of the City
Commission's final decision on the application.
Section 24. General Evaluation T Criteria by City
Commission. The City Commission shall consider the information
required by this ordinance and the criteria set forth herein, and
any other information it deems appropriate in determining whether
to award a franchise. An applicant's legal, character,

and service proposals and other submissions will be evaluated
based on public convenience, safety and welsare. In the event
multiple applications are filed for the same franchise area or
overlapping franchise areas, they may be evaluated on a
comparative basis.
Section 25. Additional Information. The City Commission
may continue or postpone the public hearing as it deems
appropriate. It may request additional information of the
applicant, existing grantees, and officers and employees of the
City. The applicant or existing grantees may submit studies,
reports or opinions addressing the need for an additional
grantee, the economic effect of an additional grantee, and other
appropriate matters.
Section 26. Action by City Commission. Upon consideration
of all relevant information and at the completion of the public
hearing process, the City Commission may reject the application,
award a franchise with or without conditions, or award a
franchise for only a portion of the area requested. The City
Commission shall not unreasonably withhold ultimate consideration
of the application. The decision by the City Commission on all
applications shall be final and conclusive.
Section 27. Severabilit . If any section, subsection,
sentence, clause or phrase of this ordinance, or the particular
application thereof, shall be held invalid by any court,
administrative agency or other body with appropriate
jurisdiction, the remaining sections, subsections, sentences,
clauses or phrases and their application, shall not be affected
thereby, but any such determination of invalidity shall be deemed
sufficient grounds for an amendment or amendments to this
ordinance by the City Commission without regard to any reliance
thereon by any person.
Section 28. Effective Date. This ordinance shall take
effect immediately upon adoption.
