It is hereby ascertained, determined and declared that: A. The Gadsden County Industrial Development Authority of Gadsden '""[F County, Florida (the "Sponsor") has heretofore established the nursing, home acquisition and improvement program (the "Program") for the purpose of financing the acquisition, ij?y construction and improvement of health care facilities by RHA/Florida Properties, Inc. and RHA/Florida Operations, Inc., both Florida not-far-profit corporations (collectively, the "Borrower"). y; B. The Sponsor will finance the Program by the issuance of its First Mortgage Nursing Home Acquisition and Improvement Program Revenue Bonds, Series` ` 1988, which may be issued in one or more series having various lien priorities and a tax d .°•, , status to be determined by the Sponsor (the "Bonds") pursuant to Chapter 183, Part I and Chapter 159, fart II, Florida Statutes, as amended, and other applicable provisions of law e (the "Act"). The nursing home facility described in the Notice of Public Hearing published in connection with the public hearing held by the City Commission on August 18, l'~,??',,r•y( 1988 (the "Project") is within the territory and jurisdiction of the City of Clearwater, ;f . The City is authorized by the Act to make and execute financing :-,-.,' ?,•,.; _;.;,..-;--:;;s?,::;.,.•:- F agreements, contracts, deeds and other Instruments necessary or convenient for the purpose of facilitating the financing, acquisition, operation and maintenance of projects ??. ?: •,;??,4:??r;?..r',•'.?,.• -, as defined In the Act, including machinery, equipment, land, rights in land and other ?':l:.«I, ?:A,x;:,<:•... appurtenances and facilities related thereto, to the end that the City may be able to promote the general welfare of the people in the City through enhancement and improvement of the health care industry in the City. G. To that end the City is authorized and empowered under the Act to enter Into the Interlocal Agreement with the Sponsor. H. The Project is a "project" and a "health care facility" within the meaning of the Act. The Project is appropriate to the needs and circumstances of the City and its community and acquisition, operation and maintenance of the Project by the Borrower will serve a public purpose by advancing the health care industry, and therefore, general welfare of the people, in the following ways: (1) The Project is presently owned and operated by a proprietary, "for profit" corporation, and was financed by the Issuance of taxable debt. [describe nature of current debt structure] [insert, if appropriate, the following]: Conversion of such debt structure to long-term fixed-rate debt at tax-exempt rates will enable the owner of the Project to operate the nursing home without risk of large rate increases required in the event that interest rates rise at any time over the life of the Bonds. (2) Traditionally, in the nursing home industry, successful proprietary nursing homes are sold as often as current cash flow projections can justify sale at a profit. Thus, continuing upward pressure is placed on rates and charges of the nursing home to cover the increased purchase prices. Transfer of the ownership of the Project to a not-for-profit corporation such as the Borrower will eliminate the incentive for such continued sales and enable the nursing home services to be provided at stabalized rates. (3) Transfer of ownership of the Project to a not-for-profit corporation such as the Borrower will eliminate the transfer of profits to investor-owners, thus providing capital for reinvestment in the Project as required for renovation or expansion, and will assist in keeping the Project competitive in the labor market, particularly for qualified nurses. 1. The appropriate local agencies which serve the Project are able to cope satisfactorily with the impact of the continued operation of the Project, and all the necessary public facilities, utilities and services that will be necessary for the operation, repair and maintenance of the Project and on account of any other circumstances resulting by reason of the acquisition of the Project are available now or can be provided when needed. J. Section 147(f) of the Internal Revenue Code of 1988, as amended (the "Code"), requires public approval of the Bonds by the governmental unit having jurisdiction over the area in which the Project is located following a public hearing. On August 18, 1988, the City held such a public hearing following the public notice required by the Code. FILING OF INTERLOCAL AGREEMENT. The Interlocal Agreement shall be filed of record by the Sponsor or the City, or their authorized agent or representative, with the Clerk of the Circuit Court of Gadsden County and with the Clerk of the Circuit Court of Pinellas County, Florida, all'in accordance with Chapter 163, Part I, Florida Statutes. section 9. AUTHORIZATION OF ALL OTHER NECESSARY ACTION. The Mayor-Commissioner, City Manager, City Clerk and City Attorney are each designated agents of the City in connection with the execution and delivery of the Interlocal• Agreement and are authorized and empowered, collectively or individually, to take all action and steps to execute and deliver any and all instruments, documents or contracts on behalf of the City which are necessary or desirable in connection with the execution and delivery of the Interlocal Agreement and which are not inconsistent with the terms and provisions of this ordinance. Section 10. REPEALING CLAUSE. All ordinances, resolutions -or parts thereof of the City in conflict with the provisions herein contained are, to the extent of such conflict, hereby superseded and repealed. Section 11. EFFECTIVE DATE. This ordinance shall take effect immediately upon its passage. Section 12. PUBLIC NOTICE.
