ORDINANCE NO. 4549-88
AN ORDINANCE OF THE CITY OF CLEARWATER, FLORIDA,
RELATING TO THE CLEARWATER DOWNTOWN DEVELOPMENT
BOARD; AMENDING SECTION 22.43, CODE OF ORDINANCES TO
INCREASE THE MEMBERSHIP OF THE BOARD FROM SIX (61 TO
SEVEN (7) MEMBERS; PROVIDING FOR THE SELECTION AND
TERM OF OFFICE OF THE INITIAL SEVENTH MEMBER;
PROVIDING AN EFFECTIVE DATE,
BE IT ORDAINED BY THE CITY COMMISSION OF THE CITY OF
CLEAR WATER, FLORIDA:
Section 1. Section 22.43, Code of Ordinances, is amended to read:
See. 22.43. Creation of the board; composition and provisions relating to
members.
(a) There is hereby created a board composed of seven 7 six (6) members and
to be known offleially as the "Clearwater Downtown Development Board."
(b) Seven (7) Six (C4 members of the board shall be elected for three-year
terms, with two (2) or three (3) members being elected each year, at a date specified
in the bylaws, by the electors and by the designated voting representatives of any
corporations or other artificial legal entities owning property within the taxing district
and by any other persons owning property within the district. Corporations or other
artificial legal entities desiring to designate a voting representative with the board
shall do so within two (2) weeks prior to the mailing of the ballots, in the form and
manner specified In the bylaws. In any election, each qualified voter shall have the
right to write in any additional person on the ballot for each office. Any returned
ballot postmarked two (2) weeks later than the date the ballots were mailed shall be
null and void. Any Glmliarly; any ballot containing fewer votes than the number of
seats to be filled than two (0 votes shall be null and void.
(c) (Reserved). Per the first election following the passage of this article

for two (* offices with initial one-year terns, four (* for two W offices with initial
two-year terms and four (4} for two (0 offices with initial three-year terms. Each
qualified voter shaR vote for six (6} nominees; and the two (0 nominees receiving the
greatest number of votes for each office shaR be elected.- Any baRot containing fewer
than six (&) votes shaR be nuR and void:
(d) Two (2) board members shall be elected at each annual subsequent election
except that three (3) board members shall be elected in 1989 and everv third vear
thereafter. For each election a number of persons equal to twice the number of seats
to be filled shall be nominated. for which four (4) persons shai} be nominated. Each
qualified voter shall vote for a number of nominees equal to the number of seats to be

attempting in good faith to perform his or her duty, or for a decision not to act;
except in instances of fraud or willful neglect of duty.
Section 2. The seventh board member provided for by this ordinance shall
initially be elected by a special election to be conducted not later than June 1, 1988,
filled, two (0 of these nominated for officer The two (2) or three (3) nominees
receiving the greatest number of votes depending upon the number of seats to be
filled, shall be elected as roncommissiener board members and shall serve for three-
year terms.
In the same manner as is provided for the filling of a vacancy In office. The person so
elected shall serve a term ending in 1989, when a successor shall be elected at the
same time as the other board members to be elected in 1989, to serve a term of three
years. Thereafter, the office shall be filled in the same manner as other board
member offices are filled.
Section 3. This ordinance shall take effect immediately upon adoption.

(e) To qualify for service on the this board and to remain qualified for service
on it, the board member shall have his or her principal place of business or
employment in the downtown area or shall hold property in the downtown area.
(f) Any vacancies in office shall be filled after the nomination of at least two
(2) Individuals for that office, and the mailing of ballots to the freeholders in the
downtown area within thirty (30) days of the occurrence of that vacancy.
(g) Each member of the board shall serve without compensation for services
rendered as a member, but may be reimbursed by the board for necessary and
reasonable expenses actually incurred In the performance of duty. The board may
require that all its members or any or all of Its officers or employees be required to
r post bond for faithful performance of duty; the board shall require such bond of all
persons authorized to sign on accounts of the board, and the board shall pay bonding
costs. No member of the board shall be personally liable for any action taken in
