SUBSTITUTE MODIFICATION OF AGREEMENT
THIS SUBSTITUTE MODIFICATION OF AGREEMENT is made and entered
into by and between the DISTRICf BOARD OF TRUSTEES OF ST. PETERSBURG
mNIOR COLLEGE, FLORIDA, P. O. Box 13489, St. Petersburg, Florida 33733,
hereinafter referred to as the "Board", and CLEARWATER POLICE DEPARTMENT,
644 Pierce Street, Clearwater, Florida 34616, hereinafter referred to as the "Provider."
WHEREAS, the Provider will provide training seminars for the St. Petersburg
Junior College - Criminal Justice Institute - Professional Training, on various dates and
locations as will be determined from time-to-time by the parties during the course of this
Agreement.
WHEREAS, the Provider and the Board have heretofore entered into an
Agreement for Professional Training executed by the Provider on August 23, 1994 and
WHEREAS, the Provider and the Board have heretofore entered into a
Modification of said Agreement executed by the Provider on June 30, 1995.
WHEREAS, the parties wish to substitute the terms of said Modification of
Agreement as set forth herein below.
NOW, THEREFORE, in consideration of the premises, the parties agree that the
terms to present St. Petersburg Junior College - Criminal Justice Institute - Professional
Training seminars presented pursuant to this Agreement, as well as all seminars presented
pursuant to the original Agreement between the parties referred to above, shall be
modified ab initio from the date of the original Agreement to provide as follows:
1. Paragraph 3. in the original Agreement under "The Board shall" is hereby
deleted and in substitution thereof, the following shall be substituted and shall be
effective from the date of the original Agreement to provide as follows:
3. The Board shall pay to the Provider through credit to the Provider's Credit
Bank Account, either, an all-inclusive fee for all services provided by the
Provider at the. rate of $.15 per student contact hour plus registration and
special fees for classes held at the Provider's facilities, or an amount equal
to registration and special fees for classes held at the Board's facilities.
Any additional costs for materials, for classes held at the Board's facilities,
shall be deducted from the Provider's Credit Bank Account. Payment
pursuant to this Agreement shall be applicable only to those classes that
have at least ten (10) students per course or that have a total of at least
eighty (80) student contact hours per course. Provider may draw on its
Credit Bank Account toward the registration fees for its employees'
attendance at the Criminal Justice Institute's seminars.
2. The term of the Agreement between the parties is extended and shall expire on
June 30, 1996.

3. This Substitute Modification of Agreement replaces the Modification of
Agreement between the parties executed June 30, 1995.
4. In all other respects, the original Agreement between the parties remains in
full force and effect.

of Agreement on the dates hereinafter stated:

I SUBSTITUTED AGREEMENT I
THIS SUBSTITUTED AGREEMENT is made and entered into by and between the
DISTRICf BOARD OF TRUSTEES OF ST. PETERSBURG JUNIOR COLLEGE, FLORIDA,
Post Office Box 13489, St. Petersburg, Florida, 33733, hereinafter referred to as the "Board," and
CLEARWATER POLICE DEPARTMENT, 644 Pierce Street, Clearwater, Florida 34616,
hereinafter referred to as the "Provider."
WHEREAS, the Provider will provide the instructor(s) for training seminars for the St.
Petersburg Junior College - Criminal Justice Institute - Basic Recruit Academy Training, on
various dates and locations as will be determined from time-t~time by the parties during the course
of this Agreement.
WHEREAS, the Board and the Provider have been operating under an Agreement for Basic
Recruit Academy Training executed by the parties on August 23, 1994, and
WHEREAS, the parties wish to substitute the terms of said Agreement as set forth herein
below.
NOW, THEREFORE, in consideration of the premises, the parties agree that the terms to
present St. Petersburg Junior College - Criminal Justice Institute - Basic Recruit Academy Training
seminars pursuant to this Agreement as well as all seminars presented pursuant to the original
Agreement between the parties referred to above, shall be substituted ab initio from the date of the
original Agreement through June 30, 1996 to provide as follows:
The Provider shall:
1. Provide the instructor(s) for the seminar.
The Board shall:
1. Provide curriculum and coordinate scheduling of seminars and supervise the
training.
2. Maintain and make available all applicable documentation relating to the seminar
such as, but not limited to, schedules, lesson plans, instructor qualifications,
attendance, examination and proficiency reports.
3. Provide overall supervision, direction, and approval of instructors used in the
training seminars.
4. Confirm students, provide support materials, provide ~. classroom, provide visual
aid equipment and prepare and issue certificates of completion and may market the
seminar. The coordinator responsible for the seminar will provide ongoing support
during the seminar and service the student needs. Materials that are to be duplicated
by the College must be received at least three weeks prior to the seminar date.
5. Pay to the Provider, as an all-inclusive fee for all services and materials, if any,
provided by Provider, the College shall credit the Provider's Credit-Bank Account
with the college at a variable rate per contact hour of instruction. The rate would
vary based upon the qualifications and credentials of the instructor(s) as detennined
by the Board. Provider may draw on its Credit-Bank account toward the
regi~tration fees for its employees attendance at Board - Criminal Justice Institute
sermnars.
6. Be responsible for quality control of instruction and course materials and necessary
academic professional expertise.

7. Set the charge it is to receive from students as registration.
TIIA T neither the Board nor the Provider will discriminate in its employment practices or
admission of students on the basis of race, color, religion, age, sex, marital status or national
origin nor will either discriminate against any qualified individual with a disability. The Board and
the Provider recognize that sexual harassment constitutes discrimination on the basis of sex.
1HA T if this Agreement is not renewed or is otherwise terminated, the Provider may draw
from Provider's Credit Bank Account for registration fees for its employees' attendance at St.
Petersburg Junior College - Criminal Justice Institute seminars and courses until the same is
depleted.
1HA T any seminar may be canceled by either party by providing a notice two weeks prior
to the seminar date.
THAT the Provider's instructor shall abide by the Board's rules and procedures and will
sign a statement indicating that she/he will abide by the College's sexual harassment policy.
The term of this Substituted Agreement between the parties is extended and shall expire on
June 30, 1996.

TIllS AGREEMENT is made and entered into by and between the DISlRICf BOARD OF
TRUSTEES OF ST. PETERSBURG JUNIOR COLLEGE, FLORIDA, Post Office Box 13489,
St. Petersburg, Florida, 33733, hereinafter referred to as the "Board," and CLEARWATER

the "Provider."

The term of this Agreement between the parties commenced on July 1, 1994 by virtue of
the fact that the parties have been operating under the terms of this agreement and shall continue
through June 30, 1996.
