BE IT ORDAINED BY THE CITY COMMISSION OF THE CITY OF A? CLEARWATER, FLORIDA: s Section 1. Ordinance No. 3752-84 of the City of Clearwater, Florida, enacted . . on September 20, 1984, is amended in whole to read as follows: "SECTION 1. AUTHORITY FOR THIS ORDINANCE. This ordinance is adopted pursuant to Chapter 166, Part II, Florida S'cacutes, as amended and supplemented, = F and other applicable provisions of law. a SECTION 2. DEFINITIONS. The following terms shall have the following meanings herein, unless the texi.'otherwise expressly requires. Words importing singular' • r number shall include the plural number In each case and vice versa, and words importing persons shall include firms and corporations. "ACT" shall mean Chapter 166, Part 11, Florida Statutes, as amended and supplemented, and other applicable provisions of law. "ADDITIONAL PARITY BONDS" shall mean additional Bonds issued in compliance with the terms, conditions and limitations contained in Subsection 171 hereof which shall have an equal lien on the Pledged Revenues, as herein defined, and rank equally in all respects with the 1984 Bonds initially issued hereunder. _ "AMORTIZATION INSTALLMENT", with respect to any Term Bonds of a lot, . , k. Installment or series, shall mean an amount so designated which is established for the Term Bonds .of such lot, installment or series, provided that (i) each such Amortization Installment shall be due on a principal maturity date of each applicable year and shall be ' an integral multiple of $5,000, and (ii) the aggregate of such Amortization Installments for such lot, installment or series shall equal the aggregate principal amount of Term Bonds of such series authenticated and delivered on original issuance. "BOND SERVICE REQUIREMENT" for any Bond Year, as to the Bonds of any ' lot, installment or series, shall mean the sum of: ? r '' LKL-09/45/84-551A-1897 -1- K. (1) the amount required to pay the interest becoming due on the Bonds of such lot, I stallment or series during such Bond Year, except to the extent that such interest shall have been provided by payments into the Sinking Fund out of Bond proceeds for a specified period of time; (2) the amount required to pay the principal of Serial Bonds of such lot, Installment or series maturing in such Bond Year; and (3) the Amortization Installment for the Term Bonds of such lot, installment or series for such Bond Year. In computing the Bond Service Requirement for any Bond Year for tha Bonds of any lot, installment or series, the Issuer shall assume that an amount of the Term Bonds of such lot, installment or series equal to the Amortization Installment for the Term Bonds of such lot, installment or series for such Bond Year will be retired by purchase or redemption In such Bond Year. When determining the amount of principal of and interest on the Bonds of any lot, installment or series which matures In any Bond Year, the stated maturity date of Term Bonds shall be disregarded, and, the Amortization Installment, if - any, applicable to Term Bonds in such Bond Year shall be deemed to mature In such year. "BOND YEAR" shall mean the twelve month period ending on a principal maturity date for a portion of the Bonds. "BONDHOLDER" shall mean a registered owner of a -Bond as shown on the registration booKs of the Registrar. "BONDS" shall mean the Capital Improvement Revenue Bonds, Series 1984 herein authorized to be issued (the ."1984 Bonds"), together with any Additional Parity Bonds hereafter issued under the terms, conditions and limitations contained herein. "CITY REPRESENTATIVE" shall mean (1) such qualified and recognized consulting engineers, other consultants and architects having a favorable reputation from time to time retained by the'Issuer, or (2) such qualified official of the Issuer duly designated, to perform the acts and carry out the duties as herein provided for such consulting engineers, consultants and architects. "FISCAL YEAR" shall mean the twelve month period ending on September 30 of each year, or otherwise as provided by law. "GUARANTEED ENTITLEMENT FUNDS" shall mean the guaranteed entitlement portion of the revenue sharing trust funds of the State of Florida as defined in and distributable to the Issuer pursuant to Chapter 218, Florida Statutes. "INVESTMENT EARNINGS" shall mean all investment income derived from Investment of funds held under this Ordinance, until otherwise applied as provided herein. "ISSUER' shall mean the City of Clearwatar, Florida. "MAX MUM BOND SERVICE REQUIREMENT" shall mean, as of any particular date of calculation, the greatest amount of aggregate Bond Service Requirements for all of the outstanding Bonds for the then current or any future Bond Year. "OBLIGATIONS OF THE UNITED STATES OF AMERICA" shall mean direct obligations thereof, obligations of Public Housing Authorities or obligations of the several agencies of the United States of America which in the opinion of the Attorney General of the United States are full faith and credit obligations thereof. "PLEDGED REVENUES" shall mean the Guaranteed Entitlement Funds, Investment Earnings, and Sales Tax Revenues, all as defined herein, "PROJECT" shall mean the acquisition of approximately 9.5 acres of real property for construction thereon of a vehicle maintenance facility for use by the Issuer. "REGISTRAR" shall mean the paying agent for the Bonds, as Bond Registrar, or such other person, firm or corporation as may thereafter be from time to time designated by the Issuer as the Registrar for the Bonds. "SALES TAX REVENUES" shall mean the proceeds of. the local government half-cent sales tax, as defined and described in, and distributed to the Issuer under, Part VI, Chapter 218, Florida Statutes. "SERIAL BONDS" shall mean the Bonds of a lot, installment or series, which shall be stated to mature In annual Installments. "TERM BONDS" shall mean the Bonds of a lot, installment or series all of which shall be stated to mature on one date and which shall be subject to mandatory redemption by operation of the Bond Amortization Fund. "UTMITI S TAX REVENUES" shall mean the proceeds of the public service tax levied by the Issuer under authority of Sections 166.231 and 166.232, Florida Statutes (1983) and its predecessor laws. "UTILiTiLS TAX BONDS" shall mean the Issuer's Utilities Tax and Bridge Revenue Bonds, Series 1977, the Issuer's Utilities Tax Revenue Bonds, Series 1977, all additonal bonds issued hereafter on a parity with either such issue, and all bonds issued hereafter for the purpose of refunding all or a part of such bonds or additional bonds. The Issuer is authorized to undertake the Project and to finance the Project and the Issuer is further authorized to use its Pledged Revenues to pay the principal of and interest on the Bonds and to use the proceeds of the 1984 Bonds to f lnance the cost of the Project. B. It is necessary and desirable to undertake the Project, as provided hbrein, in order to preserve and protect the public health, safety and welfare of the inhabitants of the Issuer, C. The Pledged Revenues, as defined, are not now pledged or encumbered in any manner. The Utilities Tax Revenues, as defined, are pledged only for payment of the Issuer's Utilities Tax Bonds, as defined. D. The estimated Pledged Revenues and Utilities Tar. Revenues will be sufficient to pny all of the principal of and interest on the 1984 Bonds to be issued hereunder, as the same become due, and to make all required sinking fund, reserve and other payments. L The principal of and interest on the Bonds and all required sinking fund, reserve and other payments shall be payable solely from the Pledged Revenues and Utilities Tax Revenues, as herein provided. The Issuer shall never be required to levy ad valorem, taxes on any property therein to pay the principal of and interest on the Bonds or to make any of the required sinking fund, reserve or other payments, or for the other purposes as provided herein, and such Bonds shall not constitute a lien upon any property of or in the Issuer. SECTION 4. AUTHORIZATION OF ACQUISMON OF PROJECT. There is hereby authorized the acquisition of the Project pursuant to the plans and specifications on file or to be on file with the Issuer. BEC770M 5. THIS ORDINANCE TO CONSTITUTE CONTRA=, In consid- eration of the acceptance of the Bonds authorized to be issued herdunder by those who shall hold the same from time to time, this Ordinance shall be deemed to be and shall constitute a contract between the Issuer and such holders. The covenants and agreements herein set forth to be performed by the Issuer shall be for the equal benefit, protection and security of the legal holders of any and all of the Bonds, all of which shall be of equal rank and without preference, priority or distinction of any of the Bonds over any other thereof, except as expressly provided therein and herein. SECTION G. AUTH01MA77ON OF BONDS. Subject and pursuant to the provisions hereof, obligations of the Issuer to be known as "Capital Improvement Revenue Bonds, Series 1984", herein defined as the "1984 Bands", are authorized to be Issued In the aggregate principal amount of Six Hundred Forty Thousand Dollars ($840,000). SECTION 7. DESCRIPTION OF 1984 BONDS. The 1984 Bonds shall be dated as of their date of delivery; shall be designated "R- " and numbered consecutively from one upward in order of authentication; shall be In the denominations of $100,000, registered to J. Fred Campbell, Jr., $105,000 registered to F.B. Crews, and $435000 registered to W.M. Campbell; shall bear interest at the rate of 9.5% per annum, based on a 360 day year, such interest to be payabl9 quarterly on. the anniversary day of the date of delivery of the 1984 Bonds in the months of February, May, August and November of'each year, commencing February, 1985, and shall mature in equal principal amounts an the monthly anniversary day of the date of delivery of the 1984 Bonds in the month of November in each of the years 1985 through 1994. The 1984 Bonds shall bear Interest from their date or from the most recent interest payment date to which Interest has been paid, until payment of the principal sum. .The Bonds shall be issued In fully registered form, payable as to principal and premium, if any, upon presentation and surrender thereof on* the date fixed for maturity or redemption thereof at the office of the Issuer's Director of Finance. Interest on each fully rpofatered Bond shall be paid by check or draft mailed to the person In whose name the Bond Is registered, at his or her address as it appears on the Bond Register maintained by the Issuer's Director of Finance, as Bond Registrar, on the interest Payment Date (the "Record Date'% Irrespective of any transfer of such Bond subsequent to.such Record Date and prior to such interest Payment Date, unless the Issuer shall be in default in payment of interest due on such interest Payment Date. Such notice shall be mailed to the person in whose name such Bond is registered at the close of business on the fifth (5th) day preceding the date of mailing. All payments shall be made in accordance with and pursuant to the terms of this Ordinance and the Bonds and shall be payable in any coin or currency of the United States of America which, at the time of payment Is legal tender for the payment of public or private debts. No Bond shall be valid or become obligatory for any purpose or be entitled to any security or benefit under the. Ordinance until the certificate of authentication endorsed on the Bond shall have been duly signed by the Issuer's Director of Finance, as Bond Registrar. If the date for payment of the principal of, premium, If any, or interest on the Bonds shall be a Saturday, Sunday, legal holiday or a day on which the banking institutions in the Issuer is located are authorized by law or executive order to close, then the date for such payment shall be the next succeeding day which is not a Saturday, Sunday or legal holiday or a day on which such banking institutions are authorized to close, and payment on such date shall have the same force and effect as if made on the nominal date of payment. SEC'T'ION 8. EXECUTION OIL BONDS. The Bonds shall be executed in the name offthe tiiuer by the Mayor-Commissioner and City Manager and attested by the City Clerk, and approved as to form, sufficiency and correctness by the City Attorney, either manually or with his facsimile signature, and the official seal of the Issuer or a facsimile thereof shall be affixed thereto or reproduced thereon. The facsimile signature of such officers may be imprinted or reproduced on the Bonds. The Certificate of Authentication of the Bond Registrar shall appear on the Bonds, and no bond shall be valid or obligatory for any purpose or be entitled to any security or benefit under this Ordinance unless such certificate shall have been duly executed on such Bond. The authorized signature for the Bond Registrar shall be either manual or facsimile; provided, however, that at least one of the signatures appearing on the Bonds, shall at all times be a manual signature. SECTION 9. NEGOTLABILM. The Bonds shall not have any qualities or r incidents of negotiable instruments under the laws of the State of Florida and shall be non-negotiable. SECTION 19. REGISTRATION, EXCHANGE AND TRANSFER. There shall be a Bond Registrar for the Bonds which shall be the Issuer's Director of Finance. The Bond Registrar shall maintain the registration books of the Issuer and be responsible for the transfer and exchange of the Bonds. The Bond Registrar shall maintain the books for the registration of the transfer and exchange of the Bonds in compliance with the Florida Registered Public Obligations Act and the system of registration as established by the Issuer pursuant thereto. Bonds may be transferred upon the registration books, upon delivery to the Registrar, together with written instructions as to the details of the transfer of such Bonds, along with the social security number or federal employer identification number of such transferee and, if such transferee is a trust, the name and social security or federal F employer identification numbers of the settlor and beneficiaries of the trust, the date of the trust and the name of the trustee. No transfer of any Bond shall be effective until (I) approved by the governing body of the Issuer, and (ii) entered on the registration books maintained by the Bond Registrar. Upon surrender for transfer or exchange of any Bond, the Issuer shall execute and the Bond Registrar shall authenticate and deliver in the name of the registered owner r? i. or the transferee or transferees, as the case may be, a new fully registered Bond or Bonds of authorized denominations of the same maturity and interest rate for the aggregate principal amount which the registered owner is entitled to receive at the earliest ' practicable time in accordance with the provisions of this Ordinance. Notwithstanding the foregoing provisions of this section, the Issuer reserves the right, on or prior to the delivery of the Bonds to amend or modify the foregoing' provisions relating to the registration of the Bonds by resolution or ordinance in order to comply -with all applicable laws, rules, and regulations of the United States and/or the State of Florida relating thereto. SECTION 11. BONDS MUM ATED, DESTROYED, STOLEN OR LOST. The Bonds shall not be or constitute a general Indebtedness of the Issuer or a pledge of its full faith, credit or taxing power within the meaning of any constitutional or statutory provision or limitation, but small be payable solely from and secured by a lien upon and a pledge o' the Pledged Revenues and Utilities Tax Revenues as herein provided. PAYMENT OF BONDS. in payment for the Bonds, the Issuer shall receive title to certain real property described in the "Contract for Sale and Purchase" dated as of October 1C, 1984, between the Issuer and Campbell Paving Company, Inc., free and clear of any liens and Incumbrances. SECTION 17. COVENANTS OF THE ISSUER.. For as long as any of the principal of and interest on any of the Bonds shall be outstanding and unpaid or until provision has been made for such payment under Section 18 hereof, the Issuer covenants with the,holders of any and all Bonds as follows: A. ANNUAL APPROPRIATION. The Issuer will set up and appropriate in the annual budget for expenditure in each of the Fiscal Years during which the Bonds thereon are outstanding and unpaid, from the Pledged Revenues, and, if necessary, from available. C. DISPOSITION OF REVENUES. The balance of the Utilities Tax Revenues received In each month shall be applied first to make up any deficiencies Id the required deposits under subparagraphs (1) through (3) of this Subsection 17C, and thereafter may be used for any lawful purpose. (6) The Sinking Fund, Bond Amortization Account and any other special funds herein established and created shall constitute trust funds for the purposes provided herein for such funds. All such funds shall be continuously secured in the manner by which the deposit of public funds are authorized to be secured by the laws of the State of Florida. Moneys on deposit in the Sinking Fund may be invested and reinvested in obligations of the United States of America or placed in time deposits in banks or trust companies represented by certificates of deposit and continuously secured as provided by the laws of the State of Florida maturing not later than the date on which the moneys therein will be needed. Any and ell income received by the Issuer from such investments shall be deposited into the Sinking Fund. + (7) The cash required to be accounted for In each of the foregoing funds and accounts established herein may be deposited in a single bank account, and funds allocated to the various accounts established herein may be invested in a common Investment pool, provided that adequate accounting records are maintained to reflect and control the restricted allocation of the cash on deposit therein and such investments for the various purposes of such funds and accounts as herein provided. (8) The designation and establishment of the various funds in and by this Ordinance shall not be construed to require the establishment of any completely independent, self-balancing funds as such term is commonly defined and used in governmental accounting, but rather is Intended solely to constitute an earmarking of certain revenues for certain purposes and to establish certain priorities for application of such revenues as herein provided. D. BOOKS AND RECORDS. ANNUAL AUDIT. The Issuer shall also, at least oncq a year, cause the books, records and accounts relating to the total annual budget of the Issuer Including the Pledged Revenues and Utilities Tax Revenues to be properly audited by a recognized independent firm of certified public accountants, and shall make generally available the report of such audits to any Bondholder. P. REMEDIES. Any Bondholder of Bonds issued under the provisions hereof or any trustee acting for the holders of such Bonds may by suit, action, mandamus or other proceedings in any court of competent jurisdiction, protect and enforce any and all rights, including the right to the appointment of a receiver, existing under the laws of the State of Florida, or granted and contained herein, and may enforce and compel the performance of all duties herein required or by any applicable statutes to be performed by the Issuer or by any off leer thereof. Nothing herein, however, shall be construed to grant to any holder of the Bonds any lien on any real or personal property of the Issuer, or any right to require or compel the levy of ad valorem taxes by the Issuer for any purpose. 0. OPERATING BUDGET. bi accordance with law, the Issuer shall annual- ly, preceding each of its Fiscal Years, prepare and adopt a detailed budget of the estimated revenues and expenditures during such next succeeding Fiscal Year, which budget may be amended from time to time in accordance with law. The Issuer shall mail copies of its annual budget to any Bondholder who shall file his address with the Issuer and request In writing that a copy be furnished him and shall make such budget available at all reasonable times to any Holder of Bonds or to anyone acting for and on behalf of such Holder. H. ISSUANCE OF OTHER OBLIGATIONS. The Issuer will not issue any other obligations, except under the conditions and in the manner provided herein, payable from the Pledged Revenues or Utilities Tax Revenues or any portion thereof, nor voluntarily create or cause to be created any debt, lien, pledge, assignment, encumbrance or other charge having priority to or being on a parity with the lien of the Bonds and the interest thereon, upon the Pledged Revenues or Utilities Tax Revenues, except for Utilities Tax Bonds as herein defined. No Additional Parity k Bonds, payable on a parity from the Pledged Revenues or Utilities Tax Revenues with the 1984 Bonds shall be issued after the Issuance of any 1984 Bonds, oxcept for the ?. construction and acquisition of additional capital projects of the Issuer or for refunding purposes and except upon the conditions and In the manner herein provided: •tS (1) There shall have been prepared and accepted by the governing body of " the Issuer a .report by the City Representative, based In part on reports of others as o necessary, setting forth the established capital costs of proposed projects; schedules of construction and debt services; projected annual expenses of operation and maintenance of the projects; the estimated annual costs of renewals, replacements, and additions thereto; and the estimated annual revenues from any revenue producing facilities proposed to be constructed or acquired from the proceeds of the Additional Parity Bonds. (2) There sh3ll have been obtained and filed with the Issuer a certificate of an Independent certified public accountant of suitable experience and responsibility; (a) stating that the books and records of the Issuer relating to the collection and receipt of a' w' Pledged Revenues and Utilities Tax Revenues have been audited by him; (b) setting forth the amount of Pledged Revenues and Utilities Tax Revenues, as defined herein, received i by the Issuer for any twelve consecutive months within the eighteen months immediately f preceding the date of delivery of such Additional Parity Bonds with respect to which, the t certificate is made; (c) stating that the Pledged Revenues and Utilities Tax Revenues w t received by the Issuer for such twelve month period equals at least 1.50 times the Maximum Bond Service Requirement on (i) all 1984 Bonds and all Additional Parity Bonds, if any, then outstanding and (ii) the Additional Parity Bonds with respect to which-the certificate is made; and (d) stating that the Utilities Tax Revenues, Sales Tax Revenues and the Guaranteed Entitlement Funds received by the Issuer for such 12 month period will equal at least 100% of the Maximum Bond Service Requirement on (1) all 1984 Bonds and all Additional Parity Bonds, if any, then outstanding and (ii) the Additional Parity Bonds with respect to which the certificate is made. "r: ?i'"',:r?? ,i ''Til h.? ?+„b.? .•1 'r '1 • A " r (3) There shall have been prepared and filed with the Issuer a certificate of the Finance Director of the Issuer (a) stating that the Pledged Revenues and Utilities Tax Revenues estimated to be available during the current Fiscal Year In which the Additional Parity Bonds will be Issued will equal at least 1.50 times the Maximum Bond Service Requirement on (1) all 1984 Bonds and all Additional Parity Bonds, if any, then outstanding and (11) the Additional'Parity Bonds with respect to which the certificate is made, and (b) stating that. the Utilities Tax Revenues, Sales Tax Revenues and the Guaranteed Entitlement Funds estimated to be available during such current Fiscal Year will equal at least 100% of the Maximum Bond Service Requirement on (1) all 1984 Bonds and all Additional Parity Bonds, if any, then outstanding, and (ii) the Additional Parity Bonds with respect to which the certificate is made. (4) There shall have been prepared and filed with the Issuer a certificate of the Finance Director of the Issuer estimating that the annual budget of the Issuer for the current Fiscal Year In which the Additional Parity Bonds will be issued, adjusted in accordance with sound accounting principles, will be sufficient to pay all expenses to be incurred in,-the operation of the Issuer and to pay the Maximum Bond Service Requirement becoming due on (I) all 1984 Bonds and all Additional Parity Bonds, if any, then outstanding and (if) the Additional Parity Bonds with respect to which the certificate is made. (5) Each resolution or ordinance authorizing the Issuance of Additional Parity Bonds will recite that all'of the covenants herein contained will be applicable to the Additional Parity Bonds. (6) The Issuer shall not be in default in performing any of the covenants and obligations assumed hereunder, and all payments herein required to have been made into the accounts and funds, as provided hereunder, shall have been made to the full extent required. (7) The attorney for the Issuer shall certify that he has no knowledge of any legislation or litigation which would materially, prevent the Issuer from budgeting and appropriating sufficient funds to meet the requirements of this Ordinance and any other ordinance or resolution authorizing obligations payable from all or any part of the Pledged Revenues or Utilities Tax Revenues. (8) The Additional Parity Bonds shall bear Interest payable semiannually, and shall mature, on one or more of the anniversary dates of the interest payment dates for the 1984 Bonds. J. COMPLETION OF PROJECT. The Issuer will acquire the Project in an economical and efficient manner and with all practicable dispatch. K. ARBITRAGE. The Issuer at all times while the Bonds and the Interest thereon are outstanding will comply with the requirements of Section 103(c) of the Internal Revenue Code of 1954 and any valid and applicable rules and regulations promulgated thereunder. L. ' NO IMPAIRMENT. The pledging of the Pledged Revenues and Utilities Tax Revenues in the manner provided herein shall not be subject to repeal, modification or impairment by any subsequent ordinance, resolution or other proceedings of the governing body of the Issuer or by any subsequent act of the Legislature of Florida enacted after date of issuance of the 1984 Bonds. M. ENTITLEMENT TO SALES TAX REVENUES AND GUARANTEED ENTITLEMENT FUNDS. The Issuer will take all lawful action necessary or required to continue to entitle the Issuer to receive the Utilities Tax Revenues, Sales Tax Revenues and Guaranteed Entitlement Funds in the maximum amount provided by law and will take no action which will impair or adversely affect its receipt of Utilities Tax Revenues, Sales Tax Revenues and Guaranteed Entitlement Funds. SECTION 18. DEFEASANCE. If,, at any time, the Issuer shall have paid, or shall have made provision for * payment . of, the principal, interest and redemption premiums, if any, with respect to the Bonds, then, and in that event, the pledge of and lien on the Pledged Revenues and Utilities Tax Revenues in favor of the Holders of the Bonds shall be no longer in effect. For purposes of the preceding sentence,, deposit of cash or Obligations of the United States of America or bank certificates of deposit fully secured as to principal and interest by Obligations of the United States of America (or deposit of any other securities or investments which may be authorized by law from time to time and sufficient under such law to effect such a defeasance) In irrevocable trust with a banking institution or trust company, for the sole benefit of the Bondholders, the principal of which, together with the Income thereon, and the uninvested cash, will be sufficient to make timely payment of the principal, interest, and redemption premiums, if any, on the outstanding Bonds, shall -be considered "provision for payment." Nothing herein shall be deemed to require the Issuer to call any of the outstanding Bonds for redemption prior to maturity purl scant to any applicable optional redemption provisions, or to impair the discretion of the Issuer in determining whether to exercise .any, such option for early redemption. No material adverse modification or amendment of this Ordinance or of any ordinance or resolutlon amenda- tory hereof or supplemental hereto, may be made without the consent in writing of the holders of two-thirds or more in principal amount of the Bonds then outstanding; provided, however, that no modification or amendment shall permit a change in the Maturity of such Bonds or a reduction in the rate of Interest thereon, or In the amount of the principal amount of the Bonds then outstanding, or affecting the unconditional promise of the Issuer to pay the principal of and interest on the Bonds as the same shall come due from the Pledged Revenues or Utilities Tax Revenues or reduce the percentage of the Holders of the Bonds required to consent to any., material modification or amendment hereof without the consent In writing of the Holder or Holders of all such Bonds. SECTION 20. SEVERABILITY OF INVALID PROVISIONS. If any one or more of the covenants, agreements or provisions herein contained shall be held contrary to any express provision of law or contrary to the policy of express law, though not expressly prohibited, or against public policy, cr shall for any reason whatsoever be held Invalld, then such covenants, agreements or provisions shall be null and void and shall be deemed separable from the remaining covenants, agreements or provisions and shall in no way affect the validity of any of tho other provisions hereof or of the Bonds issued, hereunder. SECTION 21. AWARD OF BONDS. The Issuer hereby finds, determines and declares that it is in its best interest to issue the 1984 Bonds contemplated hereby and upon Ahe conditions set forth herein and in the Sale and Purchase Contract more particularly described below. The negotiated sale of the principal amount of 1984 Bonds stated in the title of this Ordinance and in the Sale and Purchase Contract is hereby authorized pursuant to Section 218.385, Florida Statutes. The Issuer acknowledges receipt of the information required by Section 218.385, Florida Statutes, J n connection with negotiated sale of bonds. A copy of the Purchaser's letter containing the required information is attached to this Ordinance as Exhibit "B". SECTION 22. BALE OF 1984 BONDS, The 1984 Bonds shall be issued and sold to the parties listed as Registered Holders, in such denominations and payable at such rate, and maturipg on such date as more particularly . set forth in Section 7 of this Ordinance. The purchase price for the 1984 Bonds is clear and unencumbered title to a tract of land as described in the Contract for Sale and Purchase (the "Sale and Purchase Contract") dated as of October 10, 1884, attached hereto as Exhibit "A" and made a part hereof, between the Issuer and Campbell Paving Company, Inc. The Mayor-Commissioner, City Clerk, City Manager, and City Attorney for the Issuer are each designated agents of the Issuer in connection with the Issuanee and delivery of the 1984 Bonds, and are authorized and empowered, collectively or individually, to take. all action and steps to execute and delivery any aid all instruments,; documents or contracts on behalf of the Issuer which are necessary or desirable In connection with the execution and delivery of the 1984 Bonds and which are not inconsistent with the terms and provisions of this Ordinance and other actions relating to the 1984 Bonds heretofore taken by the Issuer. SECTION 24. REPEALING CLAUSE. All ordinances and resolutions or parts thereof of the Issuer In conflict with the provisions herein contained are, to the extent of such conflict, hereby superseded and repealed. SECTION 25.
