ARTWORK DISPLAY IMAGES OF THE CENTURY/MSB ~ ART IN PUBLIC FACILITIES AGREEMENT THIS AGREEMENT made and entered into as of the JL day of OC~W , 1999, by and b~ en the CITY OF CLEARWATER, hereinafter called the "City" and . VI (' ;p-hereinafter referred to as "Sponsor". vY WITNESSETH: WHEREAS, Sponsor desires to introduce art into public facilities owned/maintained by the City; and, WHEREAS, City has determined that the introduction of art into said public facility is considered to be in the public interest; and WHEREAS, mutual cooperation between the Sponsor and the City is necessary to ensure that the art to be introduced will be properly installed and maintained. NOW THEREFORE, in consideration of the premises and the mutual benefits flowing from each party to the other, the parties agree as follows: 1. 2. lot) Sponsor may display the artwork.described in Exhibit "~' onto the City's facility located at )0'05. Either party may terminate this Agreement with ten (10) day's written notice to the other party. 3. The plans, exact location for the art work, scope of coverage, graphics design, material specifications, application methods, and maintenance plan for the art work shall be submitted by Sponsor and shall be subject to prior approval by the City. 4. The art work shall not extend beyond the limits described in this Agreement, and shall not, in the sole opinion of the City, constitute a distraction or danger to the public, nor degrade the functionality, service life, or structural integrity of the City's facility. 5. Sponsor agrees to maintain the art work throughout the term of this Agreement. Should the artwork become worn, illegible, unsightly, offensive, damaged or defaced, Sponsor will be notified and immediately repair or remove the artwork. Should the Sponsor fail to repair or remove the art work the City may repair, or remove the art work and Sponsor agrees to reimburse the City for such reasonable costs and expenses expended therein. 6.
