. THIS AGREEMENT is entered into this

, 1981 between the City of Clearwater, Florida
(hereinafter referred to as City) and Quest Inn, Inc. (hereinafter
referred to as Quest Inn) and provides as follows:
WHEREAS, the City has successfully applied for a
Community Development Block Grant from the u.S. Department of
Housin~ and Urban Development to provide funds, inter alia, for
the rehabilitation of an emergency housing facility opera.ted by
~
Quest Inn within Clearwater, Florida, and
WHEREAS, the City is willing to fund such repairs and
improvements as a joint undertaking with Pinellas County, Florida,
whereby the City will .fund $50,30Q.00 and Pinellas County will fund
$120,843.73 of the cost thereof, and
WHEREAS, the pa.rti es hereto entered into' an agreeme.nt dated
March 24, 1981, providing for the payment of up to $78,143.73 for
such repair and improvements, which said sum the parties h.ereto
have agreed to increase to $171,143.73, contingent upon HUO re-
lease of funds budgeted for this project in the 1981 COBG Applica-
tions.
NOW, THEREFORE, in consideration of the mutual covenants
and agreements hereinafter stated the p.arti es here-to. agree as
follows:
1.
The City shalT provide to Que.st In~, solely from its
Communi ty Development Funds ".'the maximum sum of Fi fty Thousand
and Three Hundrec;t DoTlars ($50,300.00), and an additional sum,'not
to exceed $120,843..73 solely from the Communi ty Development Funds
of Pinellas County, Florida. for a total sum of $171.143.73.. con-
tingent upon HUO release of funds budgeted for this project in
the 1981 COBG Appl i cati ons, 'su.bJect to and in accordance \i th the
provisions of this agreement and in express reliance on the warranty
of Quest Inn that such funds will be used exclusively for the repair.

all expenditures of said funds will be in acc.ordance with the
pro.visions. of the Housing and Community Development Act of 1974,
as. amended.and all rules and reulations pertaining thereto.
II. As funds are required by Quest Inn for the purposes
provided herein~ Quest Inn may present to the City written re-
quests for the amounts of Community Development Funds required.
Each such request shall contai~ the certification that all appli-
cabre federal" state and local laws, regulations and ordinances
have been complied with in committing said funds. Upon receiving
any such requests in proper form, the City shall duly requisition
'from the United States Department of Housing and Urban Development
and from Pinellas County, Florida, the amount so requested and when
such amount is credited to the' City.s Community Development Funds,
the. City shall pay. over that amount to Quest Inn.

costs of Quest Inn.
IV. All records pertaining to this project shall be retained
by Quest Inn for such period as requir~d by applicable laws and
regulations and may thereafter be destroyed only with the prior
written approval of the City and Pinellas County, Florida. All
records shall be available for audit by representatives of the City
and Pinellas County, Florida, and other agencies responsible for
compliance with applicabre laws and regulations.
IN WITNESS WHEREO'F, the City and Quest Inn have executed
this Agreement as of the date first above written.
