This Completion Certificate ("Certificate") is made this day of
?cog, by and between the COMMUNITY REDEVELOPMENT AGENCY
OF THE CITY OF CLEARWATER, FLORIDA, a public body corporate and politic of the State
of Florida (the "Agency"), whose address is 112 S. Osceola Avenue, Clearwater, FL 32521, and
CLEARWATER HOSPITALITY PROPERTIES, L.L.C., a Delaware limited liability company
(the "Developer").
This Certificate pertains to an Agreement for Development and Disposition of
Property (Court Street Residence Inn), by and between the Agency and the Developer, dated as of
June 22, 2007 (the "Development Agreement"), which provides, among other things, for the
development and construction of the Court Street Residence Inn Project, within a project site as
described in Exhibit "A" attached hereto and made a part hereof, as same are defined in the
Development Agreement.
As provided in Article 5 of the Development Agreement, the construction and
installation of the Court Street Residence Inn has been completed substantially in accordance
with the requirements of the Development Agreement and such improvements are substantially
complete. The parties hereto acknowledge and agree that such Project has been so completed
and have executed this Certificate as conclusive determination of such completion and
satisfaction of the Developer's obligation under the Development Agreement to construct and
install such Project.
A copy of the fully-executed Development Agreement is on file with the City
Clerk, City of Clearwater, Florida, located at City Hall, 112 S. Osceola Avenue, Clearwater,
Florida, which is available for review and copying by the public. A copy of the Court Street
Residence Inn Project Plans and Specifications is on file with the City Engineer, City of
Clearwater, Florida, located at City Hall, 112 S. Osceola Avenue, Clearwater, Florida, which is
available for review and copying by the public.
