A RESOLUTION AUTHORIZING THE EXECUTION AND
~ELIVERY BY THE CITY OF CLEARWATER, FLORrOA,'
OF A LETTER OF INTENT AND INDUCEMENT AGREE-
HENT TO FRANK C. KUNNEN, JR. WITH RESPECT TO
THE ISSUER' 5 ISSUANCE Oi" REVENUE DONDS IN THE
AGGREGATE PRINCIPAL AMOUNT NOT TO' EXCEED
$9,000,000.00 TO FINANCE 1\ COMHERCIAL PROJECT
(CLEARWATER '19' INDUSTRIAL PARK).

FLORIDA, IN SESSION DULY AND REGULARLY ASSEMBLED, AS FOLLOWS:

Section 1. AUTHORITY FOR THIS RESOLUTION. This resolu-
tion is adopted pursuant to the provisions of Part II, Chapter
159, Florida Statutes (the "Act"), and other applicable pro-
visions of law.
Section 2. FINDINGS. It is hereby ascertained, de-
termined and declared as follows:
A. The City of Clearwater, Florida (the "Issuer"), is
authorized by the Act to make and execute financing agreements,
contracts, deeds and other instruments necessary or convenient
for the purpose of facilitating the financing of the construction
of a commercial project (an industrial park), including buildings
and facilities related thereto, to the end that the Issuer may be
able to promote the economic growth of the State, of Florida,
increase opportunities for gainful employment and otherwise
contribute to the welfare of the State of Florida and its inhabi-
tants, and to finance the cost of such projects by the issuance
of its revenue bonds.
B. Frank C. Kunnen, Jr. (IIKunnentt) or his assigns wishes
to construct, in phases, a faci Ii ty composed of buildings with
retail, office, and office/warehouse space on real property
located at 600-700 U.S. Highway 19 North, Clearwater, Florida, to
be known as "Clearwater '19' Indusbrial Park" (the "Park").
Kunnen expects to lease the buildings to local businesses engaged
in industrial manufacturing, warehousing and/or distribution
enterprises as well as other combinations of the projects defined
under Section 159.27(5) of the Act. Kunnen will construct the
buildings in three or four phases and seek to have a bond or
bonds issued after construction of each phase to reimburse him
for construction costs. All phases of construction will be
completed and all bonds issued within five (5) years of the
effective date of the proposal detailed in the Inducement Letter
attached as Exhibit A to this Resolution. The facilities will
then be leased and the revenues from the lessees pledged to repay
the bonds. At the time an application is made for issuance of
bonds to reimburse construction costs, Kunnen or his assigns will
certify to the Issuer that all prospective or actual tenants'~i}l
operate facilities specifically permitted under Florida Statut~s
Section 159 or other applicable laws. At the time that Kunnen
requests the Issuer to issue a bond or bonds to reimburse him for
construction costs of a phase of the Park, the Issuer must be
reasonably satisfied as to the financial feasibility of the Park
and shall be under no obligation to issue bonds if not reasonably
satisfied. Kunnen is requesting that the Issuer indicate to
Kunnen its intentions in the above respects in order to induce
Kunnen to proceed with the Park and incur expenses for its
initiation and i~s financing and by this resolution take affirma-
tive official actio~ toward the issuance of such bonds within the
meaning of Section 1.102-8(a) (5) of the Internal Revenue Service
Regulations, as amended, pertaining to Industrial Development
Bonds.

C. The location of the Park in the Issuer's area of
operation shall make a significant contribution to the economic
growth of the area of operation of the Issuer, shall provide
gainful employment, shall advance the economic prosperity, and
shall serve a public purpose by improving the general welfare of
the state of Florida and its people.
D. Giving due regard to the financial strength of Runnen
(as demonstrated by evidence deemed satisfactory to the Issuer
which has been previously furnished) and all other factors
determinative of Kunncn's capabilities, financial and otherwise,
of fulfilling his obligations consistently with the purposes of
the Act, Runnen is financially responsible and fully capable and
willing to fulfill his obligations under the proposed Loan
Agreement (hereinafter defined), including the obligation to pay
the installments upon the loan in the amounts and at the times
required and the Obligation to repair and maintain at his own
expense the Park, and Kunnen is desirous of serving the purposes
of the Act and is willing and capable of fully performing all
other obligations and responsibilities imposed upon it by the
Loan Agreement.
E. The I~suer is able to cope satisfactorily with the
impact of the Park, and all the necessary public facilities,
utilities and services that will be necessary for the operation,
repair, improvement and maintenance of the Park and on account of
any increase in popUlation or other circumstances resulting by
reason of the location of the Park within the area of operation
of the Issuer are available now or can be provided when needed.
F. Kunnen has represented that the proceeds from the
issuance of bonds by the Issuer will be loaned to Kunnen pursuant
to separate Loan Agreements to be entered into between the Issuer
and Kunnen (collectively, the "Loan Agreement"). Adequate
provision will be made under the provisions of the Loan Agreement
for the repair and maintenance of the Park at the expense of
Kunnen, and for the payment of the principal of and redemption
premium, if any, and interest on the bonds.
G. The principal of and premium, if any, and interest on
the bonds and all payments required under the proposed Loan
Agreement and the trust indenture securing the bonds shall be
payable solely from the proceeds derived by the Issuer under the
proposed Loan Agreement, and the Issuer shall never be required
to (i) levy ad valorem taxes on any property within its area of
operation to pay the principal of and premium, if any, and
interest on the bonds or to make any other payments provided for
under the proposed Loan Agreement or the trust indenture, or (ii)
pay the same from any funds of the Issuer other than those
derived by the Issuer under the proposed Loan Agreement; and such
bonds shall not constitute a lien upon any property owned by or
situated within the area of operation of the Issuer except the
Park. Neither the faith and credit nor the taxing power of the
Issuer or of the State of Florida or any political subdivision
thereof shall be pledged to the payment of the bonds.
H. Runnen's performance of his obligations, financial and
otherwise, under the Loan Agreement shall be secured by mortgage
liens on the real property.
I. The Issuer will receive an opinion of acceptable bond
counsel that the interest on the bonds will be exempt from
federal income taxation under existing laws of the United States
at the closing of the bond issue.
Section 3. AUTHORIZATION OF EXECUTION AND DELIVERY OF
INDUCEMENT LETTER. The Mayor-Conwissioner and the City Manager
of Issuer are hereby authorized to execute, and the City Clerk of
the Issuer is hereby authorized to attest to, the Issuer's letter

or letters addressed to Kunnen in substantially the form attached
to this Resolution as Exhibit A and incorporated herein, with
such cbanges therein, whether made prior to the execution thereof
or thereafter, as shall be approved from time to time by such
officers executing the same, such approval to be conclusively
evidenced by their execution thereof.
Such officers and all other officers and employees of the
Issuer are hereby authorized to execute such further agreements
and take such further action as shall be necessary to carry out
the intent and purposes expressed in such letter attached as
Exhibit A, upon becoming an agreement on its ex~pution by Kunnen,
and are further authorized to take such other steps and actions
as may be required and necessary in order to issue such.bonds.
Section 4. EFFECTIVE DATE. This resolution shall take
effect immediately upon its adoption.

Gentlemen:
Based upon recent discussions with Frank C. Kunnen, Jr.
(hereinafter "Kunnen" and including his assigns), it is the
understanding of the officials and representatives of the City of
Clearwater (the II Issuer"), that Kunnen is considering the con-
struction of an industrial park (the n Park" ) to be composed of
buildings, constructed in three or four phases, containing
Projects as defined in Florida Statutes S159~27 on 16 acres of
real property located at 600-700 U.S. Highway 19 North,
Clearwater, Florida. It is further the understanding of such
officials and representatives of the Issuer that the aggregate
cost of all phases of the Park will be approximately
$9,000,000.00 and that the willingness of the Issuer to issue and
sell its industrial development revenue bonds after the construc-
tion of each phase of the Park, and to enter into the commitments
as stated below for the purpose of financing the Park, is an
important fact under consideration by Kunnen in determining the
extent of the feasibility of the Park. All phases of construc-
tion will be completed and all bonds issued within five (5) years
of the effective date of this proposal.
