CITY COMMISSION MEETING October 6, 1952 The City Commission of the City of Clearwater met in regular session at Ci~y Hall, Monday, October 6, 1952, at 2:00 P.M. with,the following members present: Herbert M. Brown Wm. E. Crown, Jr. Herbert M. Blanton Jack Russell Absent: Garland D. Lynn Mayor-Commiss1oner Commissioner Commissioner Commissioner Commissioner Also present were: F. C. Middleton Chas. M. Phillips, Jr. G. T. McClamma Sidney Lickton City Manager City Attorney Chief of Police City Engineer The Mayor called the meeting to order. By consent, tbe approval of the minutes of the meetings of September 15th and 17th was deferred to the next meeting. The City Manager reported on the tabulation of the bids for construction or sidewalk and curb at the Marina and recommended aocepting the low bid of Burton Walker Construction Company at $3,3Se.70. Commissioner Crown moved that the City Manager's recommendation be approved. Motion was seconded by Commissioner Russell and carried unanimously. The Commission discussed the proposed amendments to Ordinance 625, the Telephone Franchise Ordinance. The following amendments were suggested and adopted by the affirmative vote o~ Mayor-Commissioner Brown, Commissioners Blanton. Crown and Russell, Commissioner Lynn absent and not voting, and noted by the City Attorney for inclusion in the Ordinance. ~endment 11. Amend Section 2 by striking the last sentence thereot and inserting in lieu of the matter stricken the following: ftNo more than four stations may be placed or continued in service on anyone line, provided, however, that this prohibition shall not apply (a) during a period in which the United States of America is engaged in war duly declared by Congress; (b) to present subscribers on lines presently carrying more than four stations, who shall not be deprived of telephone service because of this restriction; and (c) to service authorized by appropriate order of the Florida Railroad and Public Utilities Commission authorizing eight-party service at appropriate tariffs; and provided further that during the entire term of this franchise after March 1, 1953, when more than four parties ar~ served by or connected with anyone line, then each statement or bill rendered by the Company to each of the said parties shall indicate that the party is served by a line which serves more than four parties." Amendment 12. Amend Section 3 by deleting the following phrase in the last line of Page 2: "unless said repair, replacement or extension requires the installation of poles in locations where poles have not ~ormerly been installed.ft Amendment #3. Strike tne second sentence or Section 9(e) and insert in lieu or the matter stricken the fo110~ng: "All lines connected with such private branch exchange sha1l serve city offices located in the City Hall or in the immediate vicinity thereor, except that existing extensions to the Public Works Department on Drew Street, the sewage disposal plant on Marshall Street, and the municipal gas plant just east or North Garden Avenue, shall be connected therewith." The City Attorney read Ordinance #625 in full as amended. Commissioner Blanton moved the passage ot Ordinance #625 as amended on its third and final reading. Notion was seconded by Commissioner Russell and carried unanimously, Mayor- Commissioner Brown, Commissioners Blanton, Crown and Russell voting "Aye", Commissioner Lynn absent and not voting. At the time o~ the scheduled Public Hearing of the zoning hardship case ot Mr. T. T. North and Mr. Archie Carlson, it developed that the hearing had not been advertised and the Mayor was of the opinion that the Public Hearing should be advertised in the usual manner for the next regular meeting of ,the Commission. By consent. the Clerk was so instructed. The City Attorney read a Resolution quashing the Resolution passed by the Commission on September 15, 1952, to vacate the north 21 feet of a portion or Seminole Street. He explained that the County Engineer had decided it would not be necessary to vacate the 2i feet in order to rile the plat of Greenfield Subdivision. Commissioner Crown moved tha~ the Resolution as read be adopted. Motion was seconded by Commissioner Russell and carried unanimously. A R~solution was read by the City Attorney assessing the cost of the sanitary sewer on Court Street between Hillcrest Avenue and Lady Mary Drive against ~he benefited properties. Commissioner Blanton moved ~he adoption of the Resolution aa read by the City Attorney. Motion was seconded by Commissioner Crown and carried unanimously. The City A~torn9Y read a Resolution assessing the cost or CODstructinf a sanitary sewer in Bay Esplanade against tne bene~lted properties. Commies oner Russell moved that the Resolution be adopted. That Peninsular Telephone Company, a corporat~on organized, exist- ing and doing business under the laws of the State ot Florida, be and it and its auccessors and assigns are hereby granted the right, privilege and franchise for the period ot ~hirty ()O) years from the date tha~ this Ordinance goes into efrec~. to construct, maintain and operate within the limits of ~he City ot Clearwa~er, Pinellas County, Florida, as ~he same now exists, or may hereafter be extended. a telephone system for public and private use, to set poles str~ng wires and lay conduits over, acroBs, along and under all the streets, alleys. avenues and other public places of said City, with the privilege of charging to11s, rates and hire for the use of its telephones and lines and other instruments operated in conneo~ion therewith, subject, however, to the condi~ions and limitations hereinafter set forth. Section 2. The service to be furnished by said Peninsular Telephone Company to its subscribers within the corporate limits of said City snall be continuous and constant and shall be the service generally known and referred to in the ~elepbone art as automatic or dial service. or such service as may hereafter be developed in connection with the telephone art of an equal or superior standard. Adequate and sufficient equipment and facilities shall be provided by said ~elephone Company so ~hat its subscribers and patrons may at their option con~ract ~th it tor private line service, or for selective two-party or four-party line service where ma~erials for the ~onstruction of 8uch facilities are reasonably available and governmen~ regulations or restrictions are not to the contrary. The Company may also put in~o operation and offer its patrons and subscribers other classes of service at its option. No more than four stations may be placed or continued in service on any one line; provided, however, that this prohi~ition shall not apply (a) during a period in which the United States of America is engaged in war duly declared by Congress; (b) to present subscribers on lines presently carrying more than four stations, Who shall not be deprived of telephone service because ot this restric- tion; and (c) to service, authorized by appropriate order of the Florida Railroad and Public Utilities Commission authorizing eight-party service at appropriate tariffs; and provided further that during the entire term of ehi~ franchise af~er March 1, 195), when more than four parties are served by or connec~ed with anyone line, then each statement or bill rendered by the Company to each of said parties shall indicate that the par~y is served by a line which serves more than four parties. Section ~. Except for distribution poles and wires, and poles and wires required for the operation of toll lines, all wires and cables of the Company shall be located underground along Ft. Harrison Avenue between Haven Street and Drew Street, and along Cleveland Street and Gulf-to-Bay Boulevard ~rom the beginning ot the causeway across Clearwater Harbor, east pas~ Greenwood Avenue to a point on Cleveland Street and Gulf-to-Bay Boulevard which is due north or due south from the new Central Office location of the Company depending upon whether the new Central Office location is north or south of Cleveland Street and Gulf-to-Bay Boulevard, and along such other streets, avenues, alleys and public places as the City Commission may hereafter, in conformity to the reasonable requirements of public safety, necessity or convenience, designate. Upon all other streets, avenues, alleys and public places of the City of Clearwater, the Company shall have the right~and privilege of constructing, operating and maintaining its sys~em upon pole lines w1~h open wire; provided, however. that this grant is made subject to the right ot ~h~ City to at all times control the distribution of space in, over, upon, under and across the streets, avenues, alleys and oth~r public places of said City; to make such reasonable regulations affecting and governing the use ot said streets1.alleys. avenues, and other public places by said Company for its property and app~ances as may in the opinion of the City and its governing body be required tor the reasonable protection of the public health, safety and accommodation ot the community, and when the public necessi~y so requires, to demand the removal, re- construction or relocation of such property and facilities. .0 major extension or repair or replacement of poles in any existing line and no rerouting ot lines or extension ot conduit may be accomplished or effected by the Company unless wrl~ten permission therefor has been first received from the City through the Ci~y Manager or his agent; provided, however, tha~ such permission shall not be necessary in .~ ", connection with routine operations of repair and replacement or the minor eKtenslons necessary to serve an addi~ional subscriber or subscribers. The Company hereby covenants and agrees to hold the Oi'ty completely harmless from any and all liability, loss and damage of every nature whatsoever resulting from the Oompany's operations and facilities of every nature whatsoever. including but not limited to the operation. placing and repair of the Company's equipment, poles, lines, guy wires, conduits, and holes and declivities and breaks in pavement and other changes or alterations in the streets, sidewalks and property of the City. ; '\ Section 5. That the rates, rentals and hire to be charged by said Telephone Company for telephonic service rendered by it under this franchise and within the limits of said City, as the same now exist or may hereafter be extended, shall be such rates, rentals and charges as now are or may hereafter be established by the Florida Railroad and Public Utilities Commission or such other regulatory body ,as may hereafter be designated pursuant to the laws of the State of Florida. sec~~~ 6. It is mutually agreed and understood that the Peninsular Telephone Company maintain at all times a suitable exchange with the necessary opera~ors in the City of Clearwater, and that this exchange shall function as a separate and distinct unit suitable for handling all local and toll service. SectiOD 7. The grant and franchise hereby given shall not be leased, assigned or otherwise alienated or disposed ot except with the express consent ot the C1~y Oommission or other governing body of the City of Clearwater to such leas8. assign- ment, alienation or other disposition prior to the making of the same, provided, however, that nothing herein contained shall be so cODstrued as to prohibit the said Peninsular Telephone Company from leasing, assigning or otherwise alienating and transferring this grant and franchise in connection with the lease or sale ot its entire systeml or upon its merger and consolidation with any other corporation engaged in a aim! ar business. nor to prohibit the pledging or mortgaging ot such grant or franchise in connection with all or substantially all of the physical property owned and used by it in the operation of its telephone system for the purpose of securing payment of moneys borrowed by it. Section 8. Upon the annexation of any territory to the City of Clearwater, the right, privilege and franchise, hereby granted shall extend to the territory so annexed, and all facilities owned, maintained or operated by said Peninsular Telephone Company, located within the territory so annexed, upon any of the stree~s, alleys, avenues or other pUblic places situate in such annexed territory, shall thereafter be subject to all the terms hereof. Section 2. The Company, its successors and assigns, shall at all times during the life of this franchise grant to the City tree of expense to said City the following facilities: (a) Such telephone circuits throughout its underground cable system, not to excG~d six (6) telephone circuits, together ~th such ducts through any of its underground conduits. as either said circuits or said ducts may be required for use in the operation of a telephone police and fire alarm system. (b) So much of the space on the top cross-arm of each of its poles within the corporate limits of said City a8 may reasonably be required by said City for use in the operation ot a telephone police and fire alarm system and for circuits or wires for the coordination of traffic lights and signals as now or hereafter located and established by the City. (c) Eight (8) police call box telephones arranged on two circuits to be installed in weatherproof boxes or other suitable equipment fUrnished by said City in which the telephone instruments may be safely and securely housed, 'together with all related equipment. Said telephones shall be connected to police head- quarters but need not be connected with the Company's exchange facilities. Cd) Four (4) cable pairs (supplemented by open wire circuits where neces8~) to be used to establish a pressure-control signal system for the City'S gas plant and extending from the City's principal gas plant to points to be designated by the City in Clearwater Beach ~d South Clearwater and in the municipalities ot Dunedin and Safety Harber; provided, however, that the Company shall not be required to install the circuit to Safety Harbor prior to one year from the effective date of this franchise. (e) A Private Branch Exchange located in the City Hall including switch- board with a capacity of thirty (30) lines and all related equipment necessary for its e~ficient an. convenient use including any supplemental stations desired on any of its lines. All lines connected with such private branch exchange shall serve city offices located in the City Hall or in the immediate vicinity thereof, except that existing extensions to the Public Works Department on Drew Street, the sewage disposal plant on Marshall Street. and the municipal gas plant just ' East of North Garden A~enue, sha11 be connected therewith. Six trunts shall be provided to service said switchboard. The Company will make a survey each five years (dating fram the effective date of this franchise.> for the purpose of determining the reasonable requiremen'ts of theOity for telephone service for its public offices located in its City Hall. In the event such survey shows that a larger capacity switchboard is required 'to render stIch service the Company will furnish the same with all related equipment aa above describe~, including additional trunks if required, during the succeeding five year period. The City may elect at its option to accep'- the addi'-ional raci11ties to which it ~y become entitled hereunder. or in the alternative to accept payment of a sum equal to the normal charges for said racilities, which sum the Company hereby agrees &0 pay to the City in the event the City does not choose to use tbe facilities to which it may become entitled hereunder. (1) Any additional telephones or facilities to those above listed which the City may desire ~or the '-ransaction of its public business shall be furnished at the follo~ng rates: (1) For each additional straight line or party line telephone and the ex- tensions connected therewith the rate and charge established for straigh'- or party l.ine residence telephones and extensions thereto in the area where located. (2) For trunk lines connected ~th private branch exchange s~tchboards one and one-hal~ times the straight line residence rate applicable to the terr1~ory where situated. All facilities furnished pursuant. to this grant shall be used by the City ror proper municipal purposes only and each of said telephones the use or which 11 granted to the CiGY shall be installed in a proper public office maintained by tho City for the transaction of its public business. Such telephones snall be used ~or exchange or local service onl.y, and in the event the s~e are used by any person wnoM8oever for the purpose of making toll or long distance calls, the charges ~or such toll or long distance calls shall be paid by the City. Section 10. The City of Clearwater shall have the right at any time during the lite or this franchise to purchase all of the property of Poninsular telephone Company used by it in connection wi~h this franchise and grant situate within the corporate limits of said City. together with any extensions thereof ex'-end1ng beyond the corporate limits ot said City which are appurtenant to and directly connec~ed with '-he Company's local distribution system through any cen'-ral office operated by it situate wi~hin the corporate limits or said City, and any property rights connected ~th any such property. including all contracts for service in connection therewith, ~airly and reasonably made in good fait.h by said Company prior to the date of such purchase. at a reasonable valuation ot such property and proper'-y righ~s desired tobe purchased. to be fixed by arbi'-ration as may now or herear~er be provided by law. in the event ~he Company and the 01'-y shall be unable to arrive at a valuation agreeable to both parties. lothing herein contained shall be so construed as to preven'- the City from acquiring such property and property rights by condemnation prooeedings or in any other lawful manner, the metnods ot acquisition herein mentioned being in t.he alternative.
