In addition to the sale o~ the foregoing personal property~ the Seller
pranises and a~rees cantemporaneollsly with consummation of this sale~ to give and
grant unto the Buyer full right and permission for a space of f~ve (5) years from
the date hereof, to use, occupy and enjoy without charge the studio site in
the Municipal Auditorium in the City of Clearwater, which is now being used by
the Buyer in the operation o~ radio Station V'lFLA, but upon the strict condition
that said studio sit e shall be used only for the pUI'pose of conducting the

the right, title and interest of the Seller in and to the existing Federal
license ~or the operation of Radio Station \VFLA-WSU1~, and i~ the Federal
Communications Commdssion fails or refuses to order or allow the assign-
ment to ~uyer of said lioense, this contraot shall forthwith oease and deter-
mine, end in that event the Seller shall a t once return to the Buyer the'
earnest payment this dR.Y made, or at the Seller's opt:ion, in lieu thereof, the
sum of $4860.00 in cash.
In the event state, County, City or Federal Taxes or assessments of any
kind or natl~e are hereafter levied or assessed against either the land, the
buildings or the personal property hereinbefore described in this contract,
or any part or parcel thereof, or the total thereof, ~lability far the p~-
ment of such taxes, if payment be demanded or adjudged, shall rest solely upon
Buyer.
The Seller promises and agrees, at any time within the said space of
sixty (60) days from the time of ID~roval by the Federal Communications Com-
mission of the assignment of the aforesaid license, unon five (5) days notioe
in wri tlng to the Seller and upon tender by the Buyer to the Seller o~ the un-
paid balanoe of the purchase price hereof, to execute enddeliver to Buyer a
good end sufficient Bill of Sale CJr deed of conveyance of' the property herej.n
oontracted to be sold.
TI~~ is of the essence of this contract and it is understood and agreed
between the parties hereto that tlus contraot shall be fully exeouted and con-
summated within sixty (60) days after the approval by the Federal Communications
Commission of the assignment of the license to operate Station WFLA to the Buyer;
and in the event the Buyer fails or refuses within such space of sixty (60) days
to conswnmate this contract of sale, then the Seller shall have the r1ght to
retain the earnest money this day paid by Buyer to Selmr, as its liquidated dam-
ages in the p:r>emlses, and th1.s contract shall thenceforth be null and void. It

question of whether Buyer has prosecuted said application with due diligence.
