owns two franchises, namely Pantiac and GMC Trucks; the property frants on U.S. I9 a six (6}
lane median di�ided roadway, whiah is designed to carry subsiantial traff c at hig� speeds; the
prapsrty has scveral access points on U.S. 19, including �ccess via a media�i c�t� �nd add�tional

appropriate for thc zoning distr�ct in w�ich the proposed signs are loca�ed and are the minimum

far ecanomic or other material gain. The praposed signs wi11 replace a substankially g.reater
number of existing si�ns on the property, and thereby reduce the overall signage far the
businesses {in terms of bath number and overall signage). Since this request, �f granted, wili
result in a reduction in the number of signs as well as the area of signage, tha varianc� wil� not
be based exclusive�y upon a desire for economic or other materia� gain. The propased signs will
serve an identification functian, a safety function, an aid in traffic flow atong and anto the
property and will identify the businesscs,

BACKGROUND:
• Be!lSouth Mobility, Inc. will pay $27,60Q lease �ayment in 4 quarterEy �ayments of $5,400 for the
first year. �ach y�ar th� payment will increase by 4°!4 over the prior year. The total payment for the
initial 5 year term is $116,992.56
• Th� initiai 5 year period will commence no later than GO days following City Commission approval.
BellSouth Mobility, Inc. shall establish tk�e commenc�ment date by providing written natification to
the offic� of the City Attorney at leasl 10 days before it wi�hes to access the site to commence
construction.
• Installation at th� site will include ground base communications equipment on a concrete pad not ta
exceeci 15' X 25' (375 square feet) linlced by co�xial cable to six (6) antennas at an el�vation of 240'.
• The antennas will be located an the existing radEO communication tower. The ground space under ar
in close proximity to the tower is for telephane switching and other communication equipment.
• Either party may terminate t}�is agreement fqr convenience at any time after tf�e initial 10 years by

Corporatian (herein� "City" � or "Licensor"), and Bc1lSouth Mobiliry, Inc, t a Georgia
Corporatian, having its generat affices at 5201 Congress Avenue, Bvea Raton, F�orida 33487
(herein, "$e1�South Mobility" or "Liccnsee").
I. Premises: The legal descriptio� oi the siie is atiached as exhibii "A". Measured
fram ground l�ve�, BellSouth Mobility, Inc. wiIl have reservcd for it the space on the structur�
from 235 feet to 245 feet abave gro�nd leve� {A.G.L.). I�' required for technologica� reasons,
nellSouila Mobility, Inc, masc first obcain writtcn approval from the City to move its locatian on
the structure to space other than this area reserved for it if such other spac� has not been rcnted to
a different ter�ant who is using it.
Together with space on the cammunication tower to mount Personal Communications Systems
(hercin "PCS"} antcnnaa arrays as specifed in paragraph 2 below and depict�d in Exhibit "A",
each being attached here�o and by reference made a part hereof. The land area and the
communicatian tawer are referenced hereir� as the "Licensed Premises". Final site specifie
engineering plans and Ioad Factor calculatians regarding the respective site is to be pravided by
Be3lSouth Mobility, Inc,, at Se1lSauth Mobility, Inc.'s expense and is snbject to final a�pr4val by
auttiorized City afficials ptiar ta commencement of any constructinn or it,stailation of any
communications equipment by Be1lSouth Mobility, Inc. � its empIoyees, agents, or contractors.

7. Utilities at BellSouth Mabi3ity, Inc.'s Cost; BellSouth Mobility, Inc, shall be salely
responsible for and promptly pay all ch�rges far e[ectriciry, telephone, and any other utility used
or cansumed by BellSouth Mobility, Inc. on the Licensed Premises. Tfie City shall advise

over and across the Licensed Prenvses ar other tands owned by the City i� order that such �tslity

electrical current meter installed at th� Licensed �'remises and have the rigi�t tv nan underground
or overhead utility lin�s ditectly from the utility source to Be1ESouth Mobility, Tnc.'s
Communications Equipment. Tl�e cost of such meter and af instaitatio�, maintenance arkti repair
thereof sha�I be paid by BetlSouth Mo�ility, Inc. Be71Sot�th Mohility, lrnc. and the uti�ity
company providing services to BellSo�th Mobility, Inc. shall have access ta all azeas of the
I.icensed Premises, ar ather lands oi the City, necessary far installation, maintenance and repaix
of such services; provided, that access requiring entra�tce into ar onto the communications towers
shall be coordinated with the General Services D�partrr�ent of the City.
8. Extension�: Be125outh Mobility, Inc, snal� have the optio� to exiend this Licens�
by a series of faur (4) additio�al terms of five (5) years each so long as it has a�iided by the terms
and conditions af the License and is not currently in default hereunder.
City or BellSouth Mabiiity, Inc. may at any time after ihe expiration of the fust renewa! term
terminate this agreemcnt for cor�venience by giving the ather party on� hundred eighty (180) days
writtcn notice.
Be1lSouth Mobility, Inc, agrees ta provide City written notice o� it� incent to extend this
agreement no less than 90 days prior to the expiration of the primary term or any �xtension
thereof. Tt�e annuat rencal amaunt shall aiso automatica2ly adj�st as pro�iaed � Paragraph 4.
9. HoZdin Over: If Be1lSouth Mobiliry, inc. sl�ould remain in possession of the
Licensed Premised after expiration af the primary term or any extension of this License, without
the exercise of an option or the executson by the City and BeIlSoutl� Mobility, Inc. of a new
Iicense, BetISouth Mability, Inc. shatl be deemed to be occ�pying the Licensed Premises as a
tenant-at-sufferance on a month-to-month basis, sr�bject io �I1 the covcnants and obligations of
this License and at a monttily rental caicujated at one and one-quarter (1.25) times the annual
rental scheduled to be paid as provided in Paragraph 4 divided by twelve (12). The payment of
such monthly rental amount shall Ue due and payable by the first day of the month succeeding the

Termination:
Either party shall hav� the right tn terminate this License at �r�y time as failows:
1. By either parcy, if th� approvai of any ag�ncy, board, caurt, or other �overnm�nt�l
authority necess�ry far the canstruction ar operacion of �e Cammunicatior� Equipm�nt cannot
be abtained after due diligenc�� or is revokcd.
2. Sy eicher party, in the cvent of a ma�terial breach of �ny of the pr'ov�slons oi' sh3s
agreemcnt� sub,�ect to Paragraph 13 beZow.

obtaining or ret�inin� th� approval of any ��ency, board, court. or oth�r �pverrtmentat authority

take alf ar such part nf the Licensed Premiscs utercby making it physically ar fnancially
irifeasible far the Licetiscd Pr�miscs to be t�sed in the martner ic was intended to be used by this
Agreement. However, if c�nly a portior� of e��e Liccnsed Pcemises is taken, anc� Be�4South
Mo�iiity, Tnc. does nat elect to t�rminate this �.icense �nder this pravision, then renta[ payments
providec� under this Lice�nse shajl be abated proportionally as to tlte portion take�t which is not
then usabie �y BellSouih Mobiliry, Inc, a�d ihis License sha�l c�ntinue.
5. By t�e City, if the Gity determines that ti�e ;nstatlation ar operation af th�
Comm�nieations E�uipment is detrimental to the opecatian af the Ciry's communicakions
equipment within ar�d upon the respective Licensed Premises, ar the communications equipment
af any other party with whom the Cjty h�s prcvlously enterea inta a tease or 2�censing agreement
speci�catly for the construction, operation and mainte�ance of communicatio�s equipment.
(b) The pariy terminaiing this agrecment shal� give written notice of termination to ihe
other parly nat ]ess than thirty {30) days in advance of the ef#'ertive date of termination. U�os�
termination, neither party wi1S owe any further abligation �nder tfie tern�.s af this License, except
that BelESouth Mohility, �nc. shall be responsible for removing al[ of its Communications
Equipment fram the Licensed Premises and for restoring the areas occupied by Be1lSouth
Mo�ility, Tate, to its original cond�tions as near as practicable, save and except normal wear and
tear and acts beyond }3eliSouth Mobility, Tnc.'s cantrol.
(c) Upon termination of this License, the term hercby granted an� all rights, tiEle and
interest of Be1lSouth Mability, Inc. in the �remises shall� end and the City may re-enter upon and
talce possessian of the premises. Such termination shalt be withont pre,Judice to the Ciry's right to
collect from BellSouth Mobility, Ine, any rental or additionaf renta� which �►as accrued prior to
such terminaEion together with all damages, including, but not limited to, Ehe damages speeifieci
in subparagrap�t (1) of this paragrapn whic� are s�ffered by #he City because of BellSouth
Mobility, Inc.'s breach of any cavenant under chis License,
13. Defaults and Remedies:
(a) Noiwithsianding anything rn this Lirense to the contrary, BeliSouth Mobility, Inc.
shail not be in default under this License until:
�. In the case of a fail�re ta pay rcnt or c,t3ier s�ms dUe under this Lic�nse, f f'teen (15)
days after receipt of written notice thcreof from ihe City; or
2. In the case of any other defauZt, thirty (30} days after receipt of written notice tlzereof
from the City; pravided, however, where any such default cannat reasonably be cured within
thirty (3Q) days, Bc1�Sat�th Mobllity, Inc. shali nat be decmcd to be in defa�it under t�ae License
if BellSoutii Mobility, inc. commcne;es to cure such default within said t�iirty (30} day period and

the City's real prapert}+, any and a11 pravisions and principals of law to the contrary

BACKGROUND:
• In November 1996, the City Commission appro�ed acceptance of a�rant from the Florida
Department of Transportation in the amount of $78,750. to fund the Pedestrian SafPty and
Enforcemertt Project, to in�lude one police officer, a police vehicle, and a police bicycle. It is th�
goa) of the grant to reduce pedestrian accidents anc! fatafities thtough increasec# �nForcement and
public education. In addition, the grant ai�ows t�e police d�partm�nt to better address the traffic
safety concer�s af the citizer�s of Clearwater who, in our fifth annual Customer Satisfa�tion Survey,
have rated traffic problems second anly to burglary as their high�s� pofice - r�iated concern.
• This second year $rant will continue the project �y funding 75°!8 of the salary and benefits of this officer
($27,553) and provide funds for pt�blic education ar�d information materials ($5,Z50). The City's match of
$1q,934 includ�s the 25°l8 of salary costs ($9,�84) plus an in-kind match of public inFormation and
education materials ($1,75Q).
• During the first year of this project, the Clearwater Police Department made twenty-five pubiic
presentations on pedestrian safety, ar�d issued 250 pedestrian warnin�s. There is a need to rontinue our
efforts as pedestriar� �rash�s are stiil on the rise in 7 997. ln i 99b, one hundred and three (103)
pedestrians wer� struck by automabiles; six of them were killed as a re5ult of thes� collisions. In th� first
nine months of i 997, ther� were 89 pedestrian crashes, which re5ulted in 5 fatalities.
4n October 1, 1997, the City was informed that funding in the amount of $32,803.00 for th� seconci year
of the pro�ect was approved. The required City match of $10,934.00, was established in a project for thEs

have been parking rars at Spring Trair�ing games for severa! years.

WHEREAS, the Ca��y desires to provide public pa�king for �h�
spring �raining games conducted by the Philadelphi.a "�hilli�s" at
Jack Russell S�adium; and
WHEREAS, the Ca.ty d�sires to coop�rate in such arrangements
wa.th the eoos�ers during �he year 3.998;
NOW,� THEREFORE, The Parties Here�a Da Mu�uaZly Agree As
Follows:
�.. The City, for th� purpose o£ public parka.ng, w�ll make
avai�ab�e the foll.owing s�adium parking lots and addita.onal ].ats;
A. Th� main stadium parking lot �.ocated between Phillies
Drive on �he eas�, Greenwood Avenue on the west,
�almetto Street on th� nor�h and Seminol� S�reet on �he
south.
B. Th� Ray Green Fieid parking ].o� �.ocated between
Gr��nwood and Pennsyivania Avenues and bounded by
Palmetto S�ree� on �he north and private p�roperty o� �he
south.
Said parking lots are shown on the map attached as Exhibit A.
Public parking w�.l�. be permit�ed on the Ray Green Field location

pxov�ded that•no park�ng wi�l be permi�ted on the c�ay infie�d
part�on of the fenced�in softbal� �ield.
2. �he Boost�rs agree to b� r��ponsibl� for �he ard�rly
parking o� a�l vehic�es in each of the designated Zo�s. The
Boos�ers agree �o coordinate aIl parking wi�h �he C�eaxwater Po�ice
Depaztment to �he end that an order�y f�aw o� traffic is
established �n and around Jack Russell 5tad�um. To �acili�ate
order�y parking at the 5tadium, the Boosters shall �ire thr�e (3)
off du�y police officers who shall be sch�duled from 10 a.m. until
the lots are empty a�tier each game, and sha11 provide and re�ain,
unta.l the 1o�s are emp�y af�ez each game, a minimum of (�.5) Baoster
vo].unteers �o dir�ct parking �nd to assist au��mobiie owners as may
be necessary to r�duce or ela.mina�e �he i.11egal parka,ng of
vehicles. The C�ty, �hrough i.ts Pol.xce Department, wil� provide
sufficien� police patrols to furthe� assis� tih� Soosters in the
orderly fl.ow o� t�ra�fic and parking around �he S�adium.
3. This Agreement shal..l comm�nce wi�h the first home game of
the 3998 spr�.ng traina.ng seasan by the Phi�.ade�phia "Philli�s" and
shall ��rminate fo�lowing the eigh�h home game o� �hat spring
season.
4. The Boosters, with �he exc�ption o� �h� "res�rved" parking
lot, are authorized to charge Th�ee Do3.�ars ($3.40 �$2.79 plus
�.21 sales �ax) per cach automobi�.� parked at the des�.gnated
parking �acil�.�ies d�scribed a.n Paragraph One (1) . Th� Baos�ers

shaZl make individual bank deposi�s cover�ng all mon�es co�lec�ed
by the Boostera for ea�h gam� played at �he s�adium and sha��
subrn�t cop�es of �ach bank depos�� s�ip �o the Ci�y. The City
shall make randam counts of all au�omob��es park�d �n the City's
pazking lots. Copies of bank deposit slips and random counts of
automobil�s wi�1 be submzt�ed to the City's xnternal Audi� Division
�or revi�w and approval. From �he gross revenues collec�ed at each
parking si�e �he follow�ng division is to be made: Sev�n perc�nt
{7$) o� �he gross revenue sha�� be remztted to the C��y �or payment
of State sales �ax, six�y percent (60�} of the remain�ng revenues
may be re�ained by �he Boosters and forty percen� (9Q$) shall be
rem�tted to �he C�ty. Within thirty (�0) days follawing �he end of
the season, the Boosters shal� remit �o the Citx a draft or check
cavering �he �ota� pe�cen�age payments descr�bed her�in. Although
the Boosters wi�l be responsible �or �he o�dez�y parkzng of
vehic�es in the "z�served" parkzng Iot, no mon�es w��l be collected
by the Boosters from vehicies parking in said Zo�. Ins�ead, this
lot wil� be rese�ved for season �ick�t holders. The Phillzes will
coll.ect $3.00 �xom each season ticket holder for each game pl.ayed
a� �he stadium. xhe Phzll�.es will remit said monies �o the Ci.ty at
the conclusion o� the season. In �urn, �.h� City shall. �irst deduct
seven perc�nt (7�j for �he paymen� o� stat� sa].es tax. Of �h�
rema�,nd�r, �h� Ci�y shal�. rem�.t si,x�y (60�) to �he Boosters.

to hold in reserve �ifty �50) p�rking spaces fronting on Phillies
Drive. These spac�s sha�.1. }ae fxee and fox the use of offi.cia�.s,

groundskeep�rs.� The owner o� each vehicZe pe�mi�ted to park in one
o� the des�.gna�ed fi�ty (50) spaces shal]. be provided, by the City
oz by the Phillies, an i.dent�.f�.cata.on sticker which shall be
d�.sp�.ayed on �he veh�.cl.e.
6. �t i.s understood tha� �h� Boos�ers pres�nt.Iy have in force
a li�bi�ity insuzance policy whxch would apply to the ac�iva.ties
proposed in this Agreement. The Boostea�s shall provide
� satisfactory evidence to the Ci.ty prior to the start o� the fi.rst
game tha� i� pres�ntly has in �orce a Iiabil.ity insurance pol�cy in

WHEREAS, the Ci�y desires to cooperate in such arzangements
wi�h the Boosters during �he y�ar 1998;

orderly parking at the Stada.um, �he Boasters shall hire �hree (3)
o�� duty pola.ce of�icers who shal]. be sch�duled �rom 10 a.m. unti.3,
�he 7.o�s are empty a�ter each game, and shall prov�.de and re�a�n,
unt3.1 �he ].ots are emp�y af�er each game, a m�.na.mum o� (15j Booster
vol.un�eers to direc� parking and to ass�s� automobil.e owners as may

suffi,cien� police patrols to fur�her assist the Boosters in the

the 1998 spza.ng trai.ning season by the Ph�lade�.phia "Phi1.l.ies" and
sha�1 terminate following the �ina], homE game of that spring
�raining seasan.
9. The Booste�s, with �he exception of �he "reserv�d" parki.ng
lot, are au�ho�ized to charge Thxee Do�.lars ($3.00 �$2.79 plus
$.23. sales tax} per each automobi�.e parked at the designated
parking facilities described in Paragraph One (�y. The Boos�ers

shal� make indiv�dual bank deposits covering all monies collec�ed
,by the Baos�ers for each game played a� �he stadiwn and shal�
submi� copies o� each bank deposi� slip to the Ci�y. The City
shall make random coun�s o� all au�omobiles parked in �he City's
park�ng �ots. Copies o� bank deposi� s�ips and random counts of
automobi�es w�11 be submi��ed �o the Ci�y's In�erna� Aud�� Division
for revxew and approval. Fram the gross revenues collected at each

• BACKGROUND:
• The Clearwater Pofice Department will us� tF�is grant to co�tinue fur�ding fve (5) police service
�echnicians (PST'S) and one ('� ) PST s�pervisor nat funded through the City budget. Three of
these positions wifl be utiEized at the Beach substation and will allow more comprehensive service
to the citizens. Prior to the award of last year's LLEBG grant, the Beach S�bstation was only
open wf�en police officers were actualfy in fhe building and not out on calls. The assignmer�# of
three PST's to the Beach Substa#ion has ailowed the substation to maintain reguiar business
hours and to pro�ide better telephone coverage. The remaining two PST pnsitions will be
assigned to hartdle accident iRVestigatror�s or� a city-wide basis. These positior�s wil� provide
4,160 k�ours annually for accident ir�vestigation, freeing up police afficers to handle pr�mary calls
of a more urgent nature. The PST supen►isor wil� aversee #he additional PST's, eiiminating that
adrr�inistra#ive task from sergear�ts' responsib�li#ies, A total of $�72,4651�as been b�dge#ed foF
these positions.
• The grant will also fund one (9) addit�onal police officer position for the Officer Friendly Program.
This wiii allow the department to replace the Offcer Friendiy positio� �hat was recently cut from
the City budget. The department has b�dg�ted �38,917 for this additional position, which will be
utilized for rotating assignment to the city's middle schools.
• Und�r t�e Local Law �nforcement Slocfc Grants Program, none of tl�e above-r�ferenced positions are
r�quired to be retained at the conclusion of the grant period. The deparkment will �vaEuate
continuatian of these positions in preparatior� of the 1998/99 budget.
• The remaining $93,097 budgefEd �noer this grant will be used to purchas� andlor lease the
necessary equipment to re�nstate--on a pilot basis--the Clearwater Police Department's
motorcycle traffic enforcement team. Some of the sq�ipmen# to be purcl�as�� through this grant
�ncludes t�e following: emergency equipment for the motorcycles, uniforms for the motorcycle
