Dear CITY OF CLEARWATER:
It has been brought to our attention that certain companies or individuals are soliciting the landlords of
our tower sites in your area. The solicitors are attempting to persuade our landlords to either sell the
ground underneath the tower site to them or to obtain an assignment of the lease between our landlords
and Crown Castle. In doing so, there may have been misrepresentations made of the tower industry, the
wireless phone industry and even our company. We would like to take a moment of your time to
reinforce our commitment and intentions with regard to our agreement with you.
Crown Castle greatly values the relationship that we have with you. Crown Castle is an established
company in a growing industry. As the demand for wireless services continues to expand, the
infrastructures that supports these services will continue to be critically important to the wireless carriers.
As we look to provide ongoing support to the wireless industry, we depend on a long and mutually
beneficial partnership with you, our landlord.
Should someone other than Crown Castle contact you seeking to purchase your land, your lease or your
rental payments, please contact us immediately. Crown Castle is open to the possibility of discussing any
offers received, and we may very well be interested in meeting or exceeding such offers or discussing
alternate arrangements. Please contact us before entering into any agreement with any third party. We
wiU he able to help Y01Lunderstand thecQPsequences or henefits of any deal offered to_you, and we~may "_
be able to provide you with an alternative proposal should it make sense for both parties. Of course, some
of our landlord agreements give Crown Castle the opportunity to match any purchase offers received from
third parties, but we are asking all of our landlords to contact us prior to reaching any agreement with
another company, regardless of whether or not our lease agreement requires it.

Under copy of this message I am sending you original letter received today from Kevin Conroy, Real Estate Director with
Crown Castle USA. The letter concerns potential third party attempts to purchase land underlying Crown Castle leased
tower sites, or have the lessor assign the lease itself. Crown Castle requests that it be contacted in the event the City is
approached in either of these instances regarding the existing lease between the City and Crown Castle. Please file with
other documents in your referenced lease file. I am retaining a copy in my lease file as well.
