Rabun, City ~1anager~~ Charles Hunsicker, Bill Baker, Bob Brumback, Terry Neenan Gas R.F.P.; Clarifications April 6, 1990 In response to some of the questions raised at last night's Commission meeting, I call your attention to pages 1-27, 2-1, 4-1 and Exhibits D-I0 through 0-12. A summary is provided below: Page 1-27, Bid Protest -- This section outlines the standard bid protest procedure. Page 2-1, Accuracy and Completeness caveat -- The last paragraph of this page basically provides that it is the bidders ultimate responsibility to double check the accuracy and completeness of the R.F.P. data. The City clearly does not warrantee (from a legal standpoint) total accuracy and completeness of the R.F.P. This section should clearly protect the City from lithe lawsuit" argument stated last night. Page 4-1, Reservations, Waivers and Rejections -- Five sub-paragraphs at the bottom of this page clearly provides the City the flexibility to reject any and all bids, to waive informalities, or to issue other R.F.P.'s. Exhibits D-I0 through 0-12 -- Exhibits p-10, 0-11 and D-12 with names, ages, bi rth dates and reti rement dates' of employees is stated incorrectly. This was occasioned by a computer glitch. In the transfer of the data listed in exhibits D-2 through 0-8 from the mainframe computer to a spread sheet on the Apple computer, the computer misformatted the dates. The computer subtracted 11 years and 362 days from the true date. Therefore, each date mentioned has this equal error. This exhibit is a summary compilation of two other accurate exhibits, pages 2-36 through 2-42 and exhibit D-2 through 0-8. These two exhibits are correct. Only the summarized exhibit that was incorrect. This can easily be rectified by sending out a corrected exhibit sheet. We will continue our review in preparation of the 4:30 p.m., Thursday, April 12, 1990, Special Commission Meeting at the City Hall Annex Community Room. So far, we bel i eve that suffi ci ent protecti on exi sts to protect the basi c integrity of the document even if certain minor errors are detected. Due to a personal scheduling conflict that will take me out of town on Thursday, April 12, and considering that the special meeting that afternoon wi 11 be essentially a fact-gathering meeting, it is not my intention to be present during the meeting. r do not anticipate that you will be presented with any legal questions which cannot be answered during your work session or regular meeting next week. The purpose of th is memorandum is to respond to three quest ions wh i ch have already been raised: 1. No referendum is required. I have re-examined (again) the City Charter and have found no requirement that a proposed sale of the gas division be submitted to the voters at a referendum. The only instances in which the Charter requires a referendum involving city property are if city property is to be given away or donated; if recreation/open space land is to be disposed of; if industrial park property is to be leased for more than 30 years; or if the city property on the bluff or the Causeway is to be developed as anything other than open space and public utilities. The sale of a propriety activity and its assets would not fall into any of those categories unless it happens to occupy recreationlopen space land. 2. Errors and omissions. It would be difficult to establish a valid claim aga in st a city based upon errors in a request for propo sa 1 s, part i cu 1 ar 1 y if corrected information is distributed to the recipients promptly upon the discovery of an error. I have been unable to locate a Florida case in which an action was brought, sucessfully or otherwise, arising from errors in a request for proposals or an invitation to bid. Generally, the successful bidder would have to allege and prove that an error in the RFP amounted to an intentional misrepresentation of a material fact (fraud) on the part of the city, or that there was a mutual mistake of a material fact sufficient to have the contract declared void. In our situation, such a result is not likely. The RFP requires, in effect, that each prospective bidder must inspect the gas system and exercise due diligence. The RFP expressly states that the City makes no assurances or warranties with respect to the accuracy or completeness of the information being provided (page 2-1). The RFP also states that the gas system is to be sold "as is,1I without warranties or representations as to (among other things) the value, quantity, quality, condition, salability, obsolescence, merchantab i1 ity, f itnes s or su i tabi 1 ity for use or work i ng order of the gas system (page 3-13). Prospective bidders may attend the initial pre-bid conference, tour the gas system, examine the public records of the city (including the detailed information from which summaries in the RFP were I I. The evaluation process established by ehe City is a two-phase pl'ocess whereby non-economic considera.tions are evaluated in Phase 1 and economic considerations are evaluated in Phase 2. the non-economic considerations and the attendant weig~ting factors include: (1) employee considerations; (ii) experience; (i11) franchise acceptance; (1v) rat:e /Iloratorium; (v) fina.ncial capabili tYl and (vi) completeness and responsl'/eness of the resllc.ndent's RFP. The economic evaluation process (Phase 2) discusseoj in Sec.tion 5 clearlY ou~lines t:he criteria to be used in ranking the preferred respondent. !he econclIuic evaluation process includes the initi~11 ranking and following a one-time opportunity for each respondent to revise its specific bid amount, a final ranki~. As ~a3 previously noted, the purpose of the City's RFP is to select a preferred respondent for negotiations. Completeness and responsiveness of proposal The raw score for each area will represent a relative comparison of each proposal in each area and will be determined at the discretion of the City's evaluation team. Raw scores will be based on a scale of one to ten, where ten would be a high score and one a low score.
