CONDITIONAL ASSIGNMENT OF LEASE
In consideration of the sum of One Dollar ($1.00) and other good and
valuable considerations, the undersigned, COLONY MARINA RESTAURANT, INC.
hereby sells, transfers and assigns all of its right, title, and interest in
and to that certain lease dated the 30th day of July, 1986, by and between the
CITY OF CLEARWATER, FLORIDA, a municipal corporation, as Lessor, and the
undersigned, as Lessee, to EDWARD M. METALLO and URSULA M. METALLO, d/b/a
Colony Marina Restaurant, effective as of April 1 , 1990, which said lease
covers the Lunchroom on the Ground Floor in the Clearwater Marina Building,
located on Lots 11 and 12 of CITY PARK SUBDIVISION, Clearwater Beach,
Clearwater, Florida.
IN WITNESS WHEREOF, the said COLONY MARINA RESTAURANT, INC., through its
offices have
caused this instrument to be executed this 10th day of April ,1990.

This Assignment of Lease is conditional upon approval of the Clearwater City
Commission, and if consent assignment cannot be obtained by May 1, 1990, then
this Assignment of Lease will be null and void.
CONDITIONAL ASSUMPTION OF OBLIGATIONS UNDER LEASE
The undersigned, EDWARD M. METALLO and URSULA M. METALLO, in
consideration of the above and foregoing Assignment of Lease to them, and in
further consideration of the Consent thereto by the City of Clearwater,
Florida, hereby assume and agree to perform each and every covenant and
obligation of said COLONY MARINA RESTAURANT, INC., accruing under the Lease,
effective as of April 1 , 1990, and for the remainder of the term thereof.

CONSENT TO ASSIGNMENT
The CITY OF CLEARWATER, FLORIDA, a municipal corporation, the Lessor in
the above described lease agreement, hereby consents to the foregoing
assignment thereof from COLONY MARINA RESTAURANT, INC. to EDWARD M. METALLO
and URSULA M. METALLO, d/b/a Colony Marina Restaurant.
