THIS AGREEMENT is made and effectivE! this 17th day of
July , 1986, by and between the
The City of Clearwater , hereinafter called "TENANT",
and THE GREATER CLEARWATER CHAMBER OF COMMERCE, INC., 128 Osceola
Avenue, Clearwater, Florida, hereinafter called "SUBTENANT".
In consideration of the sum of Ten ($10.00) Dollars paid by
Subtenant to Tenant, and for other good and valuable consideration,
the receipt and' sufficiency of which are hereby acknowledged, the par-

ties hereby agree as follows:
1. Tenant does hereby sublease to Subtenant the land described
in Exhibit A attached hereto for a period of ten (10) years beginning
with the date of theis Sublease Agreement. It is further agreed that
the Subtenant may renew this Sublease Agreement for an additional ten
year period by notifying the Tenant in writing sixty (60) days prior
to the expiration of this Sublease Agreement. Notwithstan9ing the
foregoing, however, this Sublease Agreement shall automatically expIre
and terminate upon the expiration and/or termination of the Lease

Agreement betw~en THE STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION,
and Tenant, a copy of which is attached hereto and identified as
Exhibit B.
2. Subtenant agrees to use the property solely for a public pur-
pose, as described in by Section 337.25(3)(g), Florida Statutes, and
specifically as the site, for the construction and operation of a faci-
lity to be used solely for providing information to tourists.
3. Subtenant agrees to comply with all terms and provisions of
the Lease Agreement between THE STATE OF FLORIDA DEPARTMENT OF
TR,ANSPORTATION and Tenant dated the J..1.t.h. day of

, 1986, a true and accurate copy of
which is attached hereto and identified as Exhibit B. Furthermore,
Subtenant agrees to perform all the duties and obligations of the
Tenant, as set forth in said Lease Agreement. The obligations of
Subtenant, hereunder, shall include, but not be limited to, the obli-
gation to construct improvements on the property, and to erect a fence
to prevent access to abutting property, as set forth in Paragraph 3 of

Subtenant will not make or suffer any use of the premises

5. Subtenant shall indemnify, defend, save and hold harmless
Tenant and the State of Florida Department of Transportation from any
damages, claims, suits or liability of any nature arising out of any
accident, happening or occurrence on the subleased land.
6.
Subtenant shall maintain liability insurance
as may be deemed reasonable and necessary by Subtenr;:lnt, or:, in sucll
amounts as may, from time to time, be required by Tenant or by the
State of Florida Department of Transportation.
IN WITNESS WHEREOF, this Sublease Agreement has been executed the

A RESOLUTION OF THE CITY OF CLEARWATER, !i'LORIDA,
AUTHORIZING THE EXECUTION OF A LEASE AGREEMENT
WITH THE FLORIDA DEPARTMENT OF TRANSPORTATION
FOR THE LEASE OF CERTAIN REAL PROPERTY AS A
WELCOME CENTER FACILITY.
WHEREAS, the City of Clearwater desires to maintain a
welcome center to service the needs of highway travelers and to
make travelers aware of the attractions offered by and existing
in Clearwater; and
WHEREAS, the Florida Department of Transportation (DOT) has
offered to make a certain parcel of real property availabll: to the
City of Clearwater, at no cost, for use as a welcome center, pro-
vided certain conditions are met; and
WHEREAS, the DOT has reviewed the site location plan submitted
by the Greater Clearwater Chamber of Commerce and has approved +:he
existing development as being compatible with the land use concept
for which the land was acquired; and
WHEREAS, the DOT has agreed to lease the property to the City
providing the following conditions are met:
1. The lessee must be the City, but the Greater Chamber of
Commerce will be permitted to oper~te the site;
2. Because of the capital investment and because of the public
purpose of the proposed use, the term of tl1e lease may be for ten
(10) years at no consideration; and'
3. The lease must contain a proper indemnification clause;
NOW, THEREFORE. BE IT RESOLVED BY THE CITY
COMMISSION OF THE CITY OF CLEARWATER, FLORIDA:
Section 1. The City agrees to lease the real property, which
is described in Exhibit A hereto, subject to the conditions
enumerated in the preamble to this resolution. The City will
maintain the property in accordance with the approved site plans
and will use the property as a welcome center. It is understood
that the Greater Clearwa~er Chamber of Commerce will operate and
maintain the welcome center.
