LETTER OF AGREEMENT ~ ,a: - '"" I I Mr. Rick Emshoff Suncoast Aviation 1000 North Hercules Avenue Clearwater, FL 33575 LETTER OF AGREEMENT Paragraph A It is hereby agreed between the City of Clearwater (owner) and the Suncoast Aviation Company, Inc. (Fixed Base Operator) that the Fixed Base Operator (FBO) wil~ continue to provide certain aviation and aviation related services at the Clearwater Execu- tive Airpark which shall include (but not be limited to) aircraft rental, aircraft charter, aircraft maintenance, aircraft sales, flight instruction, air ambulance, air taxi, air freight, ~viation fuel dispensing and sales, shade and "T" hangar rentals, and aircraft tie-down rentals and related aviation services and sales. The owner shall retain its authority and legal rights as airport proprietor and may promulgate such rules and regulations ~overning airport operations and activities as are just and reasonable. Paragraph B 1The benefi t to the owner is that the FBO will assure the provi- sion of aviation services desired by the public on a safe and sfficient basis with a minimum operating investment by the owner and a partial return of profits earned thereby to the owner. The benefit to the FBO is the profit earned from providing the desired aviation services to the general public. These mutual benefits are the consideration for this agreement. Paragraph C The owner will: 1. Provide an 8.487 sq.ft. (M.O.L.) maintenance hangar, a 2,214 sq.ft. (M.O.L.) operations building, one covered "T" hangar, four shade hangars, 32 hard stand aircraft tie-downs, a minimum 76 grass aircraft tie-downs, two 10,000 gallon underground fuel tanks and pumps, and facilities related to or dependent 'upon the foregoing. /l)~--.f{J) -1- (! c.-; FZ~ t!. i1-c.t.. -, ,,,"),, ~ " ,u. 1 ' , C., f:A,/" . ,( to/L-..; J;) l'llt'k, .. Maintain in good order and appearance the fuel dispensing and storage facilities, runways, taxiways, sod, and all other city owned facilities and areas on the Airpark proper not specifically designated for the use of the FBO. 3. Enforce all operating statutes, ordinances, rules, and regulations necessary to the safe and efficient operation of the Clearwater Executive Airpark based on information provided by the FBO or other authorized person(s) in those circumstances where the FBO is unable to obtain voluntary compliance from offending parties, said rules to be promulgated and distributed by the owner with the advice and assistance of the FBO and other parties with relevant aviation expertise. 4. Promote the safe, efficient use of the Clearwater Executive Airpark to the flying public and perform all other functions necessary to the conduct of the proprietorship function for the operation of the Airpark. Paragraph D The FBG will: 1. Continue to pay to the owner the sum of $3,201.33 a month during the term of this agreement. 2. Provide the owner with a copy of an adequate liability insurance policy which includes the City of Clearwater as the property owner and additional insured in an amount not less than $1,000,000 coverage. Said policy is to protect the owner's liability and property and should include all areas used by the ?BO as well as its operations in their entirety. The policy shall remain in force for the duration of this agreement, and the City Manager shall be informed within five calendar days of the cancellation or termination of the required policy. 3. Distribute, monitor, and require compliance with the published rules and regulations for the conduct of operations and activities at the Clearwater Executive Airpark and report to the City Airport Coordinator those infractions of such rules and regulations which cannot be enforced by the FBO for reasons of authority or practicality. 4. Monitor and report on the condition of structures, facil- ities, and grounds to include the activities of the mowing (grounds maintenance) contractor or such other contractors as may be employed by the owner. 5. Provide the full array of aviation services and products presently supplied to include all activities identified in paragraph A above. The specified services may be expanded or limited by further agreement or amendment of the agreement. -2- . ~ . to _ ~"'" , ' 6. Record, compile, and supply such information and statistics as may be requested or required for: (1) the justification, acquisition, and installation of additional facilities; (2) appl i ca t ion for S ta te and Federal gran ts- in-aid; (3) f iduc iary reporting; (4) legislative deliberations; and (5) development of management information generally associated with the operation of an airport. paragraph E The owner shall not be responsible for the maintenance of the facilities leased to the FBO, but the FBO shall keep and maintain all leased property in a clean, neat, and safe condition. Paragraph F The owner or the FBO may terminate this agreement for good cause upon a 90-day Notice of Proposed Termination. Paragraph G This agreement shall be for a period not exceeding one year from ':he da te of execution. paragra~ The FBO, may not sublet, rent, or otherwise alienate any property or facilities of owner without the express permission of the City Manager. Paragraph I The parties whose signatures appear hereon expressly represent that they have the authority to enter this agreement and bind their respective principals.
