The insurance policy as required by the agreement between the
Chi Chi Rodriguez Youth Foundation and the City of Clearwater
for Glen Oaks Golf Course expires on February 1, 1986. I
contacted the Foundation about this expiration date and have
communicated with the Foundation's insurance carrier. Attached
is a note, Certificate of Insurance and an Insurance Binder as
provided by Rodgers and Cummings Insurance Incorporated. The
Binder shows a continuation of coverage through April 1, 1986,
and, as explained in the note, we expect to receive a copy of the
entire policy which would have a new expiration date of
February 1, 1987.
I would appreciate your placing this material in the file with
the above subject agreement and I'm available in the event you
have any questions.

Dear Mr. Ridley:
I have forwarded the Sub-lease to the City Manager for his
review, but I believe that you were going to .furnish me with an
incumbency ce+tificate with respect to Edward G. Moorhouse, Senior
Vice-President of PGA Tour Family Golf Centers, Inc. To date, I
have not yet received the certificate.
With respect to your "consent and agreement to lease" form,
I have taken the liberty of changing "shall" to "may" in the second
sentence. Paragraph 25 of the City's lease with Chi Chi Rodriguez
Youth Foundation, Inc., provides that, in the event of termination
of the agreement because of default by the Foundation, if the
Foundation has sub-leased a portion of the leased property, the sub-
lessee shall assume the rights and obligations of the Foundation
under that agreement as if the sub-lessee were a party to that
agreement, with respect to the property which is the subject of
the sub-lease, "but the terms of this agreement may be re-negotiated
with sub-lessee at that time."
As drafted, the second sentence of your "consent and agreement
to lease" form is a bit premature--hence, my modification. I trust
that this change is not objectionable to you.

CONSENT AND AGREEMENT TO LEASE
CITY OF CLEARWATER, (the "Ci ty"), the Lessor under that
certain lease agreement of even date herewith (the "Prime
Lease"), by and between the City and the CHI CHI RODRIGUEZ YOUTH
FOUNDATION, INC., a Florida corporation, as Lessee, hereby
consents to the foregoing sublease (the "Sublease") between the
Foundation, as lessor and PGATour Associates-I, Ltd., a Florida
limi ted partnership ("Associates").
In the event of termination

terms,
covenants
and
conditions as those contained in the Sublease (which incorporates
by reference, the terms of the Pr ime Lease) except that the
rental payable by Associates for the term under the New Lease
