Aqreement THIS AGREEMENT made and entered into on this ;?7fh day of IIpri I , 1994 by and between the CITY OF CLEARWATER, FLORIDA, a municipal corporation, whose address is P.O. Box 4748, Clearwater, Florida 34618, hereinafter referred to as "City," and the Chi Chi Rodriguez Youth Foundation Inc., a Florida non-profit corporation whose address is 3030 McMullen Booth Road, Clearwater, Florida, 34621, hereafter referred to as "FOUNDATION." WITNESSETH: WHEREAS, the City is a municipal corporation owning and operating the Glen Oaks Golf Course in the City of Clearwater; and WHEREAS, the city has operated the eighteen hole par 55 Golf Course at Glen Oaks as a public facility through its Parks and Recreation Department; and WHEREAS, the Foundation is desirous of leasing Glen Oaks Golf Course from the City and operating it as an educational program and as a public course open to all citizens; and WHEREAS, the Foundation has financial resources and volunteer manpower to operate and to maintain Glen Oaks Golf Course; NOW, THEREFORE, in consideration of the premises and of the faithful performance by each of the parties of the covenants and agreements between each other made, it is mutually agreed between the two parties hereto as follows; M,'~ ~ 1 /t') ., ,) _ ') ---/ ..~/, l/__) ( .: '1 ! ,I , , I , 1. That for and in consideration of the sum of One Dollar ($1.00) per year and other good and valuable considerations, to it in hand paid, the receipt whereof is hereby acknowledged, and in future consideration of the covenants herein contained on the part of the Foundation to be kept and performed, the city does hereby lease, let and demise unto the Foundation the following described property located in Pinellas county, Florida: Legal Description Commence at the Northeast corner of the Southeast 1/4 of section 15, Township 29 South, Range 15 East; thence run N 890 15' 59" W., 30.00 feet; thence run S 00 00' 21" E., 50.00 feet, to the point of beginning; thence run N 89015' 59" W., 1300.68 feet; thence run S 00 04' 58" W., 1229.58 feet; thence run S 89 0 11' 25" E., 666. 36 feet; thence run N 00 03' 11" E., 784.67 feet; thence run S 890 19' 00" E., 505.40 feet; thence run N 00 00' 21" W., 375.36 feet; thence run S 890 15' 59" E., 130.01 feet; thence run N 00 00" 21" W., 70.01 feet to the P.O.B. together with Lots 2 through 7, Block C, Druid Heights, as recorded in Plat Book 24, page 64, of the Public Records of Pinellas County, Florida. 2. The Foundation covenants and agrees through the life of this Agreement at all times to maintain and operate in good condition upon the said leased premises an eighteen hole golf course, which will be available to the general public at competitive fees. 3. The Foundation covenants and agrees that it will not use the leased premises for any purpose or purposes other than for charitable and educational purposes and such purposes to include the maintenance and operation of a golf course and other ancillary uses; that it will make no unlawful or offensive use of said premises, and that it will not assign this lease, sub-let any part 2 I I of the leased premises or mortgage, transfer, hypothecate, pledge or dispose of said lease in any form or manner whatever without the prior written consent of the city. 4. The Foundation consents and agrees that it will not make any physical changes to or construct new permanent facilities on the leased property without first requesting and receiving written approval from the city. 5. The Foundation agrees to open the golf course to the public at hours similar to those established at other public courses in the Clearwater vicinity. 6. The Foundation agrees to sanction the formation of a "Glen Oaks Advisory Committee" which will be comprised of Glen Oaks golfers, a majority of which must be residents of the City of Clearwater. 7. The Foundation agrees to take into consideration "Advisory Committee" recommendations relative to the Foundation's operation of Glen Oaks Golf Course and to allow the "Advisory Committee" to recommend a schedule of reasonable golf fees. 8. The Foundation covenants and agrees to make no unlawful, improper or offensive use of said demised premises nor to permit its use in any way to become a nuisance to other owners or users of property in its area. 9. The Foundation agrees to maintain the leased premises in accord with specifications set forth in Exhibit B attached hereto, including all drainage features, and improvements, and to keep the same in good repair during the term of this Agreement. The 3 , < 1 , Foundation agrees that the City may enter upon the property for the purpose of performing drainage work, including the realignment and widening of stevenson's Creek and its tributaries, provided that the Foundation is notified of the scope and intent of the improvements in advance. The Foundation agrees to deliver up the premises and permanent improvements at the termination of this Agreement in as good condition as they presently are or shall be at time of subsequent addition, ordinary use and acts of God excepted. 10. The Foundation shall bear all costs of operating Glen Oaks Golf Course as a public facility and shall be responsible for and promptly pay all costs thereof and all costs of maintenance and repair throughout the term of this Agreement, including all utilities. There shall be no expense chargeable to the city. The Foundation may retain fees and charges received for the operation of the golf course. 11. The Foundation agrees that any buildings and other improvements which are permanently affixed by the Foundation on the premises herein described shall become the property of the City at the expiration or termination of this Agreement. 12. The Foundation shall, prior to using said facilities, obtain at its own expense, purchase and maintain during the term of this Agreement the insurance coverage set forth in Exhibi t A attached hereto. 13. The Foundation agrees to pay any Federal, state or local taxes which may be levied on the leased property, or any improvements placed thereon, but it is agreed that the uses herein 4 I , I , ordinary wear and tear and acts of God excepted, then the Foundation shall be liable to the City for all actual expenditures (for material and labor, including in-house) incurred by the city in returning the golf course to its present condition. The parties agree to designate an impartial person to inspect the Glen Oaks Golf Course at the time of execution of this Agreement. In the event of a dispute regarding this provision, a person designated by the City shall inspect the golf course at the time it is returned to the City, and his determination shall be conclusive and binding on both parties as regards the condition of the golf course. 18. The City and the Foundation agree that the term of this Agreement shall be for a five (5) year period from April 7, 1994, through April 6, 1999 and that it may be renewed for successive five (5) year periods with approval of both parties. 19. Any notices provided for hereunder shall be sent by certified mail, return receipt requested, to the city, c/o City Manager, P.O. Box 4748, Clearwater, Florida 34618, and to the Foundation, c/o William Hayes, 3030 McMullen Booth Road, Clearwater, FL 34621. 20. The Lessor retains the right to terminate this lease for any municipal need consistent with the Lessor's charter; in addition, Lessor may terminate this lease when the state of Florida or any of its agencies or political subdivisions thereof acquire the demised property or any portion thereof for a public improvement. 6 ,_ ~ r I I 21. Foundation agrees to operate and conduct the business covered by this Agreement in accordance with all applicable statutes of the state of Florida and the Charter and ordinances of the city of Clearwater, and agrees at its expense to purchase all necessary licenses and permits required by the state of Florida and City of Clearwater, including all sales taxes and other charges that might be assessed against the said business. Insurance Coverage required: (1) Property Insurance - (Real property including improvements or additions) (a) Form - All Risk Coverage - Coverage shall be no more restrictive than that afforded by the latest edition of Insurance Services Office Forms CF0011, CF0013, CF0420, and CF1210. If available, sink hole insurance shall be included. If the provisions of Lessee's All Risk coverage do not exclude sink holes and the same is verified by the Lessor's insurance consultants, the Lessee shall be deemed to be in compliance with this paragraph. (b) Amount of Insurance - The full insurable value on replacement cost basis. (c) Flood Insurance - When buildings or structures are located within an identified special flood hazard area, flood insurance shall be provided for the lessor of the total insurable value of such buildings or structures or the maximum of flood insurance coverage available under the National Flood Program. (d) The City of Clearwater, as Lessor, shall be named as an additional insured. (2) Boiler and Machinerv Insurance - If the buildings or structures include boiler(s), pressure vessel(s), and/or air conditioning/heating equipment, Lessee shall maintain comprehensive insurance covering loss on the demised property including liability for damage to property of others. 1 (3) Repail and Replacement I Amount of Insurance - $1,000,000 per accident The City of Clearwater, as Lessor, shall be named as an additional insured. Comorehensive General Liability Coverage shall be afforded on a form no more restrictive than the latest edition of the Comprehensive General Liability Policy filed by the Insurance Services Office and shall included: (a) Minimum limits of $1,000.00 per occurrence combined single limits for Bodily Injury Liability, Personal Injury, and Property Damage Liability. Business Auto Policy - Coverage shall be afforded on a form no more restrictive than the latest edition of the Business Auto Policy filed by the Insurance Services Office and shall include: (a) Minimum limits of $500,000 per occurrence, combined single limits for bodily injury liability and property damage liability. (b) Coverage on all vehicles (owned, hired, and non-owned) shall be provided. (c) The city of Clearwater, as Lessor, shall be named as an additional insured. 2 (5) B. Worker's JbmDensation - Coverage shLII apply for all employees for statutory limits in compliance with the applicable state and Federal Laws. In addition, the policy must include Employer's Liability with a limit of $500,000 each accident. If the self-insured status of the Lessee is approved by the state of Florida, the Lessor agrees to recognize and accept same upon proof of such approval. other Requirements (l) Copies of insurance certificates for all insurance required by the Agreement. (2) Copies of all insurance policies covering insurance required by Agreement shall be furnished to the City Clerk of the City of Clearwater prior to use of said facilities. (3) Not Less than sixty (GO) days notice of cancellation or restrictive modifications of any insurance policy providing the coverage required by this Agreement. lI:\DATA \WPFILES\BMASSEY\AGREE\CHICHIFO 3 I I EXHIBIT B SPECIFICATIONS FOR GOLF COURSE MAINTENANCE General Requirements The work includes-maintenance of grass on greens (including putting greens and perimeter slopes), tees (including practice tees), fairways, roughs, sand traps, and maintenance of shrubs, trees, and landscaping around clubhouse and throughout the entire la-hole course. Personnel Requirements The Foundation shall maintain a sufficient number of personnel at all times to accomplish, on schedule, all work under this contract. During all normal working hours, and daring execution of the work, the Foundation shall provide personal supervision or shall have on the job a responsible and compe.tent representative with-authority to speak and act for the Foundation. Equipment, Materials, and Supplies The Foundation will furnish a~l labor, equipment, parts, chemicals, materials, and supplies. Detailed Standards Greens, Practice Putting Greens, and Aprons Mowing - Mowed daily ranging from 3/16" to 1/4" depending on weather and time of the year; varying mowing directions each time greens are mowed. Change cup locations daily during active season and at least four times weekly during the off-season. Repair ball marks, divots, or any other damaged turf on all greens and practice' putting green at least three times weekly. Core aerify all greens and practice putting greens a minimum of three times each season. This will be done with "Ryan Greensaire" or approved equal which places holes on two-inch centers and a minimum of two inches deep. 1 ,. .. Please have these Agreements executed and returned to me. After the appropriate City signatures are obtained, a copy will be returned to you. Paragraph 18 of the Agreement provides that the term of the Agreement will be for a "five (5) year period from April 7, 1994, through April 6, 1999 and that it may be renewed for successive five (5) year periods with approval of both parties." In order for timely. renewal of the lease agreement, please ask for an extension to this Agreement six months prior to the expiration date of April 6, 1999. A top dressing application rate of 0.6 to 1.0 cubic yards of material per 1,000 square feet is typically required. A representative sample of the existing soil material of the greens shall be submitted to a reputable physical soil testing lab to determine the specific characteristics of the dressing material to be used. Top dressing should occur every three to four weeks during the summer growing season. Light vertical mowing of all greens and practice putting greens shall be performed every seven to ten days from May to September to control mat and thatch build-up and stimulate optimum turf growth. Heavy vertical cutting should be done twice in conjunction with the first and second core aerification operations to control thatch accumulation. Spiking of all greens and practice greens shall be performed as needed between aerifications to maintain proper water infiltration. Fertilization - The greens fertilizatidh program should be based on bi-annual spring and fall chemical soil analysis results to determine specific requirements. Only fertilizer specifically formulated for putting greens shall be applied. Fungicide - All greens and practice greens shall have ,appropriate fungicide applications at a preventive rate at intervals not to exceed 21 days and additional applications at a curative rate may be required to control fungus activity and -prevent,.damage to the turf. This will be especially important prior to and just following overseeding. Pre-emergent Chemicals - (Such as Balan, Dacthal, etc.) shall be used in the appropriate amounts and appropriate times to prevent intrusion into the greens of weeds difficult to eradicate such as poa annua, goosegrass, crabgrass, etc. Weed Control - All greens and practice greens shall be maintained free of foreign grasses and weeds, even if it is necessary to remove them by hand. Insecticide - All greens and practice greens shall be treated on a preventive basis not to exceed six-week intervals, and additionally on a curative basis as may be required to control insect activity and prevent damage to the turf. All Areas Used For Tee Surface Howing - All tees shall be mowed to a height ranging from 1/4" to 7/16" no less than three times per week at an interval not to exceed three days. 2 ., y . '. . I I Top Dressinq - All tees shall be top dressed a minimum of three times each season with weekly divot repair. Seedinq - All tee areas shall be overseeded each fall at a rate of less than five pounds per 1,000 square feet. Set-up - Tee markers shall be mowed daily durinqactive season and at least four times weekly during the off-season. Litter containers shall be emptied as necessary. Ball washers shall be filled as needed and supplied with clean towels. Weed Control - Tees shall be kept weed-free to an extent of at least 90% of the area by the proper application of approved herbicides. Vertical Howinq - All tees shall be severely vertically mowed twice each season in conjunction with core aerification~ Aeriticat.ion - All tees shall be core aerified a minimum of three times each season. Fert.ilizat.ion - All tees shall be fertilized at a minimum rate. of eight to ten pounds of ni.trogen per 1,000nsquare feet on an annual basis. Aeriticat.ion - All fairways and roughs shall be aerified a minimum of once per season. Aerification holes shall not exceed a spacing of eight inches on center or be of a diameter of less than 1/2". Minimum penetration of two inches. For any areas through the golf course where there is heavy traffic and where patterns are very concentrated, such as exit and entrance points of the cart paths, two of three supplemental core aerifications should be conducted annually during the growing season. Fert.ilizat.ion - All fairways and roughs shall be fertilized at a rate of four'to five pounds of nitrogen per 1,000 square feet on an annual basis. Landscape Areas - All areas within perimeter of operations planted with ornamental plants, not intended for golf play, and having a definable border. Clean-up - All areas shall be maintained free of trash and debris such as paper, drinking cans, bottles, fallen limbs, and leaves. Weed Control - All areas shall be maintained free of weeds or grass whether by mechanical or chemical means. Trimming -The plant material (trees, shrubbery, and ground covering) shall be trimmed as necessary for protection from wind, insect damage, and for appearance. Replacement - The plant material (trees, sod, shrubbery, annual plant material, and ground covering) snaIl be replaced as necessary to maintain a pleasing display to the public. Trees - All Trees within The Perimeter or operations staking - All trees shall be staked as necessary to protect and establish sufficient size to stand unassisted. Pruning - All trees shall be pruned as necessary for protection from wind and pests as well as for appearance. Irrigation - All trees shall be watered to provide adequate moisture for proper growth. Howing - MeChanical removal of grass shall not be accomplished within one foot of the tree trunks. Removal and Replacement - All damaged trees shall be removed and replaced by the management firm within 14 days unless determined differently by the city. Irrigation - All Equipment Required To Irrigate All Areas of The Golf Course' Repair or replace all heads, valves, controllers, wiring, and pipe as needed to maintain the proper operation of the . entire golf course irrigation system (including greens, tees, .fairways, planters, flower beds, etc.) on an on-going basis. 4 I I Fence. - All Wood Fence or Chain-link Fence .i~hin The Boundarie. of The Golf Course Repair all broken or damaged fencing on a weekly basis. Replace all fences as needed with 30 calendar days of determined replacement need as determined by the Foundation. Repair or replace all fences, gates, and locking devices needed for protection of the golf course or equipment immediately. Edging All edging of sidewalks, patios, and cart paths must be edged on a weekly basis. Edging of trees, sprinklers, valve boxes, meter boxes, backflow preventer, etc., shall be done as needed to ensure that there is no obstruction of play from growth around these items. Sand Traps All sand traps shall be edged as necessary to maintain a neat lip, raked daily, and filled with fresh sand as needed to maintain an eight-inch depth on slopes and a six-.inch depth in the bottom. Replacement sand will be specified and approved by the Foundation. Color Areas Various planting areas throughout the course shall be regularly cultivated, weeded, and pruned on a regular basis, with a least two replanting programs for annuals scheduled each year. . Construction and Remodelinq Any change in the physical characteristics of any area of the golf . course such as addition or removal of sand traps, addition or removal of any hazards (water, trees, or native vegetation), regarding involving movement of soil exceeding 20 cubic yards in any single area, or the modification of any portion of the golf course or th~ buildings must be approved by the city. Trash and Device Removal Trash and debris removal will be at the Foundation's expense. The Foundation will take special care to ensure minimal problems for refuse odors, insects, etc. 5 I I Damages The Foundation shall be responsible for drainage problems which may develop as a result of an act of nature. Repairs will be made to bare spots created through play and any wet spots which might be created. Damage reports including pictures should be made on any problems which might develop. other The Foundation will be responsible for aquatic maintenance of all lakes in a safe and sanitary manner and in good appearance, mowing roughs and all unimproved areas as needed, spraying fairways, roughs, and fence lines for weed control, and soil testing for adequate analysis at least once per year. Golf Course Supplies, services, Island, etc. The Foundation shall be responsible fOr repair or replacement of all ball washers, tee markers, benches, signs, water coolers, etc., as needed.
