Gentlemen:
Tnis is to notify you tilat tne above-referenced agreements,
effectiye February 25, 1980, between you and Florida Gas
Transmission Company has been assigned and pledged to the
rrustees under tile Florida Gas Transmission Company Consoli-
dated Eighth Supplemental'Indenture dated August 1, 1962, as
slll?plemented by a Thirty-Fourtil Supplemental Indenture dated
May 1, 1981, in accordance wi th tile terms thereof.
The pledging of tilisagreerrtent is provided for ill the con-
tract and is in accordance with a routine procedure we are
required to follow with the holders of our First Mortgage
Pipeline Bonds and in no way affects the administration of
the other provisions of our contracts.
The City of Clearwater shall have no obligation to the
Trustees under the Florida Gas Transmission Company Consoli-
dated Eighth Supplemental Indenture dated August 1, 1962, as
s,upplemented, unless Florida Gas Transmission Company de-
faults on its mortgage obligation and the City of Clearwater
is notified of said default.
