RE: Temporary Decrease in Firm Sales Capacity
Service Agreement No. 4266
Gentlemen:
This LETTER AGREEMENT made and entered into by and between
Florida Gas Transmission Company ("FGT") and City of Clearwater
("Buyer") amends the General Service Agreement dated November 1,
1989, between FGT and Buyer ("Service Agreement") in order to
temporarily decrease the Maximum Daily Contract Quantity (MDCQ) and
the Maximum Annual Contract Quantity (MACQ) under the Service
Agreement pursuant to section 13.5 of FGT' s General Terms and
Conditions. Notwithstanding any other provision of the Service
Agreement and in consideration of the mutual covenants contained
herein, FGT and Buyer agree as follows:
1. Buyer's MDCQ for September of 1991, as set forth in the
Service Agreement's Exhibit A dated November 1, 1989
shall be decreased by 1,000 MMBtu per day. Buyer's MDCQ
for November of 1991, as set forth in the Service
Agreement's Exhibit A dated November 1, 1989 shall be
decreased by 3,000 MMBtu per day.
2. Buyer's MACQ as set forth in the Service Agreement's
Second Revised Exhibit A dated November 1, 1989 shall be
decreased by 120,000 MMBtu per year.
3. If the entities listed in Attachment A to this Letter
Agreement fail to execute and return to FGT by 5:00 p.m.
Central Time on or before August 30, 1991, an amendment
to each entity's existing Firm Contract and/or Service
Agreement that increases each entity's MDCQ and MACQ by
the amount stated in Attachment A, this Letter Agreement
shall be null and void.
4. If Buyer fails to execute and return this Letter
Agreement to FGT by 5:00 p.m. Central Time on or before
August 31, 1991, this Letter Agreement shall be null and
void.
5. This Letter Agreement only changes Buyer's MDCQ and MACQ
to the extent revised by this Letter Agreement and all
other terms and conditions of the Service Agreement shall
remain in effect.

6. This Letter Agreement shall expire at 8:00 a.m. Eastern
Standard Time, on December 1, 1991, at which time the
provisions of the Service Agreement effective immediately
prior to this Letter Agreement shall go into effect.
If the foregoing sets forth our understanding, please indicate
your acceptance and agreement hereto by signing and returning two
(2) executed copies of this Agreement to the undersigned. A fully
executed copy will be returned to you for your records.
